EmploymentAgreement
ThisAGREEMENTmadeonDecember20,2011betweentheColossusGroupIndiaCo.,LtdacompanyregisteredunderCompaniesAct1956andhavingitsregisteredofficeatPuneIndiahereinaftercalledthe“COMPANY”,whichexpressionshallunlessrepugnanttothecontextormeaningthereof,meanandincludeitssuccessorsandassignsoftheonepartand
Mr.BipinDeshpandeaged38yearsresidentofFlatNo.208,Mahalaxmi,VasantKamalVihar,BehindOldWarjeNakaWarje,PUNE–411052.hereinaftercalled“THEEMPLOYEE“,whichexpressionshallunlessrepugnanttothecontextormeaningthereofmeanandinclude,hisheirs,executors,administrators,andassignsontheotherpart.
WHEREAS,
TheCOMPANYiscarryingonthebusinessofengineering,manufacturing,marketing,sales,andserviceofmechanicalseal,sealsystem,pumpandcoupling.
Onprocessingtheapplicationandonthebasisofinterview,theCOMPANYfoundtheEMPLOYEEadequatelyqualifiedforthepostandofferedtoappointhimasRegionalManagerintheCOMPANY.
TheEMPLOYEEhasacceptedthesaidappointmentonthetermsandconditionshereinaftersetout.
NOWTHEREFOREINCONSIDERATIONOFTHEMUTUALOBLIGATIONSANDUNDERTAKINGSCONTAINEDHEREINTHISAGREEMENTWITNESSETHASFOLLOWS:
1.Employment
1.1TheCompanyshallemploytheEmployeeonthepositionofRegionalManagerinPuneIndia.Assuch,theEmployeeshallbesubjecttothedirectionandcontroloftheBoardofDirectorsoftheCompany("theBoard"),orsuchpersondesignatedbytheBoard.TheEmployeeshallperformhisfunctionsassignedtohimwithalltheauthoritynormallypossessedandexercisedinsuchapositionandshallperformsuchotherdutiesandfunctionsasshallbereasonablyprescribedfromtimetotimebytheBoardofDirectorsoritsdesignate.TheEmployeecanbetransferredtoonesectionfromothersection,fromonedepartmenttootherandfromoneshifttoanotherkeepinginviewtheexigencyoftheworkwithoutanynotice.
1.2TheEmploymentwiththeCompanyshallcommenceon1stJanuary2012(the"CommencementDate")andcontinueuntilterminatedinaccordancewiththetermination/resignationprovisionscontainedherein.
1.3ThePlaceofEmploymentshallbeattheCompany’sprincipaloffices/BranchOfficeinPune,India.ButthecompanyreservestherighttotransfertheEmployeeatanyotheratoffice/branchasandwhenrequiredbythecompany.
1.4TheEmployeewillbeplacedonprobationforaperiodofsixmonthsandthesaidperiodcanbeextendedbyanotherthreemonths,atthesolediscretionoftheCompany.Ontheexpiryoftheperiodofprobationorextendedperiodofprobation,ifnotconfirmedinwriting,Employee’sservicesshallbedeemedtohavebeenautomaticallyterminated.However,unlessEmployeehasbeenconfirmedinwriting,heshallnotbedeemedtobepermanentemployeeoftheCompany
1.5Duringprobation,eitherofthepartymayterminatetheemploymentbygivingnoticeinwritingnotlessthan15dayssubjecttootherprovisionsofthisagreement.
1.6Byorbeforetheendofthesix-monthprobationaryperiod,dependingontherecommendationsoftheimmediatesupervisor/manager,EmployeewillbecomearegularEmployeeofthecompanyentitledtoallcompanybenefitsandprivilegesenjoyedbyregularEmployees.
2.WorkScheduleandEmployee’sduties
2.1Employeeshallrenderaminimumofeight(8:

(1)hourbreakandworkatleastfive(5)daysperweek.ItisunderstoodthatEmployeeisbeingemployedwithalevelofconfidenceanddegreeofresponsibilitythatmayfurtherrequirehimtorenderworkbeyondnormalbusinesshourstocompetentlyperformthedutiesofhisposition.DetaileddutiesfindAnnerure-1.
2.2IncasethedemandsofthebusinessortheCompanywouldrequireEmployeetoworkmorethanhisregularworkschedule,hemayberequiredtorenderovertimework.OvertimeworkisnotcompensableformanagerialEmployeesunlessotherwisedeclaredbymanagement.Allowancesformealortransportationwillbeprovidedonacase-to-casebasisinaccordancewithcompanypolicies.
2.3Employeeagreesthat,hewillatalltimefaithfully,industriouslyandtothebestofhisability,knowledge,experienceandtalents,performallofthedutiesthatmayberequiredofandfromhimpursuanttotheexpressandimplicittermsofthisAgreement,tothereasonablesatisfactionofCompany.Suchdutiesshallberenderedingoodfaithrequireorastheinterestneeds,business,oropportunityofCompanyshallrequire.
2.4TheEmployeeshallcomplywithallstatedstandardsofperformance,policies,rules,regulationsandmanuals,asmaybeprescribedandissuedbythecompanyfromtimetotime.TheEmployeeshallalsocomplywithsuchfutureCompanypolicies,rules,regulations,performancestandardsandmanualsasmaybepublishedoramendedfromtimetotimebythecompany.
2.5ThatthesaidEmployeeshallnot,duringtheperiodofthisAgreement,workdirectlyorindirectlyinanytradeorbusinesseitherasemployer,employeeorpartneroradvisororinanyothercapacitybywhatevernamecalled.
2.6ThatthesaidEmployeeshallbejustandfaithfultotheCompanyinallmattersandshallnotatanytimeexceptunderlegalprocess,divulgetoanypersonwhosoeverandshallusehisbestendeavorstopreventthepublicationordisclosureofanytradesecretorsoftwaredevelopmentprocessoranyinformationconcerningmanagementdecisionoftheCompanyorofitsdealings,transactions,oraffairswhichmaycometohisknowledge
3.Obligationsandresponsibilitiesoftheemployee
3.1Employeeagreesthatduringthetermofhisemploymentandfromandevenafterthetermination/actualcessationofhisemploymentwiththeCompany,heshallatalltimesmaintainstrictconfidentialityandshallnotdiscloseanytechnical,business,financialorcommercialinformation,methods,processes,inventions(whethercoveredbyintellectualpropertyprotectionornotorwhethermarkedconfidentialornot)includingbutnotlimitedtocustomers,customerlistsorrequirements,pricelists,pricingstructures,marketingandsalesinformation,businessplansordealings,Employeesorofficers,financialinformation,productlinesresearchactivities,plansdesigns,formulaewhetherauthoredbyEmployeeorotherwise–tosuitEmployee’spurposeorthoseofanyotherperson,company,businessentityorotherorganizationwhatsoever.
3.2TheEmployeeshall,immediatelyuponexecutionofthisAgreement,makefullwrittendisclosuretotheCompany,shallholdintrustforthesolerightandbenefitoftheCompany,andherebyagreestoassigntotheCompany(oritsdesignee),inwritingattherequestoftheCompanyfromtimetotime,alltheEmployee’sright,titleandinterestinandtoallinventions,originalworksofauthorship,development,concepts,improvementsortradesecrets,whetherornotpatentableorregistrableunderpatentorcopyrightorsimilarlaws,whichtheEmployeemaysolelyorjointlyconceiveordeveloporreducedtopractice,duringtheEmploymentPeriod(collectivelyreferredtoas“Inventions”),excepttotheextentprohibitedorlimitedbylaw.TheEmployeefurtheracknowledgesthatalloriginalworksofauthorshipwhicharemadebytheEmployee(solelyorjointlywithothers)withinthescopeofandduringtheEmploymentPeriodoftheEmployee’semploymentwiththeCompanyandwhichareprotectablebycopyrightare“workmadeforhire”underapplicablelaw(s).
3.3PatentandCopyrightRegistration.TheEmployeeshallassisttheCompany,oritsdesigneeattheCompany’sexpense,ineveryproperwaytosecuretheCompany’srighttheretointheInventionsandanycopyrights,patentsorotherintellectualpropertyrightsrelatingtheretoinanyandallcountries,includingthedisclosuretotheCompanyofallpertinentinformationanddatawithrespectthereto,theexecutionofallapplications,specifications,oaths,assignmentsandallotherinstrumentswhichtheCompanyshalldeemnecessaryinordertoapplyforandobtainsuchrightsandinordertoassignandconveytotheCompany,itssuccessors,assignsandnomineesthesoleandexclusiverightsandthetitleandinterestinandtosuchInventions,andanycopyrights,patentsorotherintellectualpropertyrightsrelatingthereto.TheEmployee’sobligationtoexecuteorcausetobeexecutedatthecostoftheCompany,whenitisinthepoweroftheEmployeetodoso,anysuchinstrumentorpapersshallcontinueaftertheexpirationorterminationoftheEmployee’semploymentwiththeCompany.
3.4EmployeeshallnottakeoutofCompany’spremisesanyinformation,technical,financial,salesoranyotherplans,charts,drawings,codesandothermaterialscontainingtechnicaldataandinformationunlesswiththepriorwrittenconsentorpermissionoftheCompany.
3.5EmployeeacknowledgesandagreesthatknowledgeandexperienceacquiredduringemploymentattheCompanyshallbeusedexclusivelyinthefurtheranceofthebusinessoftheCompanyandnotinanywaydetrimentaltoit.
3.6UponthecessationofhisemploymentwiththeCompanyforwhateverreason,EmployeeshalldeliverpromptlytotheCompanyallbooks,documents,materialsandotherpropertyoftheCompanythatareinhispossession,charge,controlorcustodyandshallnotkeepcopiesofthesame.
3.7TheEmployeeshallnot,directlyorindirectly,eitherduringthetermoftheEmployee'semploymentunderthisAgreementorforaperiodofOne
(1)yearthereafter,solicit,directlyorindirectly,thes
