　　ThisContractismadeandenteredintothroughfriendlynegotiationbyandbetweenChina____（hereinafterreferredtoas“Client”）,asoneparty,and____（hereinafterreferredtoas“Consultant”）,astheotherparty,concerningthetechnicalconsultancyserviceof____,underthefollowingtermsandconditions:

　　Article1ContentsofTechnicalConsultancyService

　　1.1WhereasClientdesirestoobtainthetechnicalconsultancyserviceoffromConsultantandConsultanthasagreedtoperformsuchservices.

　　1.2TheScopeofTechnicalServicesisdefinedinAppendix1.

　　1.3TheTimeSchedulefortheServicesisshowninAppendix2.

　　1.4TheManningScheduleisdescribedinAppendix3.

　　1.5ConsultantshallcompletetheServiceswithin____monthsfromtheEffectiveDateofthisContractandfurnishthefinaltechnicalservicereport,includingdrawings,designingdocuments,allkindsofstandardsandphotos,within____months.Consultantshallkeepaware,freeofcharge,Clientofthelatestdevelopmentofsimilarprojectsandanyprogressmadeinordertoimprovethedesigningoftheproject.

　　Article2BothParties'ResponsibilityandLiability

　　2.1ClientshallfurnishtoConsultantthepertinentdata,technicalservicereports,mapsandinformationavailabletohimandshallgivetoConsultantthereasonableassistancenecessaryforcarryingoutofhisduties.ParticularlyClientshallnominateageneralrepresentativewhoshallbeavailableatreasonabletime.

　　2.2ClientshallassistConsultantwiththeresponsibleauthoritiesforobtainingvisas,workpermitsandotherdocumentsrequiredbyConsultanttoenterthecountryandtohaveaccesstotheSiteoftheProject.TheaboveexpensesshallbebornebyConsultant.

　　2.3Consultantshallfurnishasufficientnumberofcompetentpersonneltoperformitsobligationhereunder,inadditiontothosepersonnelspecificallylistedinAppendix3.AllpersonnelemployedbyConsultantincarryingouttheworkshallbeexclusivelyConsultant'sresponsibility,andConsultantshallholdClientharmlessfromanyclaimsofanykindbyConsultant'spersonnelarisingoutofanyactsbyConsultantoritspersonnelinconnectionwiththeworkperformedhereunder.

　　2.4ConsultantshallprovideClientallthetechnicaltechnicalservicereportsandrelevantdocumentationwithintheScopeofTechnicalServicesandwithintheTimeScheduleoftheTimeSchedulefortheServices.

　　2.5ConsultantshallassistClient＇Spersonnelinhiscountryinobtainingvisasandinarranginglodgings.HotelandboardingexpensesshallbebornebyClient.ConsultantshallsupplytoClient＇Spersonnelofficespaceandnecessaryfacilitiesaswellastransportation.

　　2.6ConsultantshallberesponsibleforandshallindemnifyClientandhisemployeeinrespectofinjurytopersonordamagetopropertyoccurringinconnectionwiththeservices,totheextentthatsuchdamageorinjurydirectlyresultsfromnegligenceofConsultant'spersonnelwhileengagedinactivitiesunderthisContract.ConsultantshallbeliableonlytotheworkunderthisContract.

　　2.7AnyandallliabilityofConsultantwithrespecttothisContractshallbelimitedtotheTotalContractPricereceivedbyConsultantforhisprofessionservicesandshallterminateuponexpirationofthewarrantyperiodsetforthinArticle7.3.

　　Article3PriceandPayment

　　3.2ThetotalcontractpricewillincludealltheserviceandtechnologyprovidedbyConsultant.Thetotalcontractpriceshallbefirmandfixedandshallnotfluctuatewithanyinflation.ThetotalcontractpriceshallincludeallchargesandexpensesincurredbyConsultantinperforminghisobligationsbothinhisowncountryandinthePeople'sRepublicofChinaandincludestheexpensesincurredinsendingtheTechnicalDocumentationtoClient'sofficebyallkindsofforms.

　　IntheeventofForceMajeureasdefinedintheContract,thetotalcontractpriceshallbereadjustedthroughfriendlynegotiationsbetweentheparties.IfClientrequiresservicesnotcontemplatedintheScopeofServicesthepartiesshallfriendlydiscussanamendmenttothe

　　totalcontractprice.Anysuchamendmentshallbeinwritingcountersignedbybothparties.ThisdocumentshallthenformintegralpartoftheContract.

　　3.3AllpaymentstobemadebyClienttoConsultantunderthepresentContractshallbemadebytelegraphictransfer.IncaseofanypaymentbyClient,thepaymentshallbeeffectedthrough____inChinato_____fortheaccountofConsultant.

　　InconsiderationfortheservicesprovidedbyConsultanthereunder,ClientshalleffectthepaymenttoConsultantinaccordancewiththefollowingmannerandpercentage:
