零部件质量保证协议AgreementofAutoPartsQualityAssurance

Autoliv（Shanghai）VehicleSafetySystemsCo.,Ltd.

第一节．目的

Article1:

Purpose

为了加强上海奥托立夫汽车安全系统有限公司（以下简称“甲方”）与零部件供应商_______________________________（以下简称“乙方”）双方的质量管理，稳定提高甲方产

品质量，防止不合格发生，现规定甲、乙双方应该实施的各项工作。

Inordertostrengthenthequalitycontrolworkofthecontractingparties–theAutoliv（Shanghai）VehicleSafetySystemsCo.Ltd.（hereinafterreferredtoasPartyA）andthesparepartssupplier（hereinafterreferredtoasPartyB）aswellasstabilizeproductqualityofPartyAandpreventhappeningoftheunqualifiedproduct,thisdocumentisherebyconcludedtoprescribeeachitemofthejobforthebothcontractingparties.

通过建立甲、乙双方的质量保证体制，以满足甲方&甲方客户的最终需要，使甲、乙双方企业得到永续发展。

TheestablishmentofqualityassurancesystemsbybothpartiesshallfurnishtheultimaterequirementofPartyAanditscustomersanditshallenabletheenterprisesofbothsidesobtaintheirsustainabledevelopmentaswell.

为此，双方本着互惠互利的原则，现达成以下协议作为零部件供货质量保证协议。

Therefore,thefollowingagreementisthusconcludedasthequalityassuranceagreementofthesuppliedautosparepartsundertheprincipleofmutualprofitandbenefit.

第二节．质量保证

Article2:

QualityAssurance

2-1.质量保证

2-1.QualityAssurance

2-1-1.乙方应根据甲方的要求建立ISO9000：

2002或TS16949：

2002质量保证体系及ISO14000环境管理体系或保证在本协议生效后18个月内通过质量、环境管理体系认证，为甲方提供产品的生产现场应被质量体系覆盖，通过第三方体系认证，并要保证产品是可信赖的。

2-1-1.PartyBshouldestablishtheISO9000：

2002orTS16949：

2002systemaswellastheISO14000environmentmanagementsystemforitsenterpriseasrequiredbyPartyA,orensurethattheabove-mentionedqualityandenvironmentassurancesystemsarepassedwithin18monthstimeafterthisagreementisconcludedsoastoprovidethecoveragefortheproductionfieldoftheproductssuppliedtoPartyA.Inaddition,thethirdpartyattestationshouldalsobepassed,whichistoassurethattheproductsarequalifiedandreliable.

2-1-2.乙方应按时接受甲方的质量评审工作，并提交有关资料。

2-1-2.PartyBmustacceptthequalityappraisalworkdonebyPartyAinatimelymannerandsubmittherelevantdocumentationtoPartyA.

2-1-3.乙方在生产的开始和加速期间，应实施早期生产遏制，即制定一个加严要求的试生产控制计划和一份重点加强的有关分供方的生产控制计划，以保证生产初期发运的零件满足甲方的期望，早期生产遏制持续期应不小于3个月或2000件。

并且在实施前，应得到甲方确认。

2-1-3.Intheinitialperiodandthespeedingupperiodofmanufacture,PartyBmustperformtheearlyproductioncheck,i.e.makeacontrolplanoftrialproductionwithmuchsevererproductionstandardandanothercontrollingplanfortherelevantsub-supplierwithafocusstrengthening,soastoensurethatthesparepartsdeliveredintheinitialstageofthetrialproductionshallsatisfyPartyA’santicipation.Theperiodofearlyproductioncheckshouldbenoshortthanthreemonthsortheoutputofproductsshallbelessthan2000pieces.

TheplansshouldbeapprovedbyPartyAbeforetheyareperformed.

2-1-4.乙方发生以下情况中任何一项，都需经甲方重新评审认可，由于乙方变更而导致甲方产生的费用将由乙方支付，如系增值项目，甲乙双方共同分享项目所带来的利益，具体比例由双方协商确定。

2-1-4.IfanyofthefollowingsituationsishappenedatthesideofPartyB,theyshouldbereappraisedbyPartyA.TheadditionalcostoccurredforPartyAduetoPartyB’salterationshallbebornebyPartyB.Iftheadditionalcostisarisenforthemutualbenefitofvalue-addeditemsharedbythebothparties,thecontractingpartiesshallnegotiateanddecidedtheproportionofthesecost.

●生产过程或生产方法发生变化

●Changeinmanufacturingprocessorofmanufacturingmethod

●异地生产

●Manufactureindifferentplace

●工艺、工装、模具有较大变化

●Quitebigdifferenceoccurredintechnology,assemblageandmouldingequipment

●材料变更

●Alterationofmaterial

●工装,生产线,模具在停止批量生产12个月或更长时间后重新投入生产

●Gointoproductionofassemblage,productionlineandmouldingfacilityaftertheyaresuspendedofvolumeproducingforaperiodof12monthsorlonger

●分供方变更

Changeofsub-supplier

对于重新PPAP认可的产品，乙方有责任按照甲方的要求及时提供准确的断点信息。

Fortheproductsre-certifiedbythePPAP（productionpartsapprovalprocess）,PartyBisliabletoprovideaccuratebreakpointinformationasrequiredbyPartyA.

2-1-5.Customerrepresentative

乙方应确定一位客户代表，并将名单报给甲方.如因工作变更等原因人员发生变化，乙方应更新名单及联系方式,并及时通知甲方。

PartyBshoulddesignateapersonasthecustomerrepresentativeandsubmitthelisttoPartyA.Ifthereisanychangeofpersonnelinthelistduetobusinesschange,PartyBmustupdatethelistandnotifytheinformationtoPartyAinatimelymanner.

2-2:

质量规格

QualitySpecification

2-2-1.甲方根据技术协议，通过图纸、技术标准等方式，向乙方说明产品的质量规格。

2-2-1.Aspertechnicalagreement,PartyAshallnotifythequalityspecificationtoPartyAbythemeansoftechnicaldrawingsandtherelatedtechnicalstandard.

乙方应严格按质量规格进行产品开发&生产,乙方也可就工艺无法达到的质量要求向甲方提出更改建议,并须得到甲方确认后方可执行。

PartyBshouldbestrictlyabidedbythequalitystandardinconductingdevelopmentandmanufactureoftheproducts.SuggestionsofalterationcanberaisedbyPartyBwhenthedesiredqualityrequirementishardtobeachieved,anditshouldonlybeperformedaftergettingtheapprovalofPartyA.

2-2-2.乙方更改的控制计划提交甲方批准，批准后的控制计划作为本协议的附件，乙方对发运的产品执行出货审核并提交审核报告。

2-2-2.ThecontrollingplanalteredbyPartyBshouldbesubmittedtoPartyAforgettingtheirapproval.Onceitisapproved,thecontrolplanshallbecomeanattachmentofthisagreement.PartyBshallconductshipmentinvestigationwhentheproductisdeliveredandsubmittheinvestigationreporttoPartyA.

2-2-3.对部分产品甲方执行入库抽查检验，甲方抽查检验合格的结果不能免除乙方应承担的质量责任,同时亦不影响甲方按本协议向乙方主张/提出质量责任的任何权利/要求。

2-2-3.PartyAshallrandomlyperformqualityinspectionforpartofproductswhenputtingthemintowarehouse.TheresultsofsuchinspectionperformedbyPartyAshallnotreleasetheresponsibilityofPartyBtoconductsuchqualityinvestigationwithoutprejudicetoanyofitsrights/demandswhatsoevertoPartyBofitsclaim/qualityliabilityasperthisagreement.

2-2-4.对于甲方提出的质量要求有异议或需变更时，乙方要立即向甲方提出书面申请，进行协商。

2-2-4.IfPartyBhasanydifferentopiniontoPartyA’srequirementordeemitneedtobechanged,theyshallmakewrittenapplicationofsuchobjectionandaskformutualconsultation.

2-2-5.乙方必须按照甲方对于产品的追溯等级要求,保证产品的可追溯性。

2-2-5.PartyBshallkeepthetraceabilityoftheproductinaccordancewiththerequirementofPartyAforproduct’sclasstraceability.

2-3.包装

2-3.Package

甲乙双方以防止变形、灰尘、划伤、重压,受潮等保证质量为目的，协商制定零部件出厂包装方案,包装方案必须得到甲方物流部门的确认方可生效,在早期发运的一至两批,可作为验证包装方案的有效性&可操作性。

Bothpartiesshallseekconsultationtomakeapackagingprogramfortheproductwhenitisdeliveredoutoffactoryinordertopreventdistortion,dusting,scratch,weightpressinganddampingetc.totheproducts.ThepackagingprogramshallonlygointoforceafteritisapprovedbythelogisticdepartmentofPartyA.Thefirstandsecondbatchesofdeliveryattheinitialstageshallbedonetotestthevalidityandoperabilityofsuchprogram.

在包装方案最终确定后,如甲方认为此方案并不能很有效地保证产品质量,甲方有权提出变更包装方案,乙方应全力配合。

Aftertheplanisfinallyagreedupon,PartyAisstillentitledtocallanalterationtosuchplaniftheythinktheprogramcannoteffectivelyprotecttheproductqualitywhilethePartyBshouldfullycooperateinthisissue.

2-4．安全件的处理

2-4．DisposeofSafetyPiece

涉及安全的零部件，乙方要认真实施国家及甲方有关安全件所有要求的事项。

Inregardofthesafetypieceautoparts,PartyBmustseriouslyperformallitemsofsafetymeasuresinaccordancewiththerequirementofPartyAandtherelevantnationalstandardsregardingthesafetypiece.

2-5．产品检验

2-5．ProductInspection

2-5-1.乙方应保证用于产品检验的检测设备、测量系统,计量器具及有关仪表的准确性。

2-5-1.PartyBshallensuretheabsoluteaccuracyofinspectionequipment,measuringsystem,measuringdevicesandrelevantinstrumentstobeusedinsuchproductinspection.

2-5-2.并定期（一年）提供产品的材料报告、性能实验报告、全尺寸检验报告，（型式试验项目由双方确认）（必要时由第三方进行测试）。

2-5-2.Theyshouldalsotimely（onceforayear）submitthematerialreport,theperformancelaboratoryreportandthefull-sizesurveyreporttoPartyA.（Theitemsoftypetestshallbedecidedbybothparties,anditshallbeundergoneinspectionofthethirdpartyifnecessary）.

2-5-3.甲方认为有必要时,甲方的职员或甲方所指定的职员可在零部件交货之前到乙方的办公地点或其他放置零部件的地点进行检查.甲方验收合格的结果不能免除乙方应承担的质量责任,同时亦不影响甲方按本协议向乙方主张/提出质量责任的任何权利/要求。

2-5-3.IfPartyAthinkitnecessary,thestaffoforthepersonsdesignatedbyPartyAmayconductaqualityinspectionatthelocationofPartyB’sofficeorwherethesparepartsarelocatedbeforetheproductisdeliveredoutoffactory.TheresultsofPartyA’sdecisionforproductqualificationshallnotexemplifytheresponsibilityofPartyBfortheproductqualityandwithoutprejudicetoanyofitsrights/demandswhatsoevertoPartyBofitsclaim/qualityliabilityasperthisagreement.

2-5-4.如甲、乙双方零部件品质检测结果不一致时，经双方协商仍有分歧，以国家认可的产品质量检验机构检测的结果为准。

费用由甲乙双方协商解决。

2-5-4.WhenPartyAandPartyBdonotagreeupontheinspectionresultsofthespareparts,andthedisagreementstillpersistafterthemutualconsultation,theissueshallgotothejudgmentofthenationalauthorityofqualityinspection.Theopinionofsuchauthoritativeinstitutionshallbecomethefinaljudgment.

Thefeesofsuchinspectionshallbebornebybothpartiesthroughconsultation.

2-6.甲方进行入库检验，遵循零缺陷接受准则，对缺陷大于零的批次，甲方有权拒收。

2-6.PartyAshallconductqualityinspectionbeforeputtingtheproductintowarehousefollowingtheprincipleofzerodeficiency.Forthebatcheswhosedeficiencyisbiggerthanzero,theyshallbeentitledtorefuseacceptanceoftheproducts.

第三节.质量问题处理

Article3:

DisposeofQualityIssue

3-1.当甲方在进货检查后发现零部件的质量问题时，甲方认为必要，可向乙方提出了解有关人员或技术资料方面的要求，以便对发现的问题提出对策，对产品进行挑选,返工,更换或退回,乙方要对甲方提出的要求给予全面的协助配合。

3-1.Ifproblemofqualityisfoundduringtheinspection,PartyAshallrequireobtainingtheinformationregardingPartyB’spersonnelortechnicaldocumentinordertofindsolutionforsuchdeficiencyandconductselection,returningforreprocessing,replacementorreturnback.PartyBshallrenderfullcooperationtosuchrequirement.

3-2.对于不合格情况，乙方应在接到甲方改进通知后：
