1.TheCompany'snameis:

KinawleyCommunityHallAssociation

2.TheCompany'sregisteredofficeistobesituatedinNorthernIreland.

3.TheobjectsoftheCompanyshallbetopromotethebenefitoftheinhabitantsofKinawleyDistrict（the“areaofbenefit”）withoutdistinctionofage,gender,sexuality,nationality,ethnicidentity,disability,politicalorreligiousopinion,orotheropinionsbyassociatingwiththestatutoryauthorities,voluntaryorganisationsandinhabitantsinacommonefforttoadvanceeducation,advancehealthandprovidefacilitiesintheinterestsofsocialwelfareforrecreationandotherleisuretimeoccupationswiththeobjectofimprovingtheconditionsoflifeforthesaidinhabitants.

4.POWERS

Infurtheranceofthesaidobjects,butnotfurtherorotherwise,theCompanyshallhavepowerto:

（1）（a）provide,endow,furnishandfitoutwithallnecessaryfurnitureandotherequipmentandmaintainsuchbuildings,premises,centres,performanceareasandspacesasmayfromtimetotimeberequiredforthepurposesoftheCompany;

（b）provide,secureorpromotetheprovisionofservicesandfacilitiesfortheaged,disabled,youthandchildren,includingpre-schoolchildrenwithintheareaofbenefit;

（c）publishanddistributematerialsrelatingtotheworkoftheCompany;

（d）co-operateandenterintoarrangementswithanyauthorities,national,localorotherwise;

（e）bringtogetherinconferencerepresentativesofvoluntaryandcommunityorganisations,Governmentdepartments,statutoryauthoritiesandindividuals;

（f）arrangeandprovidefor,eitheraloneorwithothers,theholdingofexhibitions,meetings,lectures,classes,seminarsortrainingcourses;

（g）collectanddisseminateinformationonallmattersrelatingtoitsobjects,andtoexchangesuchinformationwithotherbodieshavingsimilarobjectswhetherintheUnitedKingdomorelsewhere;

（h）write,printorpublish,inwhateverform,suchpapers,books,periodicals,pamphletsorotherdocuments,includingfilmsandrecordedmaterial,asshallfurtheritsobjects,andtoissueorcirculatethesamewhetherforpaymentorotherwise;

（i）acceptsubscriptions,donations,devisesandbequestsofandtopurchase,takeonleaseorinexchange,hireorotherwiseacquireandholdanyrealorpersonalestate,maintainandalteranyofthesameasarenecessaryforanyoftheobjectsoftheCompanyand（subjecttosuchconsentsasmayberequiredbylaw）sell,leaseorotherwisedisposeoformortgageanysuchrealorpersonalestate,havingdueregardtotherequirementsof,orconditionsestablishedby,statutoryauthoritiesorbodiesprovidingfundsorassistanceofanykindtotheCompany;

（j）draw,make,accept,endorse,discount,executeandissuepromissorynotes,bills,chequesandotherinstruments,andtooperatebankaccounts;

（k）borroworraisemoneyfortheobjectsoftheCompanyonsuchtermsand（withsuchconsentsasarerequiredbylaw）onsuchsecurityasmaybethoughtfitPROVIDEDTHATtheCompanyshallnotundertakeanypermanenttradingactivitiesinraisingfundsfortheobjectsoftheCompany;

（l）takeandacceptanygiftofmoney,propertyorotherassets,whethersubjecttoanyspecialtrustornot,foranyoneormoreoftheobjectsoftheCompany;

（m）investthemoniesoftheCompanynotimmediatelyrequiredforitsobjectsinoruponsuchinvestments,securitiesorpropertyasmaybethoughtfit,subjectneverthelesstosuchconditions（ifany）andsuchconsents（ifany）asmayforthetimebeingbeimposedorrequiredbylawandsubjectalsoashereinafterprovided;

（n）makeanycharitabledonationeitherincashorassetsforthefurtheranceoftheobjectsoftheCompany;

（o）setasideincomeasareserveagainstfutureexpenditurebutonlyaccordancewithawrittenpolicyonreserves;

（p）establishandsupportanycharitableassociationorbodyandtosubscribeorguaranteemoneyforcharitablepurposescalculatedtofurthertheobjectsoftheCompany;

（q）makeregulationsforthepropersupervision,controlandmanagementofanypropertywhichmaybesoacquired;

（r）employandremuneratesuchstaffasarenecessaryforcarryingouttheworkoftheCompany.TheCompanymayemployorremunerateaDirectoronlytotheextentitispermittedtodosobyclause5andprovideditcomplieswiththeconditionsinthatclause;

（s）toprovideindemnityinsurancefortheDirectorsoranyotherofficeroftheCompanyinrelationtoanysuchliabilityasismentionedinsub-clause

（2）ofthisclause,butsubjecttotherestrictionsspecifiedinsub-clause（3）oftheclause;

（t）engageconsultants,advisorsandotherprofessionalsasappropriate;

（u）subjecttotheprovisionsofclause5hereoftopayreasonableannualsumsorpremiumsforortowardstheprovisionofpensionsforofficersorservantsforthetimebeingoftheCompanyortheirdependants;

（v）amalgamatewithanycompanies,institutions,societiesorassociationswhicharecharitableatlawandhaveobjectsaltogetherormainlysimilartothoseoftheCompanyandprohibitthepaymentofanydividendorprofittoandthedistributionofanyoftheirassetsamongsttheirmembersatleasttothesameextentassuchpaymentsordistributionsareprohibitedinthecaseofmembersoftheCompanybythisMemorandumofAssociation;

（w）payoutofthefundsoftheCompanythecosts,chargesandexpensesofandincidentaltotheformationandregistrationoftheCompany;

（x）doallsuchotherlawfulthingsasshallfurthertheaboveobjectsoranyofthem.

（2）Theliabilitiesreferredtoinsub-clause

（1）（s）are:

（a）anyliabilitythatbyvirtueofanyruleoflawwouldotherwiseattachtoadirectorofacompanyinrespectofanynegligence,defaultbreachofdutyorbreachoftrustofwhichheorshemaybeguiltyinrelationtotheCompany;

（b）theliabilitytomakeacontributiontotheCompany’sassetsasspecifiedinArticle178oftheInsolvency（NorthernIreland）Order1989（wrongfultrading）.

（3）（a）Thefollowingliabilitiesareexcludedfromsub-clause

（2）（a）:

（i）fines;

（ii）costsofunsuccessfullydefendingcriminalprosecutionsforoffencesarisingoutofthefraud,dishonestyorwilfulorrecklessmisconductoftheDirectororotherofficer;

（iii）liabilitiestotheCompanythatresultfromconductthattheDirectororotherofficerknewormustbeassumedtohaveknownwasnotinthebestinterestsoftheCompanyoraboutwhichthepersonconcerneddidnotcarewhetheritwasinthebestinterestsoftheCompanyornot.

（b）Thereisexcludedfromsub-clause

（2）（b）anyliabilitytomakesuchacontributionwherethebasisoftheDirector’sliabilityishisorherknowledgepriortotheinsolventliquidationoftheCompany（orrecklessfailuretoacquirethatknowledge）thattherewasnoreasonableprospectthattheCompanywouldavoidgoingintoinsolventliquidation.

5.

（1）TheincomeandpropertyoftheCompanyshallbeappliedsolelytowardsthepromotionoftheObjects.

（2）（a）ADirectorisentitledtobereimbursedfromthepropertyoftheCompanyormaypayoutofsuchpropertyreasonableexpensesproperlyincurredbyhimorherwhenactingonbehalfoftheCompany;

（b）Subjecttotherestrictionsinsub-clause（4）,aDirectormaybenefitfromtrusteeindemnityinsurancecoverpurchasedattheCompany’sexpense.

（c）ADirectormayreceiveanindemnityfromtheCompanyinthecircumstancesspecifiedinarticle65.

（3）NoneoftheincomeorpropertyoftheCompanymaybepaidortransferreddirectlyorindirectlybywayofdividend,bonusorotherwisebywayofprofittoanymemberoftheCompany.ThisdoesnotpreventamemberwhoisnotalsoaDirectorreceiving:

（a）abenefitfromtheCompanyinthecapacityofabeneficiaryoftheCompany;

（b）reasonableandproperremunerationforanygoodsorservicessuppliedtotheCompany.

（4）NoDirectormay:

（a）buyanygoodsorservicesfromtheCompany;

（b）sellgoods,services,oranyinterestinlandtotheCompany;

（c）beemployedby,orreceiveanyremunerationfromtheCompany;

（d）receiveanyotherfinancialbenefitfromtheCompany;

unless

（i）thepaymentispermittedbysub-clause（5）ofthisclause,doesnotexceedanamountthatisreasonableinallthecircumstances,anddoesnotresultinthemajorityoftheDirectorshavingreceivedafinancialbenefitfromtheCompany;or

（ii）theDirectorsobtainthepriorwrittenapprovaloftheCommissionandfullycomplywithanyproceduresitprescribes.

（5）（a）（i）ADirectormayreceivebenefitfromtheCompanyinthecapacityofabeneficiary.

（ii）ADirectormayenterintoacontractforthesupplyofgoodsorservicestotheCompanywherethatispermittedinaccordancewith,andsubjecttotheconditionsin,Section88oftheCharitiesAct（NorthernIreland）2008.

（iii）ADirectormayreceiveinterestonmoneylenttotheCompanyatareasonableandproperratewhichmustbe2percent（ormore）perannumbelowthebaserateofaclearingbanktobeselectedbytheDirectors.

（iv）AcompanyofwhichaDirectorisamembermayreceivefees,remunerationorotherbenefitinmoneyormoney’sworthprovidedthatthesharesofthecompanyarelistedonarecognisedstockexchangeandtheDirectorholdsnomorethan1percentoftheissuedcapitalofthatcompany.

（v）ADirectormayreceiverentforpremisesletbytheDirectortotheCompanyiftheamountoftherentandtheothertermsoftheleasearereasonableandproperandprovidedthatsuchaDirectorshallwithdrawfromanymeetingatwhichsuch
