SpecialNotes:

Thecommodityrealpropertyyouintendtopurchaseisplannedforofficeuseforatenureoffifty(50) years,thelandcoveredbywhichisforcomprehensiveuse(typeofland).ThesellershallconstructandputonsaletherealpropertyincompliancewiththeconditionsundertheConstructionProjectPlanningPermitissuedbythecompetentauthoritiesofplanningadministration,withoutmakingunauthorizedalterations.Inthecourseofusingtherealproperty,thebuyershallnotchangeitsintendeduse,mainarchitecturalstructureorload-bearingstructurewithoutauthorization.

Shouldthesellerselltherealpropertyintendedforofficeuseasaresidentialestatewithouttheapprovaloftheplanningauthorities,thebuyerwouldexposuretorisksintermsofpropertyownership,municipalinfrastructure,taxationandpublicsecurityetc.PleaseDONOTpurchaseanyofsuchrealproperty.

Notes

 

1.

ThisBeijingCommodityRealPropertyPre-saleContractisamodelcontract,jointlyformulatedbytheBeijingMunicipalCommissionofHousingandUrban-RuralConstructionandtheBeijingMunicipalAdministrationforIndustryandCommerce,andcouldbeusedasastandardformpre-salecontractwithrespecttonon-residentialestateforcommercial/officeuse.

 

2.

Thesellershall,priortothesigningofthisContract,presenttothebuyertheCommodityRealPropertyPre-salePermitandotherrelevantcertificates/supportingdocuments.

 

3.

Thiscontractshallbeexecutedbythepartiesconcernedbasedontheprinciplesofvoluntariness,equityandgoodfaith.Neitherpartymayimposehisownwillontheotherparty.Thepartiesconcernedmayamend,supplementanddeletetheclauseshereincontained.UpontheeffectivenessofthisContract,theprintedcontentsthatarenotamendedshallbedeemedastheagreedcovenantsbetweenthepartiesconcerned.

PriortothesigningofthisContract,thebuyershallcarefullyreadtheprovisionshereincontained,andshallpayparticularattentiontosectionsthatareoptionalorsubjecttosupplement,completionoramendment.

 

5.

Inconformitytotheprincipleofvoluntariness,blanklinesareleftattheendofrelevantclauseshereinfordiscretionaryorsupplementaryagreementbetweentheparties.Withrespecttomattersthatarenotcoveredhereunderorarenotspecifiedindetail,thesellerandthebuyermay,inthelightofthespecificsituationsoftheprojectonsale,eitherenterintoafairandreasonablesupplementaryagreement,orfillinblanklineswithadditionalprovisionssupplementarytotherelevantclauses.

Contentswithinthebracketsthatareoptional,thosetobefilledintheblanklinesandthosesubjecttodeletionoradditionshallbedecidedbythepartiesuponconsultation.Contentswithinthebracketsthatareoptionalshallbemarkedwith“”.Wheretheagreedcircumstancesareindisparitywithrealityorthepartiesagreenottomakeprovisionshereunder,itshallbemarkedwith“x”inblanklines,whichmeansthatsuchcontentsaredeleted.

 

7.

Inthecaseofanydisputearisingoutoftheperformancehereof,eitherpartymayfilealawsuitinthePeople’sCourtwherethecommodityestateissituatedorreferittoanarbitrationcommissionforarbitration.Inthecaseofarbitration,thedisputemaybereferredtotheBeijingArbitrationCommission,theChinaInternationalEconomicandTradeArbitrationCommissionoranarbitrationcommissionoutsideBeijing.

 

8.

ThepartiesconcernedmaydecidethenumberoftheoriginalsofthisContractbasedontheactualsituations.Beforethecontractisexecuted,bothpartiesshallcarefullyreadandensurethateverycopyofthiscontractisthesameaseachother.Inanycase,thebuyershallkeepatleastoneoriginalofthisContract.

ArticleIIIGeneralInformation

TheCommodityRealPropertyislocatedatRoom1615,13/F,BuildingComplexA3,SectionA,Plot#6-#10,ZoneB,WangjingNewCity,ChaoyangDistrict.

ThemainarchitecturalstructureofthebuildingcomprisingtheCommodityRealPropertyisreinforcedconcretestructure.Thebuildinghas39floors,including36abovegroundand3underground.

TheCommodityRealPropertyshallbeRoom1615locatedonthe13thfloorofA3ComplexBuildingintheprojectdescribedinArticleabove,withtheroomnumber(fortemporaryuseonly)subjecttothefinalapprovaloftheauthoritiesofpublicsecurityadministration.ThelayoutofthisCommodityRealPropertyanditslocationplanintheentirebuildingshallbeattachedheretoasAppendixI.
