WHEREASthePartieswishtocollaboratetoreprint,translateand/oradaptasChinaEditions（‘theChinaEditions’）,forthePeople’sRepublicofChina（excludingHongKong,MacauandTaiwan）,titlesoriginallypublishedbyCambridgeUniversityPress（‘theOriginalWorks’）,andtopublishtheChinaEditionsunderthejointimprintsofCambridgeUniversityPressandCHINESEPUBLISHER,andthentopromote,distributeandselltheChinaEditionsinthePeople’sRepublicofChina（excludingHongKong,MacauandTaiwan）.

ITISMUTUALLYAGREEDbetweenthePartiesheretoasfollows:

Principlesofcollaboration

1.1PublicationoftheChinaEditionsshallbeattheriskandexpenseofthePartiesjointly,andcostsandrevenueshallbedividedbetweenthePartiesasprovidedunderthisAgreement.

1.2WherecopyrightintheOriginalWorksisheldbyCambridgesolely,copyrightinthecorrespondingChinaEditionsshallbeheldjointlybyCambridgeandCHINESEPUBLISHERduringthetermofthisAgreementwithoutprejudicetoCambridge’ssoleandexclusiverightsintheOriginalWorks.WherecopyrightintheOriginalWorksisnotheldbyCambridgesolelyorCambridgeholdsonlythenecessaryrightsunderlicensefromthecopyrightholderoftheOriginalWorksfor,amongstotherthings,thepublicationoftheOriginalWorksastheChinaEditions,CambridgeandCHINESEPUBLISHERshalljointlyowncopyrightinCambridge’sandCHINESEPUBLISHER’SnewcontributionstotheChinaEditions（i.e.newcontent,design,layout,translationsetc.,notfoundintheOriginalWorks）duringthetermofthisAgreementwithoutprejudicetothecopyrightholder’sownrightsintheOriginalWorksasusedintheChinaEditions.Fortheavoidanceofdoubt,exceptasexpresslymentionedinthisAgreement,neitherPartyshallexerciseorpermittheexercisingofanyprimaryorsubsidiaryrightsintheChinaEditions（by,forexample,publishingorlicensingrightspermittingthepublicationof,amongstotherthings,reprint,revised,derivative,translationandadaptededitionsoftheChinaEditions）onitsownorjointlywithanythird-partywithoutsecuringthepriorwrittenagreementoftheotherParty.

1.3CHINESEPUBLISHERshallhavetherighttousethenameandlogoof‘CambridgeUniversityPress’solelyinconnectionwiththepublication,promotion,distributionandsaleoftheChinaEditionsduringthetermofthisAgreementonlyandnootherusemaybemadeofthesaidnameandlogowithoutthepriorapprovalofCambridgeinwriting.Fortheavoidanceofdoubt,theChinaEditionsshallbearthejointimprintsofCambridgeUniversityPressandCHINESEPUBLISHERonly,andshallbepublishedunderChineseISBNsprovidedbyCHINESEPUBLISHER,suchChineseISBNshavingbeenlawfullyprocuredbyCHINESEPUBLISHERforthepurposeofpublishingtheChinaEditions.

1.4CHINESEPUBLISHERshallundertakethepromotion,distributionandsaleoftheChinaEditionsinthePeople’sRepublicofChina（excludingHongKong,MacauandTaiwan）only（thisterritoryhereinafterreferredtoas‘theArea’）.CHINESEPUBLISHERshallnotpromote,distributeorselltheChinaEditionsoutsidetheArea,ordistributeorsellthemdirectlyorindirectlytoanypersonororganisationintheAreaknowingorhavingreasontobelievethattheyshallbere-soldoutsidetheArea.

1.5TheOriginalWorkstobepublishedasChinaEditionsarelistedasScheduleAtothisAgreement.FurtherschedulesmaybeaddedtothisAgreement（e.g.asSchedulesA.2,A.3,A.4etc.）toprovideforthepublicationofadditionalOriginalWorksasChinaEditionssubjecttothemutualagreementofthePartiesinwriting.

1.6NothinginthisAgreementshallbeconstruedaspreventingCambridgefrompublishingorco-publishingonitsownorwithanythird-party,orpermittingthepublishingorco-publishingbyanythird-partyof,theOriginalWorksorpartsthereofinanyformormediaprovidedthatduringthetermofthisAgreementCambridgeshallnotpublishorco-publish,orpermitthepublishingorco-publishingbythird-parties,withintheArea,ofanyworkusingtheOriginalWorksorpartsthereofthatisinform,contentandmediacloselysimilartotheChinaEditionswithoutfirstsecuringCHINESEPUBLISHER’sconsentinwriting（e-mailcorrespondenceshallsuffice）.

1.7Fortheavoidanceofdoubt,neitherPartyshall:

1.7.1representitselfasanagentoftheotherPartyforanypurpose;

1.7.2giveanyconditionorwarrantyormakeanyrepresentationontheotherParty’sbehalforcommittheotherPartytoanycontractsorobligations;

1.7.3withouttheotherParty’spriorwrittenconsentmakeanypromisesorguaranteesinrelationtotheChinaEditions;or

1.7.4otherwiseincuranyliabilityonbehalfoftheotherParty.

ResponsibilitiesoftheParties

2.1.1Cambridgeshallberesponsibleforobtainingtheconsentofthecopyrightholders（and/or,whereappropriateasdeterminedbyCambridgesolely,theauthors）oftheOriginalWorkstothepublicationoftheChinaEditions.

2.1.2CHINESEPUBLISHERshallberesponsibleforobtainingallnecessarypermissionsforthereproductionintheChinaEditionsofanythird-partymaterialsthatmaybeincludedintheChinaEditions（includinganythird-partymaterialsintheOriginalWorksreproducedintheChinaEditions）,andforthepaymentofrelevantfees.CHINESEPUBLISHERindemnifiesCambridgeagainstanyloss,injury,damageandexpense（includinganylegalcostsanddisbursementspaidbyCambridgeontheadviceofCounseltocompromiseorsettleanyclaim）occasionedtoCambridgeinconsequenceofanyfailurebyCHINESEPUBLISHERtodischargeitsobligationsunderthisclause2.1.2andclause2.2below.

2.2CHINESEPUBLISHERshallberesponsiblefortheagreementswithanyadapters,translators,illustratorsandothercontributorstotheChinaEditions,suchagreementstobeonawork-for-hirebasiswherebyfullcopyrightinthecontributionsisassignedtoCambridge-CHINESEPUBLISHERjointly,andforthepaymentofrelevantfees.

2.3CHINESEPUBLISHERinconsultationwithCambridge,andsubjecttoCambridge’sapprovalofthePrint-RunReport,shallberesponsibleforthereprinting,translatingand/oradaptationoftheOriginalWorksastheChinaEditions,andfortheeditinganddesignoftheChinaEditions.TheCHINESEPUBLISHERshallcauseanyreprintingortranslationoftheOriginalWorksastheChinaEditionstobemadefaithfullyandaccurately,andanyadaptationoftheOriginalWorksastheChinaEditionsshallbemadeinamannerconsistentwithanadaptationplansubmittedtoandapprovedbyCambridgeinwriting（e-mailcorrespondenceshallsuffice）.

2.4.1Cambridgeshall,atitssolediscretion,provideCHINESEPUBLISHERwithelectronicfilesforOriginalWorksexistinginprintformat,andwithmastertapes/CDsand/orDVDsforOriginalWorksexistinginaudio-visualformats.CHINESEPUBLISHERshallberesponsibleforpayingtherelevantfeesfortheseelectronicfilesandmastertapes/CDsand/orDVDs,andCHINESEPUBLISHERshallberesponsibleforthemanufactureoftheChinaEditionssubjecttoCambridge’sapprovaloftheproductioncosts（whichshallincludeallpre-pressandmanufacturingcosts,wastageandalltaxesexceptwithholdingtax）.CHINESEPUBLISHERmayusethematerialsprovidedbyCambridgeunderthisclause 2.4.1onlytofulfilCHINESEPUBLISHER’sobligationsunderthisAgreement,suchusetobeinstrictcompliancewithanytermsofusethatmaybeimposedbyCambridgeatitssolediscretionfromtimetotime.

2.4.2CHINESEPUBLISHERshallprovideCambridgewithcover,backcover,copyrightpageandspineproofs,andsuchotherproofsofallorpartoftheChinaEditionsasmayberequestedbyCambridgefromtimetotime,forCambridge’sapprovalatleastone

（1）monthpriortomanufacture.Cambridgeshallsubmititsfeedbackwithintwenty-one（21）calendardays.IfCambridgecannotgiveitsfeedbackwithinthedaysspecified,CHINESEPUBLISHERshallproceedwiththemanufacturingoftheChinaEditionsontheunderstandingthatCambridgehasnoobjectionsandgivesitsapproval.CHINESEPUBLISHERshallprovideCambridgewithcopiesofallfinalelectronicfilesoftheChinaEditionsintheformat（s）requestedbyCambridge.

2.5.1CHINESEPUBLISHER’sPrint-RunReportforeachChinaEditionshallspecifyitslistpriceinlocalcurrency,discount,salesinvoiceprice,netprice,printingnumber,print-run,productioncosts（whichshallincludeallpre-pressandmanufacturingcosts,wastageandalltaxesexceptwithholdingtax）,intendedpublicationdate[fortheavoidanceofdoubt,timeshallbeoftheessenceandfailuretomeettheintendedpublicationdeadline（oranyalternativepublicationdatethatmaysubsequentlybeagreedbetweenthePartiesinwriting–e-mailcorrespondenceshallsuffice）shallbeamaterialbreachofthisAgreement],minimumprint-runandsalesforecastsforafive-yearperiodandtotalpaymentamount,andshallbesubjecttoCambridge’sapproval,suchapprovaltobesecuredinadvanceofCHINESEPUBLISHERincurringanycostsinrespectoftheChinaEditionsandevidencedbytheaddingofthePrint-RunReportasaScheduleBtothisAgreementassetoutunderclauses3.1.1and3.1.2below.

2.5.2CHINESEPUBLISHERagreestonotifyCambridgeofanyplannedreprintingoftheChinaEditionswithaPrint-RunReportandshallfollowtheguidelinesascoveredinclause2.5.1above.

2.6.1CambridgeshallbeentitledtoarrangeforanindependentauditortoundertakeanannualauditatCHINESEPUBLISHER’swarehouseonthenumberofcopiesofeachoftheChinaEditionsinstock.ThecostofsuchinspectionshallbebornebyCambridgeunlessthereisadiscre
