WHEREAS,AAAhasdevelopedandownstheProjectandtheTechnology,asdefinedandspecifiedbelow;and

WHEREAS,TheCompanydesirestopurchasefromAAA,andAAAdesirestoselltotheCompany,theProjectandtheProject’sTechnology,andtogranttheCompanyanexclusivelicensetousetheOtherTechnologywithintheCompany’sFieldofLicense,allasdefinedandspecifiedbelowandsubjecttothetermsandconditionssetforthherein;

NOW,THEREFORE,thepartiesheretoherebyagreeasfollows:

1.DEFINITIONS.

InthisTechnologyPurchaseandLicenseAgreementthefollowingwordsandexpressionsshallbearthemeaningssetoppositethem:

theAgreementthisTechnologyPurchaseandLicenseAgreement,thepreambleandallexhibitsandschedulesthereto;

Improvementsallimprovements,enhancementsormodificationstotheProject’sTechnologymadebyeitherpartyduringthetermofthisAgreement;

GlobalPatenttheGlobalPatentAssignmentintheformattachedtoAssignmentthisAgreementasEXHIBITA;

thePatentsthepatentsandpatentapplications,asidentifiedinEXHIBITBhereto;

theProjectAninvivovideocameraandanautonomousvideoendoscope,includingaswallowablecapsulewithacameraandanopticalsystem,atransmitterandareceptionsystem;

theTechnologytheexistingunclassifieddocumentedknow-howandintellectualpropertydevelopedbyAAA,andspecificallyusedatAAAfortheProject,includingthePatentsandotherpatentsandpatentapplications,ifany,theprototypes,drawings,designs,diagrams,computerprogramsandtheirsources,designassurancedataandothertangibletechnicalinformationusedatAAAfortheProject;

theProject’sthePatents,theprototypes,andsuchotherpartofTechnologyTechnologywhichwasdevelopedbyAAAspecificallyfortheProject;

theOtheranyTechnologyotherthantheProject’sTechnology,Technologyandwhichshall,whendeliveredintangibleformtotheCompany,bemarkedasOtherTechnology

theCompany’sthelicensegrantedbyAAAtotheCompanyunderLicenseSECTION3.2hereof;

theCompany’sthecommercialexploitationoftheProjectandFieldofLicenseproductstobedevelopedorderivedtherefrom;

theAAAthelicensegrantedbytheCompanytoAAAunderLicenseSECTION7.1hereof;

theAAA’sFieldanymilitaryand/orsecurityapplicationoftheofLicenseProject’sTechnology.

2.AAA’SREPRESENTATIONS.

TheTechnologyhasbeendevelopedandisownedsolelybyAAA,andAAA’srightsthereinarefreeandclearofanylien,charge,claim,preemptiverightoranyotherencumbranceorthirdpartyrights.NeithertheexecutionanddeliveryofthisAgreementnor,toAAA’sbestknowledgeandwithouthavingconductedanyspecialinvestigation,theusebytheCompanyoftheTechnology,shallviolateorinfringetherightsofanyotherperson,firmorentity,norhasanyperson,firmorentitymadeorthreatenedAAAwithanyclaimthatwillinterferewiththeCompany’suseoftheProjectortheProject’sTechnologyinaccordancewiththetermsofthisAgreement,andnorwilltheexecution,deliveryorperformancebyAAAofthisAgreementconstituteabreachofanylaw,agreementorinstrumenttowhichAAAisapartyorbywhichitisbound.

3.SALEANDLICENSEOFTECHNOLOGY.

3.1AAAherebysellstotheCompany,andtheCompanyherebypurchasesfromAAA,allofAAA’sright,titleandinterestinandtotheProjectandtheProject’sTechnology,freeandclearofanylien,charge,claim,license,preemptiverightoranyotherencumbranceorthirdpartyright,exceptfortheAAALicense,asprovidedforunderSECTION7belowandtherestrictionsontheCompany’susethereofasprovidedforunderSECTION3.3below.Inordertogivefulleffecttothistransaction,AAAshalldelivertotheCompany,togetherwiththisAgreement,theGLOBALPATENTASSIGNMENT,dulysignedbyAAA.AAAagreestoexecuteupontherequestoftheCompanysuchadditionalinstruments,applications,declarationsandforms,asmaybenecessaryunderanyrelevantlaworasmayberequiredbyanyofficialorauthority,tocontinue,secure,defend,registerandotherwisegivefulleffectto,andperfecttherightsoftheCompanyundertheGlobalPatentAssignmentinthePatents,includingtoregistertheassignmentofeachPatentinthenameoftheCompany.

3.2

（a）AAAherebygrantstotheCompany,andtheCompanyherebyaccepts,aworld-wide,exclusive,royalty-free,andperpetuallicensetousetheOtherTechnology,solelyforthepurposeofthecommercialexploitationoftheProject（theCOMPANY’SLICENSE）.TheCompany’sLicenseshallbetransferableonlyinaccordancewiththeprovisionsofSection6below.

（b）ExceptforAAA’slimitedrighttorescindtheCompany’sLicenseasspecificallyprovidedinSection3.3below,theCompany’sLicenseshallbeirrevocableandtheonlyremediesforanybreachofitstermsshallbedamagesand/orinjunctivereliefs.

（c）TheCompany’sLicensegrantedherebyshallbeeffectiveupontheexecutionanddeliveryofthisAgreement,withoutnecessityforanyfurtheractionorwriting,subjecthowevertothepaymentbytheCompanyoftheconsiderationasprovidedinSECTION5below.UpontheCompany’swrittenrequest,AAAshallforthwithconfirminwritingtheCompany’sLicenseand,attheCompany’sexpense,shallexecuteanyformsorinstrumentsnecessaryforthefiling,registering,perfecting,defendingandrecordingoftheCompany’sLicenseatanyappropriategovernmentalofficesorothercompetentauthorities,in_________（Country）orabroad.

（d）SubjecttotheCompany’sLicensegrantedhereby,AAAshallretainallrightsintheOtherTechnologyasthesoleownerthereof.

3.3TheuseoftheOtherTechnologybytheCompanycontrarytotheprovisionsofthisSECTION3.2（a）shallconstituteamaterialbreachofthisAgreement,andunlesstheCompanyshallceasemakingsuchusewithinthirty（30）daysfromreceivingAAA’sfirstwrittennoticeofsame,AAAshallbeentitledtorescindtheCompany’sLicensebygivingtheCompanyawrittennoticetothateffect.

4.TANGIBLES,TECHNICALSUPPORTANDPERSONNEL.

4.1Assoonaspracticablefollowingthesigninghereof,AAAshalldelivertotheCompanyallthetangibleProject’sTechnology.

4.2FortheexploitationoftheProjectbytheCompany,fromtimetotimeasshallbecoordinatedbetweentheCompanyandAAA,attheCompany’srequestandsubjecttoAAA’ssecurityrestrictionsandavailablemanpowerandfacilities,AAAshallprovidetheCompanywith:

（i）technicalsupport,suchasAAA’savailableworkspace,manpower（forwhichtheCompanyshallpayaccordingtoAAA’sCostrateplus10%）,laboratories,apparatusandotherequipmentrequired,provided,however,thattheCompanyshallbeliableforanylossordamagetoAAAortoanythirdpartycausedbyanyoftheCompany’spersonnel（unlessthepersonwhocausedsuchlossordamagewasactinginaccordancewithAAA’swritteninstructions）,andthattheCompanyshallmaintainduringsuchperiodadequateinsurancescoveringsuchliabilities;（ii）reasonableassistanceintechnicalguidanceandinstructionsregardingtheTechnology,asshallberequiredfortheCompany’stechnicalstafftogainacquaintancethereofforthepurposeoftheProject;and（iii）freeaccesstoAAA’sexistingdocumentationasrequiredforcompletinganddocumentingtheProjectbytheCompany’stechnicalstaff,consultantsandotherexpertsemployedthereby.

4.3TheCompanymayrequestAAAfromtimetotimethatemployeesofAAAwillprovideconsultingorotherservicessimilarinnaturetotheCompanyinconnectionwiththeProject,andAAAshallgivedueconsiderationtosuchrequestsonacasebycasebasis,subjecttotheavailabilityofsuchemployee,theprovisionsoftheStateServiceRegulations（?

5.CONSIDERATION.

InconsiderationfortheProject,theProject’sTechnologyandtheCompany’sLicense,theCompanyshallpayAAAtheamountof_________（$,_________）.PaymentshallbeinNIS,calculatedaccordingtotherepresentativerateofexchangeaspublishedbytheBankof_________（Country）immediatelypriortowhenpaymentiseffected,plusV.A.T.attheapplicablerate,againstdeliverybyAAAofataxinvoiceintheCompany’sname.

6.TRANSFERABILITYOFOTHERTECHNOLOGY.

Anytransferlicenseorsub-licensebytheCompany（aTRANSFER）ofanycurrentlyexistingOtherTechnologywhichisnotinthepublicdomain,oranyoftheCompany’srightsunderSections4,8,10and/or11ofthisAgreement,toanythirdpartyshallbelimitedatalltimesforuseonlywithintheCompany’sFieldofLicense,andfurther,shallbeconditioneduponthepriorwrittenconsentofAAA,whichconsentshallnotbeunreasonablywithheld,exceptforaTransfertoanaffiliatewhichshallnotrequiresuchconsent.Thetermaffiliateshallmean,anentitywhichshallfirstagreetoabidebythetermshereof,andinwhicheithertheCompanyorRDC-AAADevelopmentCorporationLtd.shallholdatthetimeofsuchTransfer,directly,themajorityofvotingrightsassuringtheeffectivecontrolthereininapermanentfashion,andsuchcontrolshallbemaintainedatalltimesunlessAAAhasotherwiseconsentedinwritingandinadvance,whichconsentshallnotbeunreasonablywithheld.Notwithstandingtheforegoing,AAA’srightsundertheAAALicenseshallin
