SpecialNotice

I.ThisContractisapplicabletotheleaseofhouseforwhichShanghaiLiyuanRealEstateConsultingCo.,Ltd.providesintermediationandagencyservices;ShanghaiLiyuanRealEstateConsultingCo.,Ltd.,asathirdparty,onlyassumestheobligationtoassistPartyAandPartyBinconcludingtheleasecontract;andtheliabilityofmediationandproofafterdisputesarisebetweenPartyAandPartyB.

II.ThetextofthisContractisasampleformulatedbyShanghaiLiyuanRealEstateConsultingCo.,Ltd.accordingtoShanghaiHousingLeaseContract(CommercialHousingPre-leaseContract)2000ofShanghaiHousing,LandandResourcesAdministrationandShanghaiAdministrationofIndustryandCommerce(deletingthecontentconcerningthepre-leaseofcommercialhouses).TheclausesofthisContractareallsuggestiveclauseswhichmaybeadoptedbythetwopartiestotheleasecontractuponagreement.ThemattersnotmentionedinthisContractmaybespecifiedbyconcludingsupplementaryclausesthroughnegotiationofPartyAandPartyB.

III.PriortothesigningofthisContract,thelessorshallfurnishtheCertificateofOwnershipofHouseandLandorothercertificateofpropertytothelessee,andbothpartiesshallpresenttheirrelevantIDcertificatestotheotherpartyforverification.Ifthehouseisleasedtomigrants,thelessorshallshowHouseLeaseSecurityLicenseissuedbythepublicsecuritydepartmentaswell.

IV.PartyAandPartyBshallgothroughcontractregistrationwithin15daysaftersigningthisContractaccordingtotherelevantregulations.Intheeventofhouselease,registrationshallbehandledwiththerealestatetradingcenterorthefarmsystemacceptancedivisionintheplacewherethehouseislocatedtoobtainthecertificateofregistrationofleasecontractforrecord;aftertheregistrationoftheleasecontract,athirdpartycanbedefendedagainstincaseofrepeatedpre-lease,lease,transferofthehouseduringtheleasetermordisposalofaftermortgageandetc..

V.Whereonepartyrequestsregistration,whiletheotherpartyrefusestocooperate,thepartyrequestingregistrationmaygothroughregistrationwiththerelevantdocumentssuchasthisContractandvalidIDcertificates.

VI.Houseleasedepositisameasureensuringtheperformanceofthecontract.Whenthehouseisleased,thelessorandthelesseemayagreeahouseleasedeposittobecollectedinthecontract.Theamountoftheleasedepositmaybeagreedbythetwopartiestotheleasecontract.Whentheleaseholdrelationshipterminates,exceptforthesumdeductedforpaymentoftheexpensespayablebythelesseeasagreedinthecontract,theremainderofthedepositshallbereturnedtothelesseeintime(withoutinterest).

VII.Taxessuchasstamptaxandindividualincometaxandetc.aswellasothercostsofthisContractwillbepaidbyPartyAandPartyBrespectively.

VIII.ThetextofthisContracthasbeenregisteredwithShanghaiAdministrationofIndustryandCommerce,PartyAandPartyBmaychoosethetextofShanghaiHousingLeaseContract(CommercialHousingPre-leaseContract)2005printedbyShanghaiHousing,LandandResourcesAdministrationandShanghaiAdministrationofIndustryandCommerceortheShanghaiHousingLeaseContractprovidedandselectedbyShanghaiLiyuanRealEstateConsultingCo.,Ltd.attheirdiscretionaccordingtothesituation.

FortheleasingofthelegallyrentablepremisesbyPartyBfromPartyA,inaccordancewiththeContractLawofthePeople’sRepublicofChinaandShanghaiHousingLeaseRegulations(hereinafterreferredtoastheRegulations),PartyAandPartyB,throughnegotiationandonthebasisofequality,willingness,fairness,honestandgoodfaith,concludethisContract.

(I)ConditionoftheLeasedPremises

1-1Thepremises(namedHuaihaiZhonghuaTower),whichPartyAleasestoPartyB,islocatedatRoom1906,885RenminRoad,HuangpuDistrict(hereinafterreferredtoas“Premises”)andcoversanactualfloorspaceof100.07squaremeters.PartyAhasshowntoPartyBtheCertificateofOwnershipoftheHouseandtheLandUseRight[Certificatehufangdihuangzi(2004)No.002473].

1-2PartyAconcludesthisleasecontractwithpartyBastheownerofthehouseBeforeconclusionofthiscontract,PartyAhasinformedPartyBthatthePremisesisfreeofanymortgages,andhasobtainedthewrittenconfirmationfromotherco-ownerstosignthisContract.

1-3InAnnexItothisContract,PartyAandPartyBhavelistedthePremises’currentdecorations,facilities,equipment,aswellastheattachedfacilitieswhichPartyAagreesPartyBtodecorateandaddtogetherwiththefacilities’standard,andanyothermattersneedstobeagreed.BothPartyAandPartyBagreetotakethisAnnexasthebasisforacceptanceatthetimeofdeliveryofthePremisesbyPartyAtoPartyBandredeliveryofthePremisesbyPartyBtoPartyAuponterminationofthisContract.

(II)Purposeofthelease

2-1PartyBundertakestoPartyAthatthePremiseswillbeusedasanofficeaccordingtotherelevantregulationsoftheStateandShanghaionhouseusingandpropertymanagement.

2-2PartyBwarrantsthatduringtheleaseperiod,itwillnotchangethepurposeofthePremisesasagreedaboveunlessitisagreedbyPartyAinwritingandisapprovedbytherelevantauthorities(ifnecessaryaccordingtolaw).

(III)DeliveryDateandLeasingPeriod

3-1BothPartyAandPartyBagreethatPartyAshalldeliverthePremisestoPartyBwithinthreedaysupontheconclusionofthisContractandPartyA’sreceiptoftheleasedeposit,andaConfirmationonDeliveryofHouseandLandshallbesigned.TheleasingperiodofthePremisesshallbefrom15October2008till14October2010.

3-2RentalfreeperiodforDecoration:

fromthedeliveryofthePremisesbyPartyAto14October2008.

3-3Uponexpiryoftheleasingperiod,PartyAisentitledtotakebackthePremises,andPartyBshouldreturnthePremisesinduetime.IfPartyBintendstorenewtheleasehold,itshouldnotifyPartyAinwritingtwomonthsbeforetheexpiryofthisContract.AnewleasecontractshallbeexecuteduponPartyA’sconsent.PartyBshallenjoytheprioritytoleasethePremisesunderthesameconditions.

(IV)Rental,PaymentandTimeLimit

4-1BothPartyAandPartyBagreethatthemonthlyrentalofthePremisesshallbeRMB12,000.00(orUSDofequivalentvalue)(Inwords:

RMBTwelveThousandOnly),exclusiveofpropertymanagementfee.TherentalforthePremisesshallremainunchangedfortwoyears.Fromthethirdyear,bothpartiesmayadjusttherentalthroughnegotiation.ThemattersonadjustmentmaybeagreedbyPartyAandPartyBinsupplementaryclauses.

4-2PartyBshouldpayPartyAthenextinstallmentrentalbeforethe10thdayeverypaymentmonth.PartyAshallissueareceipttoPartyBafteritreceivestherental.Incaseofoverduepayment,PartyBshallpayanoverduefineattherateof2%ofthedailyrentalperday.

4-3ThefirstinstallmentofpaymentisRMB36,000.00(orUSDofequivalentvalue)(includingtwomonths’leasedepositandamonth’srental),whichshallbemadeinsingleinstallmentinUSDaspertheOfficialExchangeRateofthepaymentdateuponconclusionofthiscontract.

4-4TherentalandtheleasedepositshallbepaidinUSDaspertheOfficialExchangeRateofthepaymentdatebytelegraphictransferorbankaccounttransfertoPartyA’sfollowingbankaccount:

(V)DepositandOtherExpenses

5-1BothPartyAandPartyBagreethatwhenPartyAdeliversthePremises,PartyBshouldpaytwo-monthrental,namelyRMB24,000.00(orUSDofequivalentvalue)toPartyAasaleasedeposit.PartyAshallissueareceipttoPartyBafteritreceivesthedeposit.

Uponterminationoftheleasehold,thedepositcollectedbyPartyA,exceptforthesumdeductedforpaymentoftheexpensespayablebyPartyBasagreedinthisContract,shallbereturnedtoPartyBfreeofinterestwithin3daysuponsettlementofallthecostsincurredforthePremisesbyPartyB.

5-2Duringtheleasingperiod,PartyBshouldbearthefeesofwater,electricity,gas,communications,facilities,propertymanagementandsoonincurredduringitsuseofthePremises.

5-3PartyBshallberesponsibleforthepaymentoftheaboveexpenses.Theaboveexpensesshallbepaidtotherelevantunitsontime.

VI.Requirementforuseandrepairresponsibility

6-1BeforeentryofPartyBandduringtheleaseterm,ifdamagesorfailuresarefoundbyPartyBinthePremisesanditsattachedfacility,PartyBshallpromptlynotifyPartyAforrepair;PartyAshallrepairitwithin5daysafteritsreceiptofthenoticefromPartyB.IfPartyAfailstorepairitwithinthetimelimit,PartyBmayrepairitonPartyA’sbehalfandtheexpensesshouldbebornbyPartyA,whichPartyBisentitledtodeductfromthenextinstallmentoftherental.

6-2Duringtheleaseterm,PartyBshallreasonablyusethePremisesanditsattachedfacilityandtakegoodcareofthesame.Otherwise,PartyBshallassumetheliabilityforrepairingthedamagesorfailuresofthePremisesanditsattachedfacilitycausedbyimproperorunreasonableuseofPartyB.IfPartyBrefusestorepair,PartyAmayrepairitonPartyB’sbehalfandtherelevantexpensesshouldbebornbyPartyB.
