1.GENERAL
1.1CONTRACTORhasbeenselectedfortheperformanceoftheWORKontheunderstandingthatitisqualifiedintheclassofworkinvolvedandthatCONTRACTORshallexerciseallreasonableskill,care,anddiligenceintheperformanceoftheWORKandshallcarryouttheWORKinaccordancewiththerequirementsoftheCONTRACTandtointernationallyrecognizedgoodoilfieldpracticesandstandards.
1.2TheWORKwhichistobeprovidedbyCONTRACTORshallcomprisebutnotnecessarilybelimitedto,theprovisionofmanagement,engineering,supervision,labor,plant,equipment,andmaterialstosupportCOMPANY'soperations,allasgenerallydescribedherein.
2.THEWORK
2.1COMPANYmayfromtimetotimerequestCONTRACTORtocarryoutcertainworkorservices,orprovidesupplies,equipment,ormaterialsinaccordancewiththetermsoftheCONTRACTasmorespecificallydefinedineachjobrequestissuedbyCOMPANY("WORKORDER").AWORKORDERcantakeeitheronpaperorelectronicform.
2.2ItisagreedandunderstoodthatCOMPANYisnotobligatedtorequestWORKhereunder,andthatCONTRACTORshallacceptanceanyWORKORDERissuedbyCOMPANYhereunder;however,COMPANYandCONTRACTORagreethatthefollowinggeneralprovisionsshallatalltimesapplytoandcontrolallWORKwhichmaybeconductedorcarriedoutbyCONTRACTORforCOMPANYunderanyWORKORDERuntilsuchWORKORDERiscancelled.WithrespecttoWORKperformedunderthisCONTRACT,thecompensationschedulesetforthinRemuneration,shallapply.
CONTRACTORshallusereasonablecommercialeffortsduringthetermoftheCONTRACToranyWORKORDER,toensurethatthecostsofthefinalcompletionoftheWORKshallnotexceedtheestimate.IntheeventthattheWORKisperformedonanunsupervisedbasis,e.g.,rentaltools,COMPANYandCONTRACTORwilljointlymonitorcostsforexpendituretracking.IfCONTRACTORdeterminesthattheestimateislikelytobeexceeded,CONTRACTORshallpromptlynotifyCOMPANYofthesameandprovideanestimateoftheadditionalcost.SuchnotificationshallconstitutearequestforaCHANGEORDERtorevisetheoriginalestimate.Uponreceiptofsuchnotice,COMPANYshallpromptly
(1)issueaCHANGEORDERrevisingtheoriginalestimatebeforesuchestimateisexceededor
(2)releaseCONTRACTOR'spersonnelandequipment.However,innoeventshallCONTRACTORmakeorincurtotalexpendituresandchargesfortheWORKinexcessofsuchestimatesunlessanduntilawrittenrequestisapprovedbyCOMPANY.
2.3FromtimetotimeCOMPANYmayclarify,modify,expand,orreducethescopeoftheWORKORDERbyaCHANGEORDER.CONTRACTORwillcomplywithinstructionsinsuchCHANGEORDER.ACHANGEORDERcantakeeitherapaperorelectronicform.
2.4Theprovision,utilization,andmanagementoftheWORKshallbethesoleresponsibilityofCONTRACTORalwaysacceptingthatCONTRACTORshallmeetthescopeofWork.TheWORKshallbeprovidedinaccordancewiththeservicespecificrequirementscontainedherein.
2.5CONTRACTORshallliaisewith,andascertainfromCOMPANY,allforwardprogrammingandplanninginformationforCOMPANY’swelloperationstoenableCONTRACTORtoprovidealltheresourcesrequiredtomeetitsobligationsundertheCONTRACT.CONTRACTORshallbesolelyresponsibleforensuringthatpersonnel,equipment,andallotheritemsareprovidedsothatnodisruptionoccurstothewelloperation.
2.6CONTRACTORshallseekoutappropriateexpertisetoenableCONTRACTORtomaximizeoperatingperformance.SaidinvolvementofThirdPartiesforpurposesofthisClauseshallnotbeforCOMPANY’saccountorreimbursableundertheprovisionsofRemuneration,unlessspecificallyagreedtoinwriting.
2.7CONTRACTORshallpro-activelymonitor,evaluate,andpromotetheuseofnewtechnologytoimprovecosteffectivenessandaddvaluetotheWORK.
2.8COMPANYiscommittedtomakingitstechnologyandknowledgeof‘bestpractices’availabletoCONTRACTOR.ItisexpectedthatCONTRACTORwillavailitselfofthisopportunitytouseCOMPANYdataandknowledgeinthecourseoftheCONTRACT.Likewise,itisexpectedthatCONTRACTORwillprovidetoCOMPANYitsknowledgeofindustrybestpracticesandtechnology.
2.9CONTRACTORshallprovideanorganizationtoplan,monitor,andoptimizetheperformanceoftheWORKinfullcompliancewiththerequirementsofCOMPANY.Thisshallinclude,butnotbelimitedtothemanagementofCONTRACTOR’sandSUBCONTRACTOR’shealth,safety,security,environment,qualityassurance,andlegalobligations.
2.10CONTRACTORshallensureoptimalutilizationofequipment,inthat,equipmentshallbebackloadedattheearliestopportunityifnolongerrequired.CONTRACTORshallrenderallassistancetoCOMPANYinthisregard.Nevertheless,equipmentand/ormaterialsshallonlybeshippedandbackloadedwiththepriorconsentofCOMPANY.TheeffectivenessandbenefitsoftheactionstakenmaybemeasuredaspartoftheSECTION05–CONTRACTORPERFORMANCEMANAGEMENT.
3.PERSONNEL
3.1CONTRACTORshallprovidefullytrained,competentpersonneltoperformtheWORKinaccordancewiththeapplicableWORKORDER.ThenumberofpersonnelrequiredwillbedeterminedbyoperationalandengineeringneedasagreedbyCOMPANYandCONTRACTOR.Toensurecontinuityandoperationallearning(s),personnelassignedtoaWORKSITEshallnotbereplacedwithoutCOMPANY’sapprovalwhichshallnotbeunreasonablywithheld.
3.2CONTRACTORshallprovideanAccountCoordinatorwhowillprovidetechnicalsupporttoCOMPANYwellplanningandoperationsteams.CONTRACTORstaffdesignatedforsuchpositionswillbepre-qualifiedandapprovedbyCOMPANY.
3.3CONTRACTORshallsupplyanominatedAccountManagerwhoisaccountablefortheperformanceofallpersonnelprovidedbyCONTRACTOR.TheAccountManagerisexpectedtoprovideasinglepointofcontactforcontractualissues,HSSEperformance,andforissuesrelatingtocompliancewiththeScopeofWorkcontainedherein.TherolesandresponsibilitiesoftheAccountManageraredetailedinAppendix1–DescriptionoftheWORK.
3.4CONTRACTOR,withapprovalfromCOMPANY,willdevelopanddeployaprogramtomaximizesavingsattheWORKSITEbyemployingmulti-skilledpersonnelandtherebyreducingthenumberofpersonnelrequiredtoanabsoluteminimum.Suchreductionsshallnotatanytimecompromisesafety,efficiency,orquality
3.5AdditionalpersonnelmaybeprovidedasrequiredbyCONTRACTORandorCOMPANYforoperationalorotherreasons.TherequirementforsuchadditionalpersonnelmustbeagreedtoinadvanceandshallbeaffectedbyaCHANGEORDERatratesasspecifiedinSECTION05-REMUNERATION.
3.6APersonnelPlanmayberequestedfromtimetotimeforvariousactivities(e.g.,largedevelopmentprojects).ThesePersonnelPlansmayinclude–butnotbelimitedto–numberofpersonnelbycategoryrequiredtodischargealldutiesneededtocompletetheWORK;organizationcharts;mannerinwhichanyapplicablelocalcontentrequirementswillbesatisfied;andotheritemsthatmaybespecified.
3.7PersonnelshallbetrainedappropriatelyforthedutiesforwhichtheywillberesponsibleandhaverecordsshowingseniorityandcompetenceinCONTRACTOR’sinternalsystems.Thisrequirementshallinclude,asapplicable,allstatutoryandCOMPANYrequirementsrelatingtoWORKSITEsafety,survival,andwellcontrol.Inaddition,supervisorsshallbecapableofperformingBehavioralSafetyAuditsonCONTRACTORtools,processes,andequipment.AllapplicableCONTRACTORpersonnelshallparticipateinCOMPANYsponsoredinitiativesandmustcomplywithsafetytrainingrequirementsasdefinedorrequiredbyCOMPANY.
3.8CONTRACTORshallsupplyhighqualitycompetenttechnicalandengineeringsupportservicepersonnelfortheperformanceoftheWORK.
3.9CONTRACTORwillprovideWORKSITEpersonnelinaccordancewiththerequirementsofCOMPANY
3.10CONTRACTORshallensurethatwherepersonnelareworkingonanadhocbasis,suchpersonnelshallbegivenadequaterestperiodspriortoarrivalattheWORKSITE.CONTRACTORshallkeeprecordsofdaysworkedbyemployeesandinformCOMPANYwellinadvanceoftheemployee’sworkingtimereachinglegislatedorCOMPANYspecificlimitations.CONTRACTORshallensurethatreplacementstaffaremadeavailableatthetimeofnotificationtoCOMPANY.
3.11CONTRACTORwillberesponsibleforthepaymentofpersonnel'swagesandsalariesandforanydeductionandpaymentofallrelevantlocalornationalpersonneltaxesandduesasmayberequiredtomeetappropriategovernmentrequirements,andanyotherpersonneltaxes,includingadministrativecosts.CONTRACTORwillalsoberesponsibleforpaymentofallothercostsassociatedwithpersonnelincluding,butnotlimitedto,travelling,accommodation,medicalattention,holidaysandsicknesscostsunlessotherwiseandspecificallyagreedtothecontrary.
3.12CONTRACTORasandwhenappropriate,willberesponsibleforfullandcorrectpreparationoftimesheetsandweeklysummariesforpersonnel.
3.13CONTRACTOR’spersonnelwillpossessallnecessaryqualificationsandmeetalllocalregulatoryrequirementsforworkingatcompanysites.
3.14CONTRACTORshallprovideCONTRACTOR’spersonnelwithprotectiveclothingandsafetyequipmentasperindustrystandard.
