1.TheParties缔约方
ThisRetainingContract（"Contract"）datedontheNovember6,2013,inChongqing,People’sRepublicofChinaasofisenteredintobyandbetween:
本服务合同（以下简称合同）于2013年11月6日在中华人民共和国重庆市由以下双方订立：
1.1.Client（“Client”）重庆当事人（以下简称当事人）
And和
1.2.ChongqingGuangXianLawOffices（“Guangxian”）,arecordedlawfirmunderlawsofPeople’sRepublicofChinaofwhichaddressis1623rdZhongshanLu,EnrichInt'lPlaza16/F,YuzhongDistrict,Chongqing,400015,People'sRepublicofChina重庆广贤律师事务所（以下简称广贤），系根据中华人民共和国法律成立的注册律师事务所，地址位于重庆市渝中区中山三路162号中安国际大厦16层，邮编：

1.3.ClientandGuangxianshallhereinafterbereferredtoindividuallyasthe"Party"andcollectivelyasthe"Parties".当事人和广贤可单独称为“一方”，合称为“双方”。
2.Backgrounds缔约基础
2.1.InaccordancewiththeLawyersActandContractActofthePeople’sRepublicofChina,ClientengagesGuangxianasitsretainedAttorneystodealwithlegalaffairsinitsbusinessoperation.根据《中华人民共和国律师法》和《中华人民共和国合同法》，当事人聘请广贤处理法律事项。
2.2.Guangxianagreestoacceptsuchengagementasstipulatedinthelastparagraph.广贤同意接受前述聘请。
INWITNESSTHEREFORE,ThePartiesherebyagreeasfollows:
为此，双方特此订立如下条款：
3.ServicesRenderedbyGuangxiantoClient广贤的服务内容与责任
3.1.ImportantContractRevieworDraft重大合同审查或起草
AccordingtoClient’srequestGuangxianshalllegallyreviewordraftcontractdocumentsforanykindofroutinebusinessincludingbutnotlimitedtotheguaranteecontract,loancontract,constructioncontract,technologycontract,intellectualpropertytransferorlicensecontract,materialsprocurementcontract,productsalesagreement,servicecontract,laborcontractetc.forClientwithoutspecializedprojectcontract;应当事人要求，对当事人拟签订各类重要合同，包括但不限于担保合同、贷款合同、建设工程合同、技术合同、知识产权转让、许可使用合同、物资的采购协议、产品经销协议、产品服务协议、劳动合同、劳务合同，进行法律审查或起草合同文本，但属于专项法律服务内容的除外；
3.2.InternalRulesandRegulationsReview制度审查
AccordingtoClient’srequestGuangxianshallreviewanyimportantinternalrulesandregulationsrelevanttoitsemployees,salescontributor,supplierorbasedonanylegalorregulatoryrulesincludingenvironmentalprotection,firefighting,accountingorfinancialissues;应当事人要求，就当事人内容涉及当事人与其员工、经销商、供应商或根据法律法规或监管规则（例如：
环境法规、消防法规、会计法或会计规则、财政税法等）要求建立的，重要规章制度进行法律审查。
3.3.Attorney’sOpinions法律意见
AccordingtoClient’srequest,GuangxianshallsubmitopinionsforanyissuerevolvedinClient’sbusinessandinternalmanagement.应当事人要求，就当事人业务活动和内部经营管理中涉及的法律问题提供法律意见。
3.4.Attorney’sLetter发出律师函
AccordingtoClient’srequest,toresolveallrelevantdisputesofbothinternalandoutsidebusinesswithAttorney’sLettertoClient’sdebtororrelevantparty.
应当事人要求，就当事人在业务活动及内部经营管理活动中出现的各类纠纷提供咨询意见或建议，发出律师函。
3.5.LegalTraining法律知识培训
InaccordancewithClient’srequest,GuangxianshallprovidelegaltrainingforClient’srelevantemployees.应当事人要求，对当事人的相关人员进行法律知识和运用技巧的培训或举办法律讲座。
3.6.DocumentsLegalReview文件的法律审查
InaccordancewithClient’srequest,reviewordraftanydocumentswithlegalbindingforceortakeanyobligation,includingbutnotlimittopost,publicity,representation,advertisementwords,externalpromiseorbids;
应当事人要求，就当事人对外发布的具有法律约束力或以承担一定义务为内容的文件，包括但不限于公告、公示、声明、广告语、对外承诺、招标文件等，进行法律审查或拟定相关文本。
3.7.DealsIntroduction
InaccordancewiththerequestofClient,recruitandintroduceanypartnerorinvestmentforClient,supplyanyoperationalprojectorrelevantinformation;
根据当事人的要求，招募并引荐合营或合作伙伴或投资者（以下简称引荐客户），招募并引荐经营项目或提供相关信息；
3.8.MonthlyReport
ProvidelegalinformationpertainedtothebusinessofClient.Suchkindofreportshallbedeliveredmonthly.
为当事人经营活动按月提供法律信息。
此类报告应当按月提供。
4.LitigationorArbitrationService诉讼和仲裁服务
4.1.Guangxian’sserviceshallexcludelitigationorarbitration.ClientmayconsultGuangxianforgeneralanalysisofanylitigationbeforebringslawsuitorwithinthreedaysafterreceivingacourtsummons.Guangxianshallsupplylegalconsultingservicebasedhereunder.
广贤律师提供的其它法律事务服务不包括诉讼仲裁业务，当事人诉讼业务（起诉前或接到法院传票后3日内）向广贤提出一般性咨询请求，广贤应当按照本条约定的范围提供法律咨询服务。
4.2.IfClientneedsGuangxianforlawsuitrepresentation,Guangxiancouldsupplya20%discountedfee,butforanylawsuitcaseanotherminimum8,000RMBshouldbepaidtoGuangxian.当事人需要广贤代理诉讼与仲裁业务具体收费标准双方可参照广贤收费标准的80%收取，至少不低于人民币捌仟元。
5.ObligationsofClient当事人的义务
5.1.Payattorney’sfeetoGuangxian;支付律师费给广贤；
Anyfeesdueandpayableshallbepaidwithinfifteen（15）daysfollowinginvoice.律师应在发票开具后十五天内支付。
5.2.ClientshallgiveconveniencetotheworkofGuangxianandspeciallyappointapersontokeepregularcontactwiththecounselsofGuangxian.当事人应为广贤提供工作便利，并特别指定一名工作人员与广贤保持经常性的联络。
5.3.ClientshallofferGuangxiantheoportunitytoattendClient’sbusinessmeetingswhenanypertinentlegalmattersareconcerned.当事人应为广贤提供参加有关商务会议提供便利。
6.FeeandPayment顾问费用与支付
6.1.Attorney’sFeeandPayment法律顾问服务费用与支付
6.2.Annualfeeforallabovementionedserviceshallbe60,000RMBplus5,000RMBtravelcostdepositand5,000RMBtranslationcostdepositwhichshallbepaidwithinsevendaysexecutionofthisContract.ThetravelcostwithinChongqingdowntownshouldbetwo
（2）yuan/km,andthetranslationcostshallbecalculatedonthebasisoffifteencents（0.15RMB）/Chinesecharacter.BothexpenseshallbecalculatedandreimbursedmonthlyandGuangxianshallsupplydetailedinformationlisttoClient.年度法律顾问费为人民币陆万元加上交通费用预存伍仟元（2元每公里，据实结算），翻译费用预存伍仟元（150元每千字）。
前述费用于本合同签署后七日内支付。
广贤应按月向当事人提供费用清单，按月报销。
6.3.Clientshallpayanyotherexpenseassociatedwiththeserviceincludingthosechargedbyanygovernmentalagencyorrateagreedtobytheparties.对于其他服务事项，当事人应根据双方协商标准另行支付费用。
7.WorkImplementation工作方式
7.1.TosaveClient’sexpense,bothpartiesagreethatGuangxianmaysupplylegalservicebytelephone,email,faxetcallofwhichweredisplayedonthefirstpageofthisAgreement.为减少甲乙双方费用，双方同意广贤提供法律服务主要通过电话、电子邮件、传真方式进行沟通，具体联系方式见本合同首页。
7.2.IfClientsubmititsrequirementsoflegalservicebyphonecalls,emailsandfaxwhichshouldbesentbythespecifiedcontactpersonandsenttoGuangxian.当事人通过电话、电子邮件、传真方式提出的法律服务需求，应当由本协议中当事人指定的联系人发出，且应当及时发送至广贤处。
7.3.IfClientrequestsGuangxiantoworkataspecificplace,thenClientshallsupplytheinternetaccessoranyotherconditionsnecessaryfortheworkitself.如当事人要求广贤到指定办公场所提供法律服务，则当事人应当提供电子网络等办公条件和能够达到保密与安全要求的办公环境。
7.4.GuangxianshallsetupfilesforservicetoClientforrecordkeepingpurposes.广贤应当就其提供的法律服务为当事人建立档案备查。
8.Remedies违约责任
8.1.ThePartiesshallstrictlyabidebythisContractandneitherpartyshallunilaterallyterminatethisContract;otherwisethedefaultingpartyshallberesponsibleforbreachingliabilities.双方应严格遵守本合同，不得单方终止合同；否则违约方应向守约方承担违约责任。
8.2.IfClientfailstopaytheservicefeesontime,Guangxianshallhavetherighttocollectthepunitivedamageswhichshallbecalculatedeachdaywith5‰timestheoutstandingpayment.若当事人未能按期向广贤支付服务费的，则应按每天千分之五的标准支付违约金。
9.SupplementaryAgreements补充协议
ThePartiescanreachsupplementaryagreementsinwritingforanyothermatterconcernedwhichisnotincludedherein.本合同未尽事宜，双方可另行书面订立补充协议。
10.Miscellaneous一般约定
10.1.GuangxianspecifiesAttorneySuXiaojuntobeinchargeofClient’sserviceteam.广贤指派苏晓军律师为本事务的承办律师团队负责人。
10.2.ClientagreesthatGuangxiananditsattorneysmightrenderpartofworktoassistantorotherlawyers.Incaseanyaffairswhichrequireinvestigationoranyotherinvestigationaffairs（includingbutnotlimitedtoaudit,assessmentandnotarizingwhichcouldbecompletedbyqualifiedinstitutes.当事人同意广贤及其律师在认为必要时可将本事务的部分工作交由广贤的助理人员或其它律师协助完成；其中若有需要调查的事务及其所衍生的其它必要取证事务（包括但不限于审计、鉴定、公证等）更可转委托适当的专门机构协助完成。
10.3.AnydocumentsuppliedbyGuangxianshallhaveatleastonecopyofeditableformatofMicrosoftword;广贤提交的所有文件均需至少提供一份可编辑的Microsoftword电子文本。
ClientconfirmsthatallcopyrightofGuangxian’sdocumentsshallbelongtoGuangxianitself.However,nolegitimaterightsofClientshallbeinfringeduponwhileGuangxiancarriesoutitsowncopyright.当事人确认广贤为完成委托事项所起草之所有文件的著作权均属广贤所有，但广贤在行使其著作权时不得侵犯当事人的合法权利。
10.4.WithoutClient’sagreementnolegalopinionsanddocumentsshallbeusedforanyotherpurposes非经广贤同意，当事人不得将广贤提供的法律意见和其他有关文件用于其他目的。
10.5.ThetermofthisAgreementshallbeoneyearcommencingonthedateofexecutionofthisAgreement.Without30dayspriornoticeofterminationoramendingthisAgreementbeforeexpirationdate,thetermofthisAgreementshallautomaticallyberenewedforoneyearonitsanniversarydate.本合同有效期为壹年，自甲乙双方签字或盖章之日起开始计算。
有效期届满前一个月内，若任何一方均未提出终止或者修改合同的，本合同效力则自动延续一年，以后年度亦参照执行。
10.6.Anydispute（s）arisingfromthisAgreementshallbesettledwithamicablediscussion.IncasenoagreementconcludeswithinreasonabletimeanypartymightsubmitthedisputetotheChongqingArbitrationCommission.Thearbitrationadwardshallbefinalandhavebindingforceonbothparties.本合同或任何依据本合同签署的合同引发的甲乙双方之间的争议，均应尽可能以友好协商的方式解决。
若在合理期间不能达成一致意见，任何一方均可将争议提交重庆仲裁委员会解决。
仲裁结果是终局的，对双方有约束力。
10.7.ThisAgreementwasmadewithtwooriginalsandeachpartyheldonecopywiththesamelegaleffect.本合同一式贰份，双方各执壹份，具有同等法律效力。

INWITNESSWHEREOF,thePartiesheretohavecausedthisContracttobedulyexecutedanddeliveredasofthedayandyearfirstabovewritten.
有鉴于此，双方特此按首页所注日期正式签署并送达本合同。
