11IInspection：

（2）TheSellershallhavethegoodsinspectedby7daysbeforetheshipmentandhavetheInspectionCertificateissuedbyChinaCommodityInspectionBureau.
12Guarantee:
TheSellershallguaranteethatthegoodsaremadeofgoodmaterials,withstandardprocess,brandnewunusedandcorrespondinallrespectswiththequality,specificationsandperformanceasstipulatedinthisContract.TheSellersshallalsoguaranteethatthegoods,whencorrectlymountedandproperlyoperatedandmaintained,willgivesatisfactoryperformanceforaperiodof15monthsstartingfromthedateonwhichthegoodsarriveatthesite.Ifthegoodshavequalityissueat_____months,thesellershouldtakeallresponsibilitytoreplacereworkorreturntherejectsfreeofcharge.
13.Claim:
Ifthesellerprovidethegoodscannotmeettherequirementsbasedonthedatasheetandthedrawinginthecontractmentioned,ThebuyershallmakeaclaimagainsttheSellertoreplacethegoodsorrejectthegoodsandtheSellershallbeartwicetimesthepenaltypaymentasmuchastheamountofcontract。
TheclaimsmentionedaboveshallberegardedasbeingacceptediftheSellerfailtoreplywithin______daysaftertheSellerreceivedtheBuyer'sclaim.
13.LatedeliveryandPenalty:
ShouldtheSellerfailtomakedeliveryontimeasstipulatedintheContract,withtheexceptionofForceMajeurecausesspecifiedinClause14ofthisContract,theBuyershallagreetopostponethedeliveryontheconditionthattheSelleragreetopayapenalty.Therateofpenaltyischargedat______%forevery______days,odddayslessthan_____daysshouldbecountedas______days.Butthepenalty,however,shallnotexceed_______%ofthetotalvalueofthegoodsinvolvedinthedelayeddelivery.IncasetheSellerfailtomakedelivery______dayslaterthanthetimeofshipmentstipulatedintheContract,theBuyershallhavetherighttocanceltheContractandtheSeller,inspiteofthecancellation,shallneverthelesspaytheaforesaidpenaltytotheBuyerwithoutdelay.ThebuyershallhavetherighttolodgeaclaimagainsttheSellerforthelossessustainedifany.
14ForceMajeure:
TheSellershallnotbeheldresponsibleforfailureordelayindeliveryoftheentireorportionofthegoodsunderthiscontractinconsequenceofanyForceMajeureincidents.
15Confidentialityobligations:
Thesellershallnotdiscloseormakepublicanyconfidentialinformationtoathirdparty.Ifdisclose,thesellershouldburdenallthelostresultingfromit.
16Arbitration:
AlldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledthrough
friendlynegotiations.Ifnosettlementcanbereached,thecaseshallthenbesubmittedtotheForeignTradeArbitrationCommissionoftheChinaCouncilforthePromotionofInternationalTrade,Beijing,forsettlementbyarbitrationinaccordancewiththeCommission’sProvisionalRulesofProcedure.TheawardrenderedbytheCommissionshallbefinalandbindingonbothparties.Thearbitrationexpensesshallbebornebythelosingpartyunlessotherwiseawardbythearbitrationorganization.

Aftersigningthiscontract,Thebuyerpay30%oftotalcontractamountasdeposittotheseller,Thesellerwillstartproductionafterreceivingthedeposit.Thesellershouldcompletetheproductionanddeliverythecommoditytothedeliveryplacein30~40days.Thesellershouldinformbuyerthedeliverydateinawritingform7daysinadvance签订合同后，买方付合同总金额的30%给卖方作为订金，卖方收到订金后,进行生产，于30~40天内完成生产。

4.PROJECTACCEPTANCE:
工程验收：
Thesellermustprovideequipmentlist,blue-linedrawing,install&layoutdrawing,specification&guidelinesandthecorrespondingdocumentsandinvoicetothebuyer.Thenthetwopartiestogethercheckthecommodityandcommissioning,ifthecommodityrunningproperlyandhaven’totherqualityprobleminoneworkingweek,thebuyersigntheinspectionreport.卖方提供商品详细材料清单，设备图纸，安装布置图纸，使用说明指南及相应的单据凭证给买方。
买卖双方现场点收设备，并试运行设备。
试运行一工作周后，确认质量合格，双方签订验收报告。
5.GUARANTEEOFQUALITY:
质量保证：
Thesellershallguaranteethatthecommodityhereofiscompletelynewandmustcomplyinallrespectswiththequalityandspecificationstipulatedinthiscontract.Theguaranteeperiodshallbe12monthsafterfinalacceptancetest,buttheguaranteeperioddoesnotexceed15monthsaftershipmentdate;andduringtheguaranteeperiodthesellershallbeheldresponsibleforthedamageduetothedefectsinthedesignormanufactureofthemanufacturer.Excludingpartssubjectnormalwearandtear.卖方保证货物必须是全新的，其品质规格必须符合合同规定，品质保证期限为最终验收报告后的12个月内，但最多不超过发货之日起的15个月。
在保证期限内，因制造厂商在设计制造过程中的缺陷造成货物损害应由卖方负责赔偿。
质量保护范围不包括一切正常操作所需的损耗件。
6.INSTALLATION、COMMISSIONINGANDTRAINING:
设备安装、调试及操作培训：
（1）Installationandcommissioningshouldbebecarringoutonlybyqualifiedpersonnelsendedby
seller,andtheyhavethedutytotrainingtheoperator.Thesellershouldprovidesufficient
assistantworkerstokeeptheinstallationandcommissioning;卖方应派专业技术人员指导设备
安装及调试，同时负责进行工人的操作技术培训.卖方提供足够的劳动工人进行设备安装及调试；
（2）Within7daysbeforedecidedtoinstallationandcommissioning,theBuyershouldsendby
airmailtothesellerabouttheinstallationandcommissioning;买方在决定对合同设备进行安装
调试前7天内，以电邮形式告知卖方安装、调试事宜，以便卖方做好人员和技术上的准备；
（3）TheBuyershouldbedoneasbelow:
买方需做好设备安装、调试的如下准备工作：
a.TheBuyerwillresponsiblefortheengineerstransportationfee,accommodation
charge&mealfeeforanyadditionaltimerequiredinexcessoftheinstallationand
trainingtimeaccordingtheinstallation/trainingandserviceinattachedappendix.
（contractappendixbasedonagreementtimeofinstallationandtraining）.买方需负
责卖方所派安装调试培训维修人员（安装调试培训依据约定时间见合同附件）的市内交通
费用，住宿及工作餐等费用；
b.TheBuyershouldprovidetheforkorothertoolsforhoistingandinstallation,and
auxiliarymaterialforcommissioningfreeofcharge;买方应提供安装调时期内的一切起
重搬运工具，并免费提供足够的试机材料；
c.TheBuyershouldcompletethebaseequipmentsuchaswater,electricity,workshop,
compressingairetc.,andresponsiblekeepingitcontinuoussupplyandworknormally.
买方应完成设备安装调试前所必须进行的水、电、厂房等基础设施建设和压缩空气，并
保证其不断供应和正常运转。
IftheBuyerdisobeytheaboveitems,theBuyershouldberesponsibleforthepaymentof
additionalandlosingetc.买方违反上诉条款，应承担因此而造成的额外费用、损失等工程延
误的一切责任。
（4）Theinstallationandcommissioningshallproceedaccordingtosellerconditionsprovidedin
orderacknowledgement.卖方对设备所进行的安装、调试，应与合同约定的性能完全一致；
（5）Thesellershallnotberesponsibleforthemachine’sinstallation、commissioningandoperation
notnormalduetotheBuyer’scause,andthecustomerwi（来自:
