Uponvaluableconsiderationandmutualpromises,thepersonsnamedbelowas"Partners"herebycovenantandagreetobeboundtothefollowingastheirGENERALPARTNERSHIPAGREEMENT（this

"Agreement"datedthis___dayof_________________,2004forJOEANDBOB'SGREAT

ADVENTURE,ageneralpartnershipgovernedbythelawsoftheStateofCalifornia（hereinafterknownas"thePartnership":

ARTICLE1.DEFINITIONS

Section1.01.Thebelowtermsaretohavethefollowingmeaningwhenusedinthisagreement:

"Agreement"shallmeanthisGeneralPartnershipAgreement,asamendedfromtimetotime.

a."CapitalAccount"shallmeantheaccountestablishedforeachPartneronthebooksofthe

Partnership,reflectingsuchPartner'scapitalcontribution,plussuchPartner'sshareofPartnership

profits,lesssuchPartner'sshareofPartnershiplosses,lessanydistributionsbythePartnershiptosuchPartner.

b."Partners"shallinitiallyrefertoJoeandBob.ThislistofpersonswhoarePartnersofthis

Partnershipmay,inthefuture,beamendedinaccordancewiththeprovisionsofthisAgreement.

c."Partnershipinterest"shallmeanallofaPartner'srightspossessedoraccruingtoaPartnerunderthisAgreementincluding（butnotlimitedtohisorhercapitalaccount,rightsintheprofitsofthe

PartnershipunderanyloanagreemententeredintobetweenthePartnerandthePartnership.

d."VoteofthePartners"shallmeanonebaseduponeachpartnerhavingonevotewitheachvotehavingequalweight.Unlessstatedelsewhereintheagreement,aMajorityVoteofthePartnersis

requiredforpassageofanymatterbeforethepartnersforconsideration.

"MajorityVoteofthePartners"shallmeanablockofvotesofthepartnerscollectively

constitutingmorethanfifty（50percentoftheeligiblepartnervotes（whetherornotsaid

votesareactuallycast.

1."SupermajorityVoteofthePartners"shallmeanablockofvotesofthepartners

collectivelyconstitutingmorethansixty−six（66percentoftheeligiblepartnervotes

（whetherornotsaidvotesareactuallycast.

2.e.ARTICLE2.PURPOSE/PREFATORYINFORMATION

Section2.01ADVENTURE,apartnershiporganizedunderthelawsoftheStateofCalifornia（hereinafterknownas"the

Partnership".ThePartnersmayagreetochangethenameinthefuture.ThelawsoftheStateofCaliforniashallcontroltheoperationandinterpretationofthisagreement.

Section2.02

rockconcerts.ThePartnershipmayalsoengageinanyactivitiesthatarerelated,complimentaryorincidentaltothisbusinesspurpose.

maybeadmitteduponaSupermajorityVoteofthePartners.AdmissionofnewPartnersshallnotconstituteaneventofdissolutionofthispartnership.Furthermore,admissionofanynewPartnershallbecontingentupontheprospectivenewPartneragreeingto,andexecuting,thispartnershipagreement（asmodifiedatthetimeofadmission.

Section3.03

ThePartnersmaytakeanyactionrequiringavoteofthepartnersthroughameetinginperson,byproxy,orwithoutameetingbywrittenresolutioninaccordancewiththisSection.MeetingsofPartnersmaybeconductedinpersonorbytelephoneconference.Tobeeffective,apartnerresolutionshallrequirethesignatureandassentofthesamepercentageornumberofPartnersasthatrequiredhadtheactionwhichisthesubjectoftheresolutionbeenvoteduponinameetingofthePartners.a.

AvotingproxygivenbyaPartnertoanotherpersonmustbeinwriting.

InnoinstancewhereactionisauthorizedbywrittenresolutionshallitberequiredthatameetingofPartnersbecalledorpriornoticeoftheactionbegiven;however,uponpassage,acopyofthe

resolutionofthePartnersshallbesentpromptlytoallPartnersandfiledwiththepartnershiprecords.c.

AmeetingsofPartnersmaybecalledbyanyPartner,orPartners,individuallyorcollectivelyholdinga25%ormoreinterestintheprofitsofthePartnership.WhenameetingofthePartnershasbeencalled,seven（7daysadvancewrittennoticeshallbegiventoallPartners.NoticeofameetingcalledforhereundermaybemadebystandardU.S.mail,electronicmail,orfacsimiletransmissionandshallcontainthetime,place,andpurposeofsuchmeeting.AquorumforanyactiontobetakenatameetingofPartnersshallbepresent（inperson,viatelephone,orbyproxyshallbePartners

collectivelyholdingmorethan60%oftheoutstandingvotesofthePartnership.AnyPartnermaythroughawritteninstrument
