SPONSORS'SUPPORTAGREEMENT

THISSPONSORS'SUPPORTAGREEMENT,dated_________（M,D,Y）,ismadebetweenAAA,INC.,acorporationorganisedandexistingunderthelawsoftheStateof_________,UnitedStatesofAmerica,withitschiefexecutiveofficeandprincipalplaceofbusinessat_________（"AAAInc."）,BBBGmbH,registeredintheCommercialRegisterofthe_________（"AAAHolding";and,togetherwithAAAInc.,collectively,the"Sponsors"）,andCCCBANKAG（"CCC"）,asAgentundertheLoanAgreementreferredtobelow（insuchcapacity,the"Agent"）fortheBanksreferredtobelow,andasSecurityAgentundersuchLoanAgreement（insuchcapacity,the"SecurityAgent"）fortheSecuredPartiesreferredtobelow.

WITNESSETH:

WHEREAS,AAASaxonyManufacturingGmbH,_________,registeredintheCommercialRegisterofthe_________（"AAASaxonia"）,awhollyownedSubsidiary（suchandothercapitalisedtermsbeingusedhereinwiththemeaningsprovidedinSection1.1）ofAAAHolding,whichis,inturn,awhollyownedSubsidiaryofAAAInc.,hasbeenformedforthepurposeofconstructing,owning,andoperating（i）thePlantand（ii）theintegratedDesignCenter（theconstruction,ownership,andoperationofthePlantandtheDesignCenterbeinghereinaftercalledthe"Project"）;

WHEREAS,inordertofinancetheconstructionofthePlantandtheDesignCenter,andstartupcostsoftheoperationofthePlant,（i）theSponsorsexpecttomakesubstantialsubordinatedloansto,andAAAHoldingexpectstomakesubstantialequityinvestmentsin,AAASaxonia,and（ii）AAASaxoniahasenteredintoaSyndicatedLoanAgreement,dated_________（M,D,Y）（the"LoanAgreement"）,withthebanksfromtimetotimepartythereto（hereinaftercollectivelycalledthe"Banks"andindividuallycalleda"Bank"）,CCC,asAgentandSecurityAgent,andCCCBankLuxembourgS.A.,asPayingAgent（insuchcapacity,the"PayingAgent"）,providing,interalia,fortwoseparateseniorsecuredtermandstandbyfacilitiesaggregatinguptoDM1,_________（onebillionsixhundredfiftymillionDeutscheMarks）;

WHEREAS,theSponsorsdesirethattheProjectbeconstructedandcompletedandareenteringintothisAgreementwiththeAgent（forthebenefitofitselfandtheBanks）andtheSecurityAgent（forthebenefitoftheSecuredParties）,forthepurpose,amongotherthings,ofproviding（i）certainassuranceswithrespecttothecompletionoftheProject,and（ii）certainundertakingstoandforthebenefitoftheSecuredParties;and

WHEREAS,aconditionprecedenttotheinitialAdvanceis,interalia,theexecutionbytheSponsorsofthisAgreementand,inextendingcredittoAAASaxoniaundertheLoanAgreement,theBanksarerelyingontheundertakingsoftheSponsorscontainedherein;

NOW,THEREFORE,theSponsors,theAgent（foritselfandonbehalfoftheBanks）,andtheSecurityAgent（onbehalfoftheSecuredParties）,agreeasfollows:

ARTICLEI

DefinitionsandAccountingTermsSECTION1.1Definitions.Unlessotherwisedefinedherein,thefollowingterms（whetherornotunderlined）whenusedinthisAgreement,includingitspreambleandrecitals,shall,exceptwherethecontextotherwiserequires,havethefollowingmeanings（suchmeaningstobeequallyapplicabletothesingularandpluralformsthereof）:

"Advances"meansalladvancesthattheBanksmaketoAAASaxoniapursuanttotheLoanAgreement.

"Affiliate"means,withrespecttoanyPerson,aPersonwhich,directlyorindirectly,controls,iscontrolledby,orisundercommoncontrolwith,suchotherPerson;and,forpurposesofthisdefinition,theconceptof"control",withrespecttoanyPerson,signifiesthepossessionofthepowertodirectthemanagementandpoliciesofsuchPerson,directlyorindirectly,whetherthroughtheownershipofvotingsecurities,thepossessionofvotingrights,bycontract,orotherwise;provided,thatnoneoftheAgent,theSecurityAgent,thePayingAgent,anyoftheBanks,noranyoftheirrespectiveAffiliates,shallbedeemedtobeAffiliatesof（x）anyAAACompanyor（y）anyotherSubsidiaryofAAAInc.

"Agent"hasthemeaningassignedtothattermintheintroductiontothisAgreement.

"Agreement"meansthisSponsors'SupportAgreement,asthesamemaybeamendedormodifiedinaccordancewiththetermshereofandineffect.

"AAACompanies"meansAAASaxonia,AAAHolding,andAAAInc.,collectively.

"AAAHolding"hasthemeaningassignedtothattermintheintroductiontothisAgreement.

"AAAHoldingAssignment（U.S.A.）"meanstheAAAHoldingAssignmentof,interalia,rightsundertheWaferPurchaseAgreements,intheformsetoutinSchedule56totheLoanAgreement,betweenAAAHoldingandtheSecurityAgent.

"AAAHoldingAssignmentofContractualRights"meanstheAAAHoldingAssignmentofContractualRights,intheformsetoutinSchedule55totheLoanAgreement,betweenAAAHoldingandtheSecurityAgent.

"AAAHoldingAssignmentofCurrentAssets"meanstheAAAHoldingSecurityAssignmentofCurrentAssets,intheformsetoutinSchedule52totheLoanAgreement,betweenAAAHoldingandtheSecurityAgent.

"AAAHoldingChargeofBankAccounts"meanstheAAAHoldingChargeofBankAccounts,intheformsetoutinSchedule54totheLoanAgreement,betweenAAAHoldingandtheSecurityAgent.

"AAAHoldingGlobalAssignment"meanstheAAAHoldingGlobalAssignment,intheformsetoutinSchedule53totheLoanAgreement,betweenAAAHoldingandtheSecurityAgent.

"AAAHoldingResearchAgreement"meanstheAAAHoldingResearch,DesignandDevelopmentAgreement,intheformsetoutinSchedule34totheLoanAgreement,betweenAAAInc.andAAAHolding.

"AAAHoldingSecurity"meansallcollateralsecuritycreatedpursuanttotheAAAHoldingSecurityDocuments.

"AAAHoldingSecurityDocuments"means,collectively,theAAAHoldingAssignment（U.S.A）,theAAAHoldingAssignmentofContractualRights,theAAAHoldingAssignmentofCurrentAssets,theAAAHoldingChargeofBankAccounts,theAAAHoldingGlobalAssignment,theAAAHoldingSharePledgeAgreement,andeachotherinstrumentordocumentdesignatedbytheAgent（withtheconsentofeachAAACompany）asanAAAHoldingSecurityDocumentunderandforpurposesofthisAgreement.

"AAAHoldingSharePledgeAgreement"meanstheAAAHoldingSharePledgeAgreement,intheformsetoutinSchedule51totheLoanAgreement,betweenAAAHoldingandtheSecurityAgent.

"AAAHoldingWaferPurchaseAgreement"meanstheAAAHoldingWaferPurchaseAgreement,intheformofSchedule33totheLoanAgreement,betweenAAAInc.andAAAHolding.

"AAAInc."hasthemeaningassignedtothattermintheintroductiontothisAgreement.

"AAAInc.Guaranty"meanstheAAAInc.GuarantyintheformsetoutinSchedule27totheLoanAgreement,executedbyAAAInc.infavourofAAASaxonia,theAgent,andtheSecurityAgentforthebenefitoftheSecuredParties.

"AAAInc._________（YEAR）BankCreditAgreement"meanstheCreditAgreement,datedasof_________（M,D,Y）,between,interalia,AAAInc.,thelenderspartythereto,andBankofAmericaNationalTrust&SavingsAssociation,asadministrativeagent.

"AAAInc.PrimaryBankCreditAgreement"means,fromtimetotime:

（i）theAAAInc._________（YEAR）BankCreditAgreement;or

（ii）iftheagreementreferredtoinparagraph（i）aboveisterminatedorcancelled,thenanysecuredorunsecuredrevolvingcreditortermloanagreementbetweenoramongAAAInc.,asborrower,andanybankorbanks,aslender（s）,forborrowedmoniestobeusedforgeneralcorporatepurposesofAAAInc.,withanoriginaltermofnotlessthan4yearsandanoriginalaggregateloancommitmentofatleast$,_________（onehundredmillionDollars）ortheequivalentthereofinanyothercurrency,and,ifthereismorethanonesuchrevolvingcreditortermloanagreement,thensuchagreementwhichinvolvesthegreatestoriginalaggregateloancommitment（s）and,asbetweenagreementshavingthesameaggregateoriginalloancommitment（s）,thentheonewhichhasthemostrecentdate;or

（iii）iftheagreementreferredtoinparagraph（i）aboveandalloftheagreements,ifany,whichcouldapplyunderparagraph（ii）abovehavebeenterminatedorcancelled,thensolongasparagraph（ii）doesnotapplyastheresultofoneormorenewagreementsbeingenteredinto,theagreementwhichisthelastsuchagreementunderparagraph（i）or

（ii）tobesoterminatedorcancelledasineffectimmediatelypriortosuchterminationorcancellation.

"AAAInc.Security"meansallcollateralsecurityfurnishedpursuanttotheAAAInc.SharePledgeAgreement.

"AAAInc.SeniorSecuredNoteIndenture"meansthatcertainIndenture,datedasof_________（M,D,Y）,betweenAAAInc.andUnitedStatesTrustCompanyofNewYork,astrustee,relatingtotheissuancebyAAAInc.of$,_________（fourhundredmillionDollars）
