MODULESUPPLYAGREEMENT

ThisModuleSupplyAgreement（“Agreement”）ismadebyandbetween__________.（“Seller”）,a___________corporation,withitsprincipalplaceofbusinessat__________________,and[insertcustomername]（“Buyer”）,a[insertcompanyplaceofincorporation]company,withitsprincipalplaceofbusinessat[insertaddress].ThisAgreementiseffectiveasof[insertcontractdate]（“EffectiveDate”）.

RECITALS

WHEREAS,SellermanufacturesanddistributesversatilesolarModulesanddesirestosellthoseModulestoBuyer;and

WHEREAS,BuyerwishestopurchasethoseModulesonthetermsandconditionsofthisAgreement.

AGREEMENT

Inconsiderationofthemutualpromisesandcovenantssetforthbelow,thepartiesagreeasfollows:

1.GeneralObligations.

Product.ThesolarphotovoltaicmodulesthataresubjecttothetermsandconditionsofthisAgreementarelistedinSchedule A（the“Modules”）.

NatureofPurchases.BuyershallpurchasetheModulessolelyforuseintheassemblyofBuyer’ssystems.BuyercovenantsandwarrantsthatitisnotpurchasingtheModulesforresaleordistributiononastand-alonebasis.Buyershallnotsell,ship,deliver,distribute,transfer,license,loan,leaseorotherwisedisposeofModulesonastand-alonebasis.Fortheavoidanceofdoubt,thisparagraphdoesnotprohibitBuyerfromselling,oncecompleted,asolarenergyprojectthatutilizestheModulesfortheproductionofrenewablepower.

2.PurchaseandSale.

SubjecttothetermsandconditionsofthisAgreement,Sellerherebysells,andBuyerherebypurchases,thatquantityofModulesequivalentto[insertmodulequantity]WpDCtofulfillBuyer’sentiresolarmodulerequirementsforBuyer’s[insertACpowerplantsize]MWacsolarprojectat[insertprojectlocation].TheModuleshipmentscheduleislistedinScheduleA.

Shipments.Allshipmentsshallbemade[insertshippingterm（exworks,CIForother）]（INCOTERMS2010）[insertlocation].TitleandriskoflosswillpasstoBuyerupontenderbySellerorSeller’srepresentativestothecarrieratSeller’sshippingpoint.DeliveryisthetimetheModulesaremadeavailabletocarrierforpickupaSeller’sfacility.DeliverydatesareapproximateandarebaseduponpromptreceiptofallnecessaryitemsandinformationfromBuyer（whichmayincludepayment）.Priortoeachshipment,SellershallnotifyBuyeroftheModelandQuantitytobeshipped.Sellerisnotliablefordelayindelivery（ornon-delivery）duetocausesbeyondSeller'scontrol,including,butnotlimitedto,actsofGod,actsofBuyer,actsofcivilormilitaryauthority,actsofterrorism,war,riots,priorities,fires,strikes,lockouts,delaysintransportationandinabilityduetocausesbeyondSeller'sreasonablecontroltoobtainnecessarylabor,materials,manufacturingfacilities,orcompliancewithanylaw,regulationororder,whethersuchcircumstancesorcauseshavebeenremedied.Sellerreservestheright,initssolediscretion,toallocateinventoriesandcurrentproductionandsubstitutesuitablematerialswhen,itsopinion,suchallocationorsubstitutionisnecessaryduetoanysuchcircumstancesorcauses.Nopenaltyclauseofanykindshallbeeffective.

3.ProductAcceptance.BuyermustimmediatelyinspecteachshipmentuponreceipttocheckthequantitiesofdeliveredandtheModulesforshipmentdiscrepanciesanddamage.BuyermustreportalldiscrepanciesanddamagetoSeller.TheunitsofModulesshippedwillbedeemedacceptedbyBuyerunlessnoticeofdefectisreceivedwithin10businessdaysofshipmentandtheunitsinquestionarereturnedtoSellerwithin30daysofshipment.BuyermayonlyrejectModulesthatarethewrongModulesshippedorarevisiblydamaged（excludingshippingorotherdamagecausednotbySeller）orthatfailtoconformtotheirpublishedspecifications（assetforthintheModuleDataSheet）（thosespecifications,the“Specifications”）.Buyer’ssoleremedy,andSeller’sexclusiveobligation,is,atSeller’soption,torepairthedefectiveModuleunitorreplaceitwithanequivalentunit.

4.InstallationandAccess.

DesignVerificationServices.SellerwillprovidereasonableassistancetoBuyeroritsdesignatedcontractorinengineeringdesignverificationofBuyer’sproject.However,Buyershallbesolelyresponsibleforthedesignandimplementationofsuchproject,andSellermakesnotwarrantyofanykindwithrespecttoprojectdesignoranydesignverificationservicesprovidedbySellerhereunder.

Installation.BuyershallinstallModulessolelyinamannerconsistentwiththethen-currentinstallationguidedocumentationsuppliedbySeller.Sellerreservestherighttochangetheinstallationguidefromtimetotime.

AccesstoInstalledModules.BuyershallprovidetheModuleoperatingandperformancedataatleastquarterlytoSellertoenableSellertomeasuretheirperforma
