依照《中华人民共和国合同法》、《中华人民共和国城市房地产治理法》及其他有关法律、法规之规定，在平等、志愿、协商一致的基础上，甲、乙两边就下列厂房的租赁达到如下协议：

Inaccordancewiththe“ContractLawofthePeople’sRepublicofChina”,the“PropertyManagementLawofCityRealEstateofthePeople’sRepublicofChina”andotherrelevantlawsandregulations,PartyAandPartyB,onthebasisofequalityandmutualunderstandingandthroughfriendlynegotiation,havereachedthefollowingagreementontheleaseofthepremises:

第一条衡宇的大体情形

Chapter1BasicInformationonthePremises

甲方厂房（以下简称“厂房”）座落于----，总建筑面积为-----平方米；该厂房平面图参见附件1。

PartyA’spremises（hereinafterreferredtoasthe“Premises”）arelocatedat---Road;totalbuilt-upareais----sqm.PleaserefertoAnnex1fortheplanofthePremises.

该厂房应已具有所有必要的硬件设施（包括水管道，电线及电话线）以供乙方利用。

ThePremisesshallbeequippedwithallthenecessaryhardwarefacilities（includingwaterpipes,powerlinesandphonelines）installedinsidethepremisetobeusedforPartyB.

甲方向乙方和新公司陈述和保证其为厂房的唯一合法所有人,而且厂房在发生任何抵押或其他类型的担保时，乙方在本协议下的权利权益不受到任何损害。

PartyArepresentsandwarrantstoPartyBandNewCothatitisthesolelegalownerofthePremisesandthat,intheeventofamortgageoranyothersimilarguaranteesinconnectionwiththePremisestakingplace,PartyB’srightsandinterestspursuanttothisagreementshallnotbedamagedinanymannerwhatsoever.

第二条厂房的用途

Chapter2UseofthePremises

该厂房用途为工业厂房，乙方不得任意改变厂房用途。

ThePremisesshouldbeusedforindustrialpurpose.PartyBshouldnotchangetheuseofthePremisesatitsownwill.

第三条租赁期限

Chapter3LeasePeriod

租赁期限为---年，自新公司取得营业执照或项目批准证书之日起计算。

Thedurationoftheleaseperiodshallbe----years,startingfromthedayofissuanceofNewCompanybusinesslicenseorCertificateofApproval.

第四条租金

Chapter4Rental

该厂房第一到三年的租金为人民币12元/平方米/月，计人民币__________元/月，人民币__________元/季，人民币__________元/年。

以后，每三年商定的递增不得超过___%。

第五条付款方式

租金按季结算，在租赁期内由乙方于每季的第壹周交付甲方，先交后租。

第六条保证金

Chapter6SecurityDeposit

本合同签定后的7个工作日内，乙方应当向甲方支付总额相当于3个月租金额的保证金，即人民币--------。

Within7workingdaysuponthesigningofthisContract,PartyBshallpaytoPartyAasumofthreemonths’rentalasthesecuritydeposit,thatisRMB------。

乙方向甲方缴纳的保证金应作为其履行本合同所规概念务的担保。

若是乙方的行为违背合同规定的义务或致使对厂房的损害，甲方有权从保证金中扣除相应数量的金额作为补偿。

在合同终止日期后30天内，甲方在从保证金中扣除乙方违背任何合同义务应承担的的补偿、补偿或违约金后应将保证金的余额无息返还给乙方。

ThesecuritydepositshallbetakenasthewarrantyforPartyB’sdueperformanceofitsobligationsunderthisContract.IfPartyBcarriesoutactivitiesthatareagainstitsobligationsorresultinanydamagetothePremises,PartyAisentitledtodeductcorrespondingamountofcompensationfromthedeposit.Within30daysfromtheexpirationoftheContract,PartyAshallreturnthebalanceofthesecuritydeposittoPartyBwithoutinterestaftermakingdeductionsfromthesecuritydepositforcompensationforanybreachofthecontractbyPartyB.

第七条维修养护责任

Chapter7MaintenanceResponsibilities

甲方向乙方和新公司陈述和保证厂房和用于建筑的材料应符合中国有关法律法规关于消防、安全和环保事宜的所有要求。

且该厂房已取得所有所需的政府强制性证书（包括，但不限于环保证书，防火证书及防雷证书）

PartyArepresentsandwarrantstoPartyBandNewCothatthePremisesandthematerialsusedfortheconstructionshallcomplywithalltherequirementsoftherelevantChineselawsandregulationsconcerningfire,safetyandenvironmentalissues.PartyAhasalsoobtainedalltherequiredmandatorycertificatesbythegovernment（including,butnotlimitedtoEnvironmentalProtectionCertificate，FireProtectionCertificateandThunderStrikePreventionCertificate）forthePremises.

租赁期间，甲方对厂房及其附属设施每隔半年检
