AXURERPLICENSEAGREEMENT

AXURERPLICENSEAGREEMENT

ThisAxureRPLicenseAgreementismadebetweenAxureSoftwareSolutions,Inc.（"Axure"）andyou,theCustomer,onbehalfofitselfandanyPermittedAffiliates.Theterm"Party"shallrefertoAxureandtoCustomeranditPermittedAffiliates.AcceptanceofthisAgreementbythepartiesshallentitletheCustomertousetheSoftware,subjecttothetermsandconditionsstatedherein.IfCustomerhassignedanAxureQuoteoranAxureRPLicenseAgreementasa"Customer",thenthatagreementwillapplyandgoverninlieuofthisAgreement.IntheeventthatCustomerdoesnotagreewiththisAgreement,CustomerisnotauthorizedtoinstallorusetheSoftware-pleasepromptlycontactAxureatsupport@.

1.Definitions

1.1"Agreement"shallmeantheapplicableAxureRPLicenseAgreementandQuote,ifany.IntheeventofaconflictbetweenthetermsofthisagreementandanapplicableQuote,thelattershallcontrolandgovern.

1.2"Customer"shallmeanthepersonorcompanynamedassuchinaQuote,ifapplicable,andanyPermittedAffiliates,orthepersonorcompanythatacquiredtheSeatlicenseviatheOrderProcess.ThetermCustomershallexpresslyexcludeanyotherparentcompanies,sistercompanies,subsidiariesorotheraffiliates.

1.3"Edition"shallmeanaparticularbundlingoffeaturesinamannerthatprovidessubstantialadditionalorlesserfunctionality.

1.4"EffectiveDate"shallmeanthedatesetforthassuchinaQuote,ifapplicable,orthedatethatCustomeracquiredtheSeatlicenseoritwasmadeavailable（whicheverisearlier）viatheOrderProcess.

1.5"EvaluationSeatlicense"shallmeanatime-limitedSeatlicenseoftheSoftwarethathasbeenprovidedfreeofchargebyAxure.

1.6"MaintenanceandSupportPeriod"shallmeantheperiod（s）setforthintheQuote（subjecttothepaymentofapplicablefees）or,iftheSeatlicensewasacquiredviatheOrderProcess,aperiodoftwelve（12）monthsfromtheEffectiveDate,andanymutuallyagreedrenewalsorextensionsthereofforwhichCustomerhaspaidtheapplicablefees.

1.7"OrderProcess"shallmeantheprocessbywhichCustomerorderedtheSoftware,including,butnotlimitedto,usingtheAxureorderingwebsiteoranacceptancebyAxureofapurchaseorderplacedbyCustomerthatcomplieswithAxure'sP.O.placementrequirements.

1.8"PermittedAffiliates"shallmeananycompaniesthatareaffiliatedwiththeCustomernamedintheQuote,totheextentthatsuchcompaniesarespecifiedassuchintheQuote.

1.9"Quote"shallmeanaquoteissuedbyAxureandacceptedbyCustomerbyexecutionorbyissuanceofapurchaseorderreferencingsuchquote.

1.10"Seatlicense"shallmeantheabilityforonenamedusertoexecuteanduseonecopyoftheSoftware,onlyonafixedcomputerworkstation.

1.11"Software"shallmeanthesoftwareproduct（s）describedbyaspecificEditionandversionintheQuoteorduringtheOrderProcess."Software"shallincludeanyUpdatestosuchEditionandversionprovidedbyAxureduringaMaintenanceandSupportPeriod,butshallnotincludeanyothercurrentorfutureEditionsthatmaybedevelopedorofferedfromtimetotimebyAxure.CustomeragreesthatthenameoftheSoftwareandtheEditionmaybechangedfromtimetotimeinthesoleandabsolutediscretionofAxure.

1.12"Updates"shallmeananyallbugfixesandmaintenanceupdatesto,andnewversionsofanEditionof,theSoftwaremadegenerallyavailablebyAxuretoitslicenseeswhoaredesignatedtoreceivemaintenanceandsupport.

2.License

2.1GrantofLicense.PursuanttothetermsandconditionsofthisAgreement,AxuregrantsCustomeraperpetual（exceptastoEvaluationSeatlicenses）,non-exclusive,non-transferablelicensetoinstallandusetheSoftware（inobjectcodeformat）forCustomer'spurposesasfollows:

2.1.1IfCustomerhasacquiredanEnterpriseLicensepursuanttoaQuote,CustomermayinstallanduseanynumberofSeatlicensestotheSoftware,butnottoexceedthe"MaximumNumberofInstalledSeats",solelywithinthe"AuthorizedGeography"（exceptingSecondaryCopies）,assuchtermsarespecifiedinaQuote.

2.1.2IfCustomerhasacquiredaSiteLicensepursuanttoaQuote,CustomermayinstallanduseanynumberofSeatlicensestotheSoftware,butnottoexceedthe"MaximumNumberofInstalledSeats",solelyatthe"AuthorizedSites"（exceptingSecondaryCopies）,assuchtermsarespecifiedinaQuote.

2.1.3IfCustomerhasacquiredoneormoreSeatlicenses,CustomermayonlyinstallandusethenumberofSeatlicensestotheSoftwareasspecifiedinaQuoteorotherwisespecifiedduringtheOrderProcess（exceptingSecondaryCopies）.

2.1.4IfCustomerhasacquiredoneormoreEvaluationSeatlicenses,CustomermayonlyusetheSoftwareforaperiodofthirty（30）daysafterinstallation.

2.2RestrictionsonUse.CustomeragreestousetheSoftwareonlyforCustomer'sownbusiness.OnlyCustomer'semployees,contractorsandconsultantsmayusetheSoftwareandonlyforthesolebenefitofCustomerandincompliancewiththetermsofthisAgreement.Exceptasotherwiseexpresslypermittedhereunder,Customershallnot（a）permitanyaffiliatedentitiesorthirdpartiestousetheSoftware,（b）processorpermittobeprocessedthedataorSoftware-relatedneedsofanyotherthird-party,（c）usetheSoftwareintheoperationofaservicebureau,or（d）usetheSoftwaretoprovideservicesunderanynameotherthanthatofCustomer.UndernocircumstancesshallCustomersell,license,publish,display,distribute,orotherwisetransfertoathirdpartytheSoftwareoranycopythereof,inwholeorinpart,withoutAxure'spriorwrittenconsent.

2.3Copies.Customer,solelyforthepurposeofenablingCustomertousetheSoftware,maymakecopiesoftheSoftware'scomputerprogramonlytotheextentnecessaryforarchivalanddisasterrecoveryanddevelopmentpurposes,providedthatanysuchcopyshallincludeAxure'scopyrightandanyotherproprietarynotices.Inaddition,eachuserofanon-EvaluationSeatlicensethatisinstalledonadesktopcomputermayalsoinstallanduseasecondcopyonaportablecomputerorhomedesktopcomputersolelyforsuchuser'suseandexclusivelyonbehalfofCustomer（"SecondaryCopies"）.Customershallhavenootherrightstocopy,inwholeorinpart,theSoftware.AnycopyoftheSoftwaremadebyCustomeristheexclusivepropertyofAxure.

2.4NoModifications,ReverseEngineering.CustomeragreesthatonlyAxureshallhavetherighttoalter,maintain,enhanceorotherwisemodifytheSoftware.Customershallnotcompile,reverseassemble,disassemble,decompile,reverseengineerorprepareanyderivativeworksfrom,inwholeorinpart,theSoftware'scomputerprogram.

3.Delivery.AxureshallendeavortoelectronicallydelivertheSoftware,ormakeitavailablefordownload,toCustomerwithinten（10）daysaftertheEffectiveDate.

4.LicenseFees

4.1PaymentTerms.InconsiderationforthelicensegrantedbyAxureunderthisAgreement,CustomershallpayAxurethe"TotalOne-TimeFees"assetforthintheapplicableQuoteorotherwisequotedtoCustomerinwriting.IntheeventCustomerhasreceivedanytypeofdiscountsonfeesandCustomerfailstopayAxureasagreedunderthetermsofthisAgreement,anyandalldiscountsshallbeforfeited.AllamountsduebyCustomertoAxureandnotpaidwithinthirty（30）daysoftheduedateshallbearinterestattheloweroftherateofoneandone-halfpercent（1½%）permonthorthehighestrateallowedbylaw,fromthedatedueuntilthedatepaymentisreceivedbyAxure.

4.2Taxes.Customershall,inadditiontotheotheramountspayableunderthisAgreement,payallsales,use,excise,valueaddedorothertaxes,federal,stateorotherwise,howeverdesignated,whichareleviedorimposedbyreasonofthetransactionscontemplatedbythisAgreement（exceptingAxure'scorporatefranchiseandnetincometaxes）.

5.Ownership.CustomerandAxureagreethat,asbetweentheParties,Axureanditslicensorsownallintellectualpropertyandproprietaryrights,includingpatent,copyright,tradesecret,trademarkandotherproprietaryrights,inandtotheSoftwareandanycorrections,bugfixes,enhancements,updatesorothermodifications,includingcustommodifications,totheSoftware,whethermadebyAxure,Customeroranythirdparty.Exceptforthelimitedlicenseexpresslygrantedherein,thisAgreementdoesnotgrantCustomeranyrightstointellectualpropertyrightsinortotheSoftware.AnysuggestedmodificationsorimprovementstotheSoftwaresubmittedtoAxurebyCustomerbecomeAxure'sexclusivepropertytoexploitortonotexploitasAxuresolelydeemsappropriatewithoutnecessityforremunerationorattributiontoCustomer.

6.ConfidentialInformation

6.1DisclosingConfidentialInformation.EachPartyheretoacknowledgesthatduringthetermofthisAgreementitmayreceivecertainConfidentialInformation（asdefinedbelow）oftheotherParty.Exceptasexpresslysetforthherein,thePartyreceivingtheConfidentialInformation（"ReceivingParty"）agreesthatitwillkeepconfidentialandwillnotdisclose（orpermitanythirdpartytouseordisclose）toanythirdpartyanyorallConfidentialInformationoftheotherParty（"DisclosingParty"）andwillonlydisclosetheConfidentialInformationtoitsemployees,contractorsandadvisorswhohaveaneedtoknow.InpreservingtheconfidenceofDisclosingParty'sConfidentialInformation,ReceivingPartyshallusethesamestandardofcarethatitwouldusetosecureandsafeguarditsownConfidentialInformation,butinnoeventlessthanreasonablecare.ReceivingPartyshall,atitsownexpense,immediatelynotifyDisclosingPartyofanyunauth
