合同条款的翻译

businessintheCityofNewYork,USA,（hereinaftercalledXYZ）asthefirstPartyandChinaJingDuCorporation（hereinaftercalledthePurchaser）astheSecondParty.

Inconsiderationofthemutualconventionsandagreementshereincontained,theXYZandthePurchaseragreeonthefollowingterms,conditionsandprovisionshereof:

本协议书，由按美国法律成立的，并在美国纽约设有总部和营业地的XYZ有限公司（以下称XYZ）为甲方和中国京都公司（以下称买方）为乙方在北京签订，一式两份。

考虑到相互契约及约定，XYZ与买方同意以下条款：

一．合同的种类与合同的范围

Typeofcontractandkindandscopeoftheobjectofcontract

TheorganizationformoftheJointVentureCompanyshallbealimitedliabilitycompany.Theprofits,risksandlossesoftheJointVentureCompanyshallbesharedbythePartiestothisContractinproportiontotheircontributionsoftheregisteredcapital.

合资公司的形式应为有限责任公司。

本合同双方应按注册资本的认缴比例分享合资公司的利润，并应分担合资公司的风险及损失。

ThebusinesspurposeoftheJointVentureCompanyshallbeinconformitywiththewishtoenhancetheeconomiccooperationandtechnicalexchange,todevelopbusinessopportunitiesandtakeadvantageofthePartiestothisContracttoraiseeconomicresultsandensuresatisfactoryeconomicbenefitsforpartieshereto.Activitiesshallbeasfollowsbutnotlimitedto:

（1）tradeinter-mediation;

（2）Technologydevelopmentandtransfer;

（3）Arrangementofstrategicallianceandjointventures;

（4）Marketresearch

（5）Managementconsultationandhumanresourcesdevelopment;

（6）Anyandallbusinessactivitiesincidentaltotheforegoingobjectives.

合资公司的目的是为了促进经济合作和技术交流，开拓业务渠道，充分发挥本合同双方的各自优势提高经济效益，保证双方获得较好的经济效益。

业务范围应包括，但不只限于以下各条：

（1）贸易中介

（2）技术开发、技术转让

（3）为贸易伙伴和合资经营牵线搭桥

（4）市场调查

（5）提供管理咨询和人才资源的开发

（6）涉及上述目的的所有及任何其它业务活动

PartyAagreestoacquirefromPartyBtheknow-howfordesignandmanufactureofthecontractproductswiththetypes,specificationsandparametersspecifiedinAppendixNo.1tothecontract,andPartyBagreestosupplytheabove-mentionedknow-howtoPartyA.Thesurrenderoftheknow-howshallbemadenotonlyinthescopeofnewproductionofthecontractproductsunderappendixNo.1,butalsobysuchcomponentsasarealreadybeingmanufacturedbypartyA,asfarasthetypeofproductsbelongstothecontractproducts.PartyBshall,inaccordancewiththeprovisionsinSub-clause1.6,haveobligationstosupplyamaximumof8setsofthecontractproducts（3setsofnewdesignsand5setsofrevisionsofcomponentsalreadybeingmanufacturedbypartyA,asfarastheybelongtothecategoryofthecontractproducts.）

甲方同意按合同中附件1规定的型号、规格和参数向乙方购买有关合同产品设计和制造方面的专有技术；

乙方同意向甲方提供上述专有技术。

转让的专有技术，不仅涉及附件1中规定的新生产的合同产品，也包括改进甲方已经生产的属于合同产品类型的部件的专有技术。

根据第1.6款的规定，乙方有权提供最多8套合同产品的专有技术（3套新设计的合同产品，5套已由甲方生产的属于合同产品范畴内的部件，该部件由乙方作技术改进。

二．合同价格、支付金额、支付方式和各种附带的费用

（Thecontractpriceandrate,amountandmethodofpayment,andothervariousincidentalcharges）

例1：

TheregisteredcapitaloftheJointVentureCompanyshallbethesameasthetotalamountoftheinvestment,i.e.4.5millionU.S.dollars

合资公司的注册资本和投资总额相同，即为450万美元。

例2：

PartyAshall,inaccordancewiththeprovisionsofthiscontract,paytoPartyBtheTechnicalDocumentationFeeofUSD2,400,00.TheabovepriceshallbeafirmpriceincludingallexpensesforsendingtheTechnicalDocumentationCIFBeijingAirport,PartyB’stechnicalpersonnelandtrainingofPartyA’spersonnel（excludingSub-clause4.8ofAnnex3andSub-clause5.3ofAnnex4）.

根据本合同的规定，甲方应付给乙方技术资料费240万美元整。

上述报价为实盘，包括托运技术资料的北京机场交货价（CIF北京机场），乙方技术人员服务费和甲方人员的培训费（不包括附件3的第4.8款和附件4第5.3款）。

例3：

ThetotalcontractpricefortheworksisU.S.D1,260,000.Thepaymentsofthetotalpriceshall,underthecontract,bemadeinsixinstallmentsasfollows:

Firstinstallment:

PartAshallpaytoPartyBfivepercentofthetotalpriceforworks,i.e.,$63,000atthetimewhenthiscontractisdulyexecuted.

Secondinstallment:

PartyAshallpaytoPartyBfifteenofthetotalpriceforworks,i.e.,$189,000atthecommencementofconstructionworksofPartyA’splant.

Thirdinstallment:

PartyAshallpaytoPartyBtwentypercentofthetotalpriceforworks,i.e.,$252,000uponthecommencementofairpipeworks.

Fourinstallment:

PartyAshallpaytoPartyBfortypercentofthetotalpriceforworks,i.e.,$504,000atthetimewhenthemainmachineryoftheairconditioningequipment,eachsetofASO-1andASY-2,arrivesatthesite.

FifthInstallment:

partyAshallpaytoPartyBtenpercentofthetotalpriceforworks,i.e.,$126,000uponthecompletionoftheworkshereof.

Sixinstallment:

PartyAshallpaytoPartyBthebalanceoftheunpaidtenpercentofthetotalpriceforworks,i.e.,$126,000whenthecompletedworksisdeemedofqualityandreceivedbythePartyA.

工程合同总价为126万美元整。

根据合同规定，工程款应按以下6次分期支付：

第一期：

甲方在本合同开始实施时，向乙方支付工程总价的5%，即6，3000美元整。

第二期：

甲方在建厂工程开始实施时，向乙方支付工程总价的15%，即189,000美元。

第三期：

甲方在乙方开始气管工程时，向乙方支付工程总价的20%，即252,000美元。

第四期：

甲方在空调设备的主要机械ASO-1及ASY-2每样一副运抵工地时，向乙方支付工程总价的40%，即504,000美元。

第五期：

甲方在工程竣工时，向乙方支付工程总价的10%，即126,000美元。

第六期：

甲方在工程验收合格时，向乙方支付工程总价的10%，即126,000美元

四．合同转让的条件和违反合同的赔偿及责任

（Theconditionsfortheassignmentofcontractandliabilitytopaycompensationandotherliabilitiesforbreachofcontract）

例1：

Liabilitiesforbreachofcontract:

ShouldeitherPartyAorPartyBfailstopayonschedulethecontributioninaccordancewithclause5ofthiscontract,thebreachingpartyshallpaytheotherparty10%ofinterestofthecontributionfromthemonthafterexceedingthetimelimit.Shouldthebreachingpartyfailstopaythecontributionsafter3monthsexceedingthetimelimit,theotherpartyshall,inaccordancewithclause53hereof,havetherighttoterminatethecontractandtoclaimdamagestothebreachingparty.

违约责任：

如果合资一方未能按照合同第5条规定按期入资，违约方应在逾期后一个月付给合同另一方10%利息。

如果违约方逾期后三个月仍未入资，合同另一方应根据本合同第53条款的规定有权终止合同，并向违约方索赔损失。

例2：

PartyBshall,inaccordancewiththeprovisionsofthecontract,guaranteethatheisthelegitimateownerofsuchknow-howandsuchtechnicaldocumentationasaresuppliedtopartyAandthatheislawfullyinapositiontotransfertheknow-howtopartyA.

乙方保证他是向甲方提供的专有技术和技术资料的合法所有者；符合合同条款，依法能够向甲方转让专有技术。

例3：

Aftertheexpirationorterminationofthecontract,partyAshallstillhavetherighttousetheknow-howsuppliedbypartyB,i.e.PartyAshallstillhavetherighttodesign,manufacture,useandsellthecontractproductsinthePeople’sRepublicofChinaonly.PartyAshallnot,withoutthepriorwrittenconsentandapprovalofPartyB,havetherightexportthecontractproductstoanythirdcountries.

合同期满后，甲方应仍有权使用乙方提供的专有技术，即甲方仍有权在中国范围内设计、制造、使用和销售合同产品。

没有乙方的事先同意，甲方不准向第三国出口合同产品。

例4：

IntheeventthatPartyBfailstocompletetheworksontimeowingtosuchreasonsaspartyBshallbeliablefor,partyBshallpayapenaltyforthedefaultbasedon0.1%ofthetotalpricefortheworksperday,i.e.,partyBshallpayonethousandtwohundredandsixtyonlyU.S.Dollarsforeachdayofsuchdefault.

如果乙方因自身的原因而未准时完工，乙方应付违约罚款，每天按总价的千分之一计算，即一千二百六十美元整。

例5：

If,underthecontract,thepurchaserrequeststocancelthecontract,ABCCompanyshall,uponwrittenrequestbythepurchaser,advisepurchaseroftheestimatedcancellationcostsforwhichpurchaserwouldbeliable.

如果买方根据合同要求撤销合同时，ABC公司应根据买方书面要求，通知买方应承担的撤销费用。

五．合同发生争议时的解决办法

解决争议的办法：

协商（consultation、调解mediation、仲裁arbitration、向法院起诉。

在国际上，仲裁和向法院起诉这两种方式是相互排斥的。

一般有仲裁的协议，法院不予受理。

例1：

Anydisputesarisingfromtheexecutionof,orinconnectionwiththiscontractshallbesettledthroughfriendlyconsultationsbetweenthepartieshereto.Incasenosettlementcanbeachievedthroughconsultations,thedisputesinquestionshallbesubmittedtoInternationalChamberofCommerce（ICC）inGeneva,Switzerland,unlessmutuallyagreedotherwise,forarbitrationinaccordancewithICCrules,Thearbitrationawardshallbefinalandbindinguponthepartieshereto.

因执行本合同所发生的或与本合同有关的一切争议，双方应通过友好协商解决。

除非双方另有协议，如果协商不能解决，应提交设在瑞士日内瓦的国际商会，根据国际商会的规则进行仲裁。

仲裁裁决是终局性的，对双方都有约束力。

例2：

Whenanydisputeoccursandwhensuchdisputeisunderarbitration,exceptforthepartunderdisputethatissubjecttothearbitration,thepartiestothiscontractshall,inaccordancewiththeprovisionshereof,continuetoexercisetheirrespectiverightsandperformtheirrespectiveobligations.

在发生争执、并将争执提交仲裁的过程中，除所提交的争执部分外，双方都应按本合同的规定，继续执行各自的权利和履行各自的义务。

例3：

Thearbitrationawardshallbefinalandbindingonthepartiestothecontract.Thecostofarbitrationshall,inaccordancewiththerulesofthearbitration,bebornebythelosingparty.

仲裁裁决是终局性的，对合同双方都有约束力。

仲裁费根据仲裁规则应由败诉方承担。

例4：

ThearbitrationshalltakeplaceinStockholm,Sweden,andshallbeconductedbytheArbitrationInstituteofStockholmChamberofCommerceinaccordancewiththestatutesoftheInstituteinquestion.

仲裁在瑞典斯德哥尔摩进行，由斯德哥尔摩商会仲裁院依据该院的仲裁规则实施。
