ByusingtheServices,youagreetobeboundbythetermsandconditionscontainedherein（the“TermsofService”）,whichalsoincorporatePlayHaven's PrivacyPolicy andallotheroperatingrules,policiesandproceduresthatmaybepublishedfromtimetotimeontheSitebyPlayHaven,eachofwhichisincorporatedbyreferenceandeachofwhichmaybeupdatedbyPlayHavenfromtimetotimewithoutnoticetoyouinaccordancewiththetermssetoutbelow.Inaddition,someservicesofferedthroughtheServicesmaybesubjecttoadditionaltermsandconditionsspecifiedbyPlayHavenfromtimetotime;youruseofsuchservicesissubjecttothoseadditionaltermsandconditions,whichareincorporatedintotheseTermsofServicebythisreference.ThisTermsofServiceapplytoallusersoftheServices,including,withoutlimitation,publisherswhoincorporatethePlayHavenSDKintotheirmobileapplicationsandaccessthePlayHavenPlatformandadvertiserswhopromotetheirproductsandservicesthroughthePlayHavenPlatform.IfyoudonotagreetothetermsandconditionscontainedinthisTermsofService,youmaynotaccessorotherwiseusetheServices.

ServiceUsage;TerminationofUsage

AsaconditiontousingServices,youmayberequiredtoregisterwithPlayHavenandselectapasswordandenteryouremailaddress（"PlayHavenUserID"）.YoushallprovidePlayHavenwithaccurate,complete,andupdatedregistrationinformation.FailuretodososhallconstituteabreachofthisTermsofService,whichmayresultinimmediateterminationofyouraccount.Youmaynot（i）selectoruseasaPlayHavenUserIDanameofanotherpersonwiththeintenttoimpersonatethatperson;（ii）useasaPlayHavenUserIDanamesubjecttoanyrightsofapersonotherthanyouwithoutappropriateauthorization.PlayHavenreservestherighttorefuseregistrationof,orcancelaPlayHavenUserIDinitsdiscretion.YoushallberesponsibleformaintainingtheconfidentialityofyourPlayHavenpassword,andarefullyresponsibleforallactivitiesthatoccurunderPlayHavenUserID.Youagreeitisyourresponsibilityto（a）immediatelynotifyPlayHavenofanyunauthorizeduseofyourPlayHavenUserIDoranyotherbreachofsecurity,and（b）ensurethatyouexitfromyouraccountattheendofeachsession.

YoufurtheragreethatyouwillnotaccesstheServicesbyanymeansexceptthroughtheinterfaceprovidedbyPlayHavenforaccesstotheServices.CreatingormaintaininganylinkfromanotherwebsiteorapplicationtoanypageorfunctionalityontheServiceswithoutthepriorwrittenauthorizationofPlayHavenisprohibited.RunningordisplayingtheServicesoranyinformationormaterialdisplayedontheServicesinframesorthroughsimilarmeansonanotherwebsiteorapplicationwithoutthepriorwrittenauthorizationofPlayHavenisprohibited.AnypermittedlinkstotheServicesmustcomplywithallapplicablelaws,rules,andregulations.

ThisTermsofServiceiseffectiveunlessanduntilterminatedbyeitheryouorPlayHaven.YoumayterminatethisTermsofServiceatanytime,providedthatyoudiscontinueanyfurtheruseoftheServices.PlayHavenalsomayterminateorsuspendthisTermsofService,atanytime,withoutnotice,andaccordinglydenyyouaccesstotheServices,foranyreason,includingwithoutlimitation,ifinPlayHaven'ssolediscretionyoufailtocomplywithanytermorprovisionofthisTermsofServiceoryouruseisharmfultotheinterestsofanotheruserorPlayHavenanditsAffiliatedParties,and/ortheirrespectivebusinesspartners.UponanyterminationoftheTermsofServicebyeitheryouorus,youmustpromptlystopusingtheServicesanddestroyallmaterialsdownloadedorotherwiseobtainedfromtheServices,aswellasallcopiesofsuchmaterials,whethermadeundertheTermsofServiceorotherwise.Anyfeespaidhereunderarenon-refundable.AllprovisionsofthisTermsofServicewhichbytheirnatureshouldsurviveterminationshallsurvivetermination,including,withoutlimitation,ownershipprovisions,warrantydisclaimers,indemnityandlimitationsofliability.

PlayHavenreservestherightatanytimeandfromtimetotimetomodifyordiscontinue,temporarilyorpermanently,theServices（oranypartthereof）withorwithoutnotice.ExceptasotherwiseexpresslystatedinthisTermsofService,youagreethatPlayHavenanditsAffiliatedParties（asdefinedlater）shallnotbeliabletoyouortoanythirdpartyforanymodification,suspensionordiscontinuationoftheServices.

LicensetoPlayHavenSDK

PlayHavengrantstoyoualimited,revocable,non-transferable,non-exclusiveandnon-sublicensablelicenseduringtheServicestermtousethePlayHavenSDKsolelytoaccessthePlayHavenPlatformandsolelytotheextentpermittedhereunder.ExcepttothelimitedextentexpresslyprovidedinthisTermsofService,PlayHavendoesnotgrant,andyouwillnotacquire,anyright,titleorinterest（including,withoutlimitation,anyimpliedlicense）inortoanyPlayHavenintellectualpropertyrights;andallrightsnotexpresslygrantedhereinarereservedtoPlayHaven.ThePlayHavenSDKmaybedownloadedfromtheSite.

PublishingTerms

IfyouareamobileapplicationpublisheroradvertiserthatusestheServices,includingthePlayHavenPlatform,youalsoagreetocomplywiththefollowingterms:

IMPLEMENTATION.Ifyouareapublisher,youmaylistassetsincludingbutnotlimitedtomobilesites,applications,anddeviceplatforms（"MobileProperties"）andmakethemavailableforadvertisement.Ifyouareapublisher,youherebygrantPlayHaventherighttoaccess,index,storeandcacherequestsmadefromuser'sMobilePropertytotheService,includingbyautomatedmeans.Ifyouareanadvertiser,youmayproducecontentincludingbutnotlimitedtotextlinks,banners,videos,andgraphics（"Advertisements"）fordisplayonapublisher'sMobileProperty.YouagreetocomplywiththetechnicalspecificationsprovidedbyPlayHaventoenableproperdisplayoftheAdvertisementsinconnectionwiththeServices.

COMMUNICATIONSSOLELYWITHPLAYHAVEN.YouagreetodirecttoPlayHavenandnottoanyadvertiserorpublisher,asthecasemaybe,allcommunicationsregardinganymatterarisingoutofyouruseoftheServices.

CONTENT

∙AllmaterialsdisplayedorperformedonoraccessiblethroughtheSiteorServices（including,butnotlimitedtotext,graphics,articles,photographs,images,illustrations,audioclipsandvideoclips,alsoknownasthe"Content"）areprotectedbycopyright.Theterm"Content"asusedhereinspecificallyincludesanyadvertisingorothercontentmadeavailableorsubmittedbyanyadvertiserandanywebsiteorothercontentpublishedbyorassociatedwithanypublisher.Youshallabidebyallcopyrightnotices,information,andrestrictionscontainedinanyContentaccessedinconnectionwiththeServices.
