2、V MAXIMIZATION PLATFORM (PLAYHAVEN PLATFORM), THE TOOLS OFFERED THROUGH THE PLAYHAVEN PLATFORM, INCLUDING THE ADVERTISING AND PUBLISHING DASHBOARDS, AND THE SERVICES THAT RELATE TO FACILITATING THE PURCHASE AND SALE OF MOBILE ADVERTISEMENTS BY BRINGING TOGETHER MOBILE ADVERTISERS AND PUBLISHERS, AS

3、DESCRIBED MORE FULLY ON THE SITE (COLLECTIVELY, WITH THE SITE AND PLAYHAVEN PLATFORM, THE SERVICES).IntroductionBy using the Services, you agree to be bound by the terms and conditions contained herein (the “Terms of Service”), which also incorporate PlayHavensPrivacy Policyand all other operating r

4、ules, policies and procedures that may be published from time to time on the Site by PlayHaven, each of which is incorporated by reference and each of which may be updated by PlayHaven from time to time without notice to you in accordance with the terms set out below. 5、red through the Services may be subject to additional terms and conditions specified by PlayHaven from time to time; your use of such services is subject to those additional terms and conditions, which are incorporated into these Terms of Service by this reference. This Terms of Service apply to all

6、 users of the Services, including, without limitation, publishers who incorporate the PlayHaven SDK into their mobile applications and access the PlayHaven Platform and advertisers who promote their products and services through the PlayHaven Platform. If you do not agree to the terms and conditions

7、 contained in this Terms of Service, you may not access or otherwise use the Services.We may, in our sole discretion, modify this Terms of Service with or without notice to you. The Last Updated date at the top of this Terms of Service will indicate when the latest modifications were made. By contin

8、uing to access and use the Services after this Terms of Service has been modified, you are agreeing to such modifications. Therefore, you should review this Terms of Service prior to each use of the Services. In addition, when using particular services or features or making purchases on the Services

12、ices is prohibited and, in such circumstances, you agree not to use or access the Site or Services in any way.Service Usage; Termination of UsageAs a condition to using Services, you may be required to register with PlayHaven and select a password and enter your email address (PlayHaven User ID). Yo

13、u shall provide PlayHaven with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of this Terms of Service, which may result in immediate termination of your account. You may not (i) select or use as a PlayHaven User ID a name of another person with

14、the intent to impersonate that person; (ii) use as a PlayHaven User ID a name subject to any rights of a person other than you without appropriate authorization. PlayHaven reserves the right to refuse registration of, or cancel a PlayHaven User ID in its discretion. You shall be responsible for main

15、taining the confidentiality of your PlayHaven password, and are fully responsible for all activities that occur under PlayHaven User ID. You agree it is your responsibility to (a) immediately notify PlayHaven of any unauthorized use of your PlayHaven User ID or any other breach of security, and (b)

16、ensure that you exit from your account at the end of each session.You further agree that you will not access the Services by any means except through the interface provided by PlayHaven for access to the Services. Creating or maintaining any link from another website or application to any page or fu

17、nctionality on the Services without the prior written authorization of PlayHaven is prohibited. Running or displaying the Services or any information or material displayed on the Services in frames or through similar means on another website or application without the prior written authorization of

18、PlayHaven is prohibited. Any permitted links to the Services must comply with all applicable laws, rules, and regulations.This Terms of Service is effective unless and until terminated by either you or PlayHaven. You may terminate this Terms of Service at any time, provided that you discontinue any

19、further use of the Services. PlayHaven also may terminate or suspend this Terms of Service, at any time, without notice, and accordingly deny you access to the Services, for any reason, including without limitation, if in PlayHavens sole discretion you fail to comply with any term or provision of th

20、is Terms of Service or your use is harmful to the interests of another user or PlayHaven and its Affiliated Parties, and/or their respective business partners. Upon any termination of the Terms of Service by either you or us, you must promptly stop using the Services and destroy all materials downlo

21、aded or otherwise obtained from the Services, as well as all copies of such materials, whether made under the Terms of Service or otherwise. Any fees paid hereunder are non-refundable. All provisions of this Terms of Service which by their nature should survive termination shall survive termination,

22、 including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.PlayHaven reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. Except as

23、 otherwise expressly stated in this Terms of Service, you agree that PlayHaven and its Affiliated Parties (as defined later) shall not be liable to you or to any third party for any modification, suspension or discontinuation of the Services.License to PlayHaven SDKPlayHaven grants to you a limited,

24、 revocable, non-transferable, non-exclusive and non-sublicensable license during the Services term to use the PlayHaven SDK solely to access the PlayHaven Platform and solely to the extent permitted hereunder. Except to the limited extent expressly provided in this Terms of Service, PlayHaven does n

25、ot grant, and you will not acquire, any right, title or interest (including, without limitation, any implied license) in or to any PlayHaven intellectual property rights; and all rights not expressly granted herein are reserved to PlayHaven. The PlayHaven SDK may be downloaded from the Site.Publishi

26、ng TermsIf you are a mobile application publisher or advertiser that uses the Services, including the PlayHaven Platform, you also agree to comply with the following terms:IMPLEMENTATION. If you are a publisher, you may list assets including but not limited to mobile sites, applications, and device

27、platforms (Mobile Properties) and make them available for advertisement. If you are a publisher, you hereby grant PlayHaven the right to access, index, store and cache requests made from users Mobile Property to the Service, including by automated means. If you are an advertiser, you may produce con

28、tent including but not limited to text links, banners, videos, and graphics (Advertisements) for display on a publishers Mobile Property. You agree to comply with the technical specifications provided by PlayHaven to enable proper display of the Advertisements in connection with the Services.COMMUNI

29、CATIONS SOLELY WITH PLAYHAVEN. You agree to direct to PlayHaven and not to any advertiser or publisher, as the case may be, all communications regarding any matter arising out of your use of the Services.CONTENT All materials displayed or performed on or accessible through the Site or Services (incl

30、uding, but not limited to text, graphics, articles, photographs, images, illustrations, audio clips and video clips, also known as the Content) are protected by copyright. The term Content as used herein specifically includes any advertising or other content made available or submitted by any advert

31、iser and any website or other content published by or associated with any publisher. You shall abide by all copyright notices, information, and restrictions contained in any Content accessed in connection with the Services. You acknowledge and agree that if you use any of the Services to contribute

32、or make available Content, PlayHaven is hereby granted a non-exclusive, worldwide, royalty-free, transferable right to fully exploit such Content (including all related intellectual property rights) and to allow others to do so in connection with the Services and the Site. To the extent allowed by l

33、aw, the foregoing includes all rights of paternity, integrity, disclosure and withdrawal and any other rights that may be known as or referred to as Moral Rights. To the extent you retain any such Moral Rights under applicable law, you hereby ratify and consent to any action that may be taken with respect to such moral righ
