THISAGREEMENTOFSALEANDPURCHASE（the"Agreement"）ismadeandenteredintobyandbetweenAAACORPORATION,a_________（state）corporation,successor-in-interesttoBBB,Inc.（hereinafterreferredtoas"Seller"）,andCCC,INC.,a_________（state）corporation,and/oritsassigns（hereinafterreferredtoas"Purchaser"）.SellerandPurchaseraresometimescollectivelyreferredtohereinasthe"Parties"andeachofthePartiesissometimessingularlyreferredtohereinasa"Party".

WHEREAS,SelleristheowneroftheProperty（ashereinafterdefined）,consistingofcertainrealpropertyandimprovementsthereonincludinganambulatorysurgerycentercontaining_________squarefeet,moreorless,asmoreparticularlydescribedonExhibitAattachedheretoandmadeaparthereofforallpurposesbythisreference;and

WHEREAS,SellerdesirestosellandPurchaserdesirestopurchasetheProperty,andsimultaneouslytherewith,toenterintoaleasetransactionpursuanttowhichPurchasershallleasetoSeller,andSellershallleasefromPurchaser,theProperty.

DEFINITIONS

Asusedherein（includinganyExhibitsattachedhereto）,thefollowingtermsshallhavethemeaningsindicated:

"BestofSeller'sKnowledge"meanstheactualknowledgeoftheofficersofSeller,withoutanyindependentinvestigationorinquiry,.

"BillofSale"meansabillorbillsofsaleintheformattachedasExhibitBhereto,andsufficienttotransfertoPurchaseralloftheitemssetforththerein.

"BusinessAgreement"meansanymanagementagreement,servicecontract,easement,covenant,restrictionorotheragreementrelatingtotheoperationormaintenanceoftheProperty.

"BusinessDay（s）"meanscalendardaysotherthanSaturdays,Sundaysandlegalholidays.

"CertificateofNon-ForeignStatus"meansacertificatedatedasoftheClosingDate,addressedtoPurchaseranddulyexecutedbySeller,intheformofExhibitCattachedhereto.

"Claim"meansanyobligation,liability,lien,encumbrance,loss,damage,cost,expenseorclaim,including,withoutlimitation,anyclaimfordamagetopropertyorinjurytoordeathofanypersonorpersons.

"Closing"meanstheconsummationofthesaleandpurchaseprovidedforherein,tobeheldattheofficesofDDD,P.C.,_________（address）orsuchotherplaceasthePartiesmaymutuallyagree.

"ClosingCertificate"meansacertificateintheformofExhibitDwhereinSellershallrepresentthattherepresentationsandwarrantiesofSellercontainedinthisAgreementaretrueandcorrectasoftheClosingDateasifmadeonandasoftheClosingDate,exceptwithrespecttothosemattersthatmaybedisclosedinwritingtoandacceptedbyPurchaserpriortotheClosingDate.

"ClosingDate"meanstheclosingdatecontemplatedbytheEscrowAgreementbutnolaterthan_________,_________,_________（M/D/Y）unlessotherwiseagreeduponbytheParties.

"Deed"meansaspecial（limited）warrantydeedsubstantiallyintheformofExhibitEattachedhereto（asthesamemaybemodifiedtocomplywithlocallawandcustom）,executedbySeller,asgrantor,infavorofPurchaser,asgrantee,conveyingtheLandandImprovementstoPurchaser,subjectonlytothePermittedExceptions.

"DisclosureSchedule"hasthemeaningsetforthinSection6.1（p）.

"DueDiligenceMaterials"meanstheinformationtobeprovidedbySellertoPurchaserpursuanttotheprovisionsofSection4.1hereof.

"EffectiveDate"meansthelaterofthetwodatesonwhichthisAgreementissignedandallchangesinitialedbySellerandPurchaser,asindicatedbytheirsignaturesbelow;providedthatintheeventonlyonePartydatesitssignature,thenthedateofitssignatureshallbetheEffectiveDate.

"EngineeringDocuments"meansallsiteplans,surveys,soilandsubstratastudies,architecturaldrawings,plansandspecifications,engineeringplansandstudies,floorplans,landscapeplans,andotherplansandstudiesthatrelatetotheLand,theImprovementsortheFixturesandareinSeller'spossessionorcontrol.

"EscrowAgreement"hasthemeaningsetforthinSection8.1hereof.

"ExceptionDocuments"meanstrue,correctandlegiblecopiesofeachdocumentlistedasanexceptiontotitleontheTitleCommitment.

"Fixtures"meansallpermanentlyaffixedequipment,machinery,fixtures,andotheritemsofrealand/orpersonalproperty,includingallcomponentsthereof,nowandhereafterlocatedin,onorusedinconnectionwith,andpermanentlyaffixedtoorincorporatedintotheImprovements,including,withoutlimitation,allfurnaces,boilers,heaters,electricalequipment,heating,plumbing,lighting,ventilating,refrigerating,incineration,airandwaterpollutioncontrol,wastedisposal,air-coolingandair-conditioningsystemsandapparatus,sprinklersystemsandfireandtheftprotectionequipment,andbuilt-invacuum,cabletransmission,oxygenandsimilarsystems,allofwhich,tothegreatestextentpermittedbylaw,areherebydeemedbythePartiesheretotoconstituterealestate,togetherwithallreplacements,modifications,alterationsandadditionsthereto,butspecificallyexcludinganyandallequipment,personaltyandtradefixtures（includingmedicalequipment,whetheraffixedornot）whichisusedbySublesseeinoperatingtheambulatorysurgerycenterlocatedontheProperty.

"HazardousMaterials"meansanysubstance,includingwithoutlimitation,asbestosoranysubstancecontainingasbestosanddeemedhazardousunderanyHazardousMaterialsLaw,thegroupoforganiccompoundsknownaspolychlorinatedbiphenyls,flammableexplosives,radioactivematerials,medicalwaste,chemicalsknowntocausecancerorreproductivetoxicity,pollutants,effluents,contaminants,emissionsorrelatedmaterialsanditemsincludedinthedefinitionofhazardousortoxicwastes,materialsorsubstancesunderanyHazardousMaterialsLaw.

"HazardousMaterialsLaw"meansanylaw,regulationorordinancerelatingtoenvironmentalconditions,medicalwasteandindustrialhygiene,including,withoutlimitation,theResourceConservationandRecoveryActof1976（"RCRA"）,theComprehensiveEnvironmentalResponse,CompensationandLiabilityActof1980（"CERCLA"）,asamendedbytheSuperfundAmendmentsandReauthorizationActof1986（"SARA"）,theHazardousMaterialsTransportationAct,theFederalWaterPollutionControlAct,theCleanAirAct,theCleanWaterAct,theToxicSubstancesControlAct,theSafeDrinkingWaterAct,andallsimilarfederal,stateandlocalenvironmentalstatutes,ordinancesandtheregulations,orders,ordecreesnoworhereafterpromulgatedthereunder.

"IndependentConsideration"meansthesumof$_________.

"Improvements"meansallbuildings,improvements,structuresandFixturesnoworontheClosingDatelocatedontheLand,including,withoutlimitation,landscaping,parkinglotsandstructures,roads,drainageandallabovegroundandundergroundutilitystructures,equipmentsystemsandotherso-called"infrastructure"improvements,butspecificallyexcludinganyandallequipment,personaltyandtradefixtures（includingmedicalequipment,whetheraffixedornot）whichisusedbySublesseeinoperatingtheambulatorysurgerycenterlocatedontheProperty.

"IntangibleProperty"meansallintangiblepropertyoranyinterestthereinnoworontheClosingDateownedorheldbySellerinconnectionwiththeLand,theImprovementsortheFixtures,includingallleases,contractrights,agreements,tradenames,waterrightsandreservations,zoningrights,businesslicensesandwarranties（includingthoserelatingtoconstructionorfabrication）relatedtotheLand,theImprovementsortheFixtures,oran
