ARTICLEIDESCRIPTIONANDCLASS

1.DESCRIPTION:

TheVESSELshallhavetheBUILDER'SHullNo.............................................................andshallbeconstructed,equippedandcompletedinaccordancewiththefollowingofthiscontract,andtheSpecificationandtheGeneralArrangementPlan（hereincollectivelycalledthe"Specification"）signedbyeachofthepartiesheretoforidentificationandattachedheretoandmakeanintegralparthereof.

3.Classification,rulesandRegulations

TheVESSEL,includingitsmachinery,equipmentandoutfittings,shallbeconstructedinaccordancewiththerules（theeditionandamendmentstheretobeinginforceasofthedateofthisContract）ofandunderspecialsurveyof（船级社名字）（hereincalledthe"ClassificationSociety"），andshallbedistinguishedintheregisterbythesymbolof（船级符号）.

DecisionsoftheClassificationSocietyastocomplianceornon-compliancewiththeclassificationshallbefinalandbindinguponbothpartieshereto.

TheVESSELshallalsocomplywiththerulesareregulationsandrequirementsofotherregulatorybodiesasdescribedintheSpecificationsineffectasofthedateofthisContract.AllfeesandchargesincidentaltoClassificationandwithrespecttocompliancewiththeabovereferredrules,regulationsandrequirementsshallbeforaccountoftheBUILDER.

4.Subcontracting

TheBUILDERmay,atitssolediscretionandresponsibilitysubcontractanyportionoftheconstructionworkoftheVESSEL.

5.Registration

TheVESSELshallberegisteredbytheBUYERatitsowncostandexpenseunderthelawsof...................................................withitshomeportof...................................................atthetimeofitsdeliveryandacceptancehereunder.

AETICALIIContractpriceandtermsofpayment

1.CONTRACTPRICE:

ThepurchasepriceoftheVESSELis（价格金额）,netreceivablebytheBUILDER（hereincalledthe"ContractPrice"）,whichisexclusiveofthecostfortheBUYER'sSuppliesasprovidedinArticleXVIIhereof,andshallbesubjecttoupwardordownwardadjustment,ifany,ashereinaftersetforthinthisContract.

2.CURRENCY:

AnyandallpaymentsbytheBUYERtotheBUILDERunderthisContractshallbemadeinnon-residentconvertiblefreeJapaneseYen（日元）.

3.TERMSOFPAYMENT:

TheContractPriceshallbepaidbytheBUYERtotheBUILDERininstallmentsasfollows:

（a）1stInstallment:

Thesumof（金额shallbepaiduponissuancebytheJapaneseGovernmentoftheExportLicensefortheVESSEL.

（b）2ndInstallment:

Thesumof（金额）shallbepaiduponkeel-layingoftheVESSEL.

（c）3rdInstallment:

Thesumof（金额）shallbepaiduponlaunchingoftheVESSEL.

（d）4thInstallment:

Thesumof（金额）plusanyincreaseorminusanydecreaseduetoadjustmentsoftheContractPricehereunder,shallbepaidupondeliveryoftheVESSEL.

4.METHODOFPAYMENT

（a）1stInstallment:

UponreceiptofacablenoticefromtheBUILDERofissuancebytheJapaneseGovernmentoftheExportLicensefortheVESSEL,theBUYERshallremittheamountofthisInstalmentbytelegraphic

（b）2ndInstallment:

UponreceiptofacablenoticefromtheBUILDERofkeel-layingoftheVESSELhavingbeenmade,theBUYERshallremittheamountofthisinstalmentbytelegraphictransferto（船厂银行）fortheaccountoftheBUILDER

（c）3rdInstallment:

UponreceiptofacablenoticefromtheBUILDERoflaunchingoftheVESSELhavingbeenmade,theBUYERshallremittheamountofthisinstalmentbytelegraphictransferto（船厂银行）fortheaccountoftheBUILDER

（d）4thInstallment:

TheBUYERshall,atleastseven（7）dayspriortothescheduleddeliverydateoftheVESSEL,eithercauseaprimebankacceptabletotheBUILDERtoissueanirrevocableletterofcreditinfavouroftheBUILDERthrough,ormakecashdepositwith（船厂银行），coveringtheamountofthisInstalmentasadjusted,availableorreleasabletotheBUILDERagainstasingedcopyoftheProtocolofdeliveryandacceptanceoftheVESSELassetforthinParagraph3ofArticleVIIhereof.NopaymentunderthisContractshallbedelayedorwithheldbytheBUYERonaccountofanydisputeordisagreementofwhatevernaturearisingbetweenthepartieshereto.

5.PREPAYMENT:

PrepaymentofanyinstalmentdueonorbeforedeliveryoftheVESSELshallbesubjecttomutualagreementbetweenthepartiesheretoandsubjecttoapprovaloftheJAPANESEGOVERNMENT.

ARTICLEⅢADJUSTMENTOFCONTRACTPRICE

TheContractPriceshallbesubjecttoadjustmentsashereinaftersetforth.Intheeventofthefollowingcontingencies（ItbeingunderstoodbybothpartiesthatanyreductionoftheContractPriceisbywayofliquidateddamagesandnotbywayofpenalty）.

1.DELIVERY

（a）Noadjustmentshallbemade,andtheContractPriceshallremainunchangedforthefirstthirty（30）daysofdelayindeliveryoftheVESSELbeyondtheDeliveryDateasdefinedinArticleⅦhereof,（）endingasoftwelveo'clockmidnightofthethirtieth（30thdayofdelay）

（b）IfthedeliveryoftheVESSELisdelayedmorethanthirty（30）daysaftertheDeliveryDate,then,insuchevent,beginningattwelveo'clockmidnightofthethirtieth（30th）dayaftertheDeliveryDate,theContractPriceshallbereducedbydeductingtherefromasfollows:

31st~60stday¥···············perdiem

61st~90stday.¥···············perdiem

91st~120stday¥···············perdiem

121st~150stday¥···············perdiem

151st~180stday¥···············perdiem

181st~210stday¥···············perdiem

However,thetotalreductionintheContractPriceshallnotbemorethanaswouldbethecaseforadelayofhundredandeighty（180）days,countingfrommidnightofthethirtieth（30th）dayaftertheDeliveryDateattheabovespecifiedrateofreduction.

（c）But,IfthedelayinthedeliveryoftheVESSELshouldcontinueforaperiodof180daysfromthe31stdayaftertheDeliveryDate,theninsuchevent,andaftersuchperiodhasexpired,theBUYERmayatitsoptionrescindthisContractinaccordancewiththeprovisionsofArticleXhereof..TheBUILDERmayatanytimeaftertheexpirationoftheaforementioned（180）daysofdelayindelivery,,iftheBUYERhasnotservednoticeofrescissionasprovidedinArticleXhereof,demandinwritingthattheBUYERshallmakeanelection,inwhichcasetheBUYERshall,withinfifteen（15）daysaftersuchdemandisreceivedbytheBUYER,notifytheBUILDERofitsintentioneithertorescindthisContract,orconsenttotheacceptanceoftheVESSELatanagreedfuturedate,itbeingunderstoodbythepartiesheretothat,iftheVESSELisnotdeliveredbysuchfuturedate,theBUYERshallhavethesamerightofrescissionuponthesameterms,ashereinaboveprovided.

（d）IntheBUYERrequestsinwritingthatthedeliveryoftheVESSELbemadeearlierthantheDeliveryDate,andifthedeliveryoftheVESSELismade,inresponsetosuchrequestoftheBUYER,morethan（30）daysearlierthantheDeliveryDate,then,insuchevent,beginningwiththethirty-fist（31st）daypriortotheDeliveryDate,theContractPriceoftheVESSELshallbeincreasedbyaddingthereto................................................foreachfullday（itbeingunderstoodthattheBUILDER'SacceptanceofsuchBUYER'SrequestforearlydeliveryshallbeinnowaybeconstruedaschangeoralterationofDeliveryDateunderthisContract）

（e）forthepurposeofthisArticlethedeliveryoftheVESSELshallbedeemedtobedelayedwhenandiftheVESSEL,aftertakingintofullaccountallpostponementsoftheDeliveryDatebyreasonofpermissibledelaysasdefinedinArticleVIIIand/orotherreasonsunderthisContract,isnotdeliveredbythedateuponwhichdeliveryisrequiredunderthetermsofthisContract.

2.SPEED

（a）TheContractPriceshallnotbeaffectedorchangedbyreasonoftheactualspe-edasdeterminedbytheTrialRunbeinglessthanthree-tenths（3/10）ofoneknotinactualspeedbelowtheguaranteedspeedoftheVESSEL.

（b）However,commencingwithandincludingsuchdeficiencyofthree-tenth（0.3）ofoneknotinactualspeedbelowtheguaranteedspeedoftheVESSEL,theContractPriceshallbereducedasfollows（butdisregardingfractionsofone-tenth（0.1）ofaknot）:
