MutualNon-DisclosureAgreement

ItisunderstoodandagreedtothatthepartiestothisAgreementwouldeachliketoprovidetheotherwithcertaininformationthatmaybeconsideredconfidential.Toensuretheprotectionofsuchinformationandinconsiderationoftheagreementtoexchangesaidinformation,thepartiesagreeasfollows:

1.TheconfidentialinformationtobedisclosedunderthisAgreement（”ConfidentialInformation”）canbedescribedasandincludes:

Technicalandbusinessinformationrelatingtoproprietaryideas,patentableideasand/ortradesecrets,existingand/orcontemplatedproductsandservices,researchanddevelopment,production,costs,profitandmargininformation,financesandfinancialprojections,customers,clients,marketing,andcurrentorfuturebusinessplansandmodels,regardlessofwhethersuchinformationisdesignatedas“ConfidentialInformation”atthetimeofitsdisclosure.

Inadditiontotheabove,ConfidentialInformationshallalsoinclude,andthepartiesshallhaveadutytoprotect,otherconfidentialand/orsensitiveinformationwhichis（a）disclosedassuchinwritingandmarkedasconfidential（orwithothersimilardesignation）atthetimeofdisclosure;and/or（b）disclosedbyinanyothermannerandidentifiedasconfidentialatthetimeofdisclosureandisalsosummarizedanddesignatedasconfidentialinawrittenmemorandumdeliveredwithinthirty（30）daysofthedisclosure.

2.ThepartiesshallusetheConfidentialInformationonlyforthepurposeofevaluatingpotentialbusiness,employmentand/orinvestmentrelationships.

3.ThepartiesshalllimitdisclosureofConfidentialInformationwithinitsownorganizationtoitsdirectors,officers,partners,membersand/oremployeeshavinganeedtoknowandshallnotdiscloseConfidentialInformationtoanythirdparty（whetheranindividual,corporation,orotherentity）withoutpriorwrittenconsent.Thepartiesshallsatisfyitsobligationsunderthisparagraphifittakesaffirmativemeasurestoensurecompliancewiththeseconfidentialityobligationsbyitsemployees,agents,consultantsandotherswhoarepermittedaccesstooruseoftheConfidentialInformation.

4.ThisAgreementimposesnoobligationuponthepartieswithrespecttoanyConfidentialInformation（a）thatwaspossessedbeforereceipt;（b）isorbecomesamatterofpublicknowledgethroughnofaultofreceivingparty;（c）isrightfullyreceivedfromathirdpartynotowingadutyofconfidentiality;（d）isdisclosedwithoutadutyofconfidentialitytoathirdpartyby,orwiththeauthorizationofthedisclosingparty;or（e）isindependentlydeveloped.

5.ThepartieswarrantthattheyhavetherighttomakethedisclosuresunderthisAgreement.

6.ThisAgreementshallnotbeconstruedascreating,conveying,transferring,grantingorconferringuponeitherpartyanyrights,licenseorauthorityinortotheinformationexchanged,exceptthelimitedrighttouseConfidentialInformationspecifiedinparagraph2.Furthermoreandspecifically,nolicenseorconveyanceofanyintellectualpropertyrightsisgrantedorimpliedbythisAgreement.

7.NeitherpartyhasanobligationunderthisAgreementtopurchaseanyservice,goods,orintangiblesfromtheotherparty.Furthermore,bothpartiesacknowledgeandagreethattheexchangeofinformationunderthisAgreementshallnotcommitorbindeitherpartytoanypresentorfuturecontractualrelationship（exceptasspecificallystatedherein）,norshalltheexchangeofinformationbeconstruedasaninducementtoactornottoactinanygivenmanner.

8.Neitherpartyshallbeliabletotheotherinanymannerwhatsoeverforanydecisions,obligations,costsorexpensesincurred,changesinbusinesspractices,plans,organization,products,services,orotherwise,basedoneitherparty’sdecisiontouseorrelyonanyinformationexchangedunderthisAgreement.

9.IfthereisabreachorthreatenedbreachofanyprovisionofthisAgreement,itisagreedandunderstoodthatthenon-breachingpartyshallhavenoadequateremedyinmoneyorotherdamagesandaccordinglyshallbeentitledtoinjunctiverelief;providedhowever,nospecificationinthisAgreementofanyparticularremedyshallbeconstruedasawaiverorprohibitionofanyotherremediesintheeventofabreachorthreatenedbreachofthisAgreement.

10.ThisAgreementstatestheentireagreementbetweenthepartiesconcerningthedisclosureofConfidentialInformationandsupersedesanyprioragreements,understandings,orrepresentationswithrespectthereto.AnyadditionormodificationtothisAgreementmustbemadeinwritingandsignedbyauthorizedrepresentativesofbothparties.ThisAgreementismadeunderandshallbeconstruedaccordingtothelawsoftheStateof___________________,U.S.A.Intheeventthatthisagreement,isbreached,anyandalldisputesmustbesettledinacourtofcompetentjurisdictionintheStateof____________________,U.S.A.

11.IfanyoftheprovisionsofthisAgreementarefoundtobeunenforceable,theremaindershallbeenforcedasfullyaspossibleandtheunenforceableprovision（s）shallbedeemedmodifiedtothelimitedextentrequiredtopermitenforcementoftheAgreementasawhole.

WHEREFORE,thepartiesacknowledgethattheyhavereadandunderstandthisAgreementandvoluntarilyacceptthedutiesandobligationssetforthherein.
