ISSUINGANDPAYINGAGENCYAGREEMENT

ThisAgreement,datedasof_________,_________,_________（M/D/Y）,isbyandbetweenAAA,Inc.（theIssuer）andTheBBBBank（BBB）.

1.APPOINTMENTANDACCEPTANCE

TheIssuerherebyappointsBBBasitsissuingandpayingagentinconnectionwiththeissuanceandpaymentofcertainshort-termpromissorynotesoftheIssuer（theNotes）,asfurtherdescribedherein,andBBBagreestoactassuchagentuponthetermsandconditionscontainedinthisAgreement.

2.COMMERCIALPAPERPROGRAMS

TheIssuermayestablishoneormorecommercialpaperprogramsunderthisAgreementbydeliveringtoBBBacompletedprogramschedule（theProgramSchedule）,withrespecttoeachsuchprogram.BBBhasgiventheIssueracopyofthecurrentformofProgramScheduleandtheIssuershallcompleteandreturnitsfirstProgramScheduletoBBBpriortoorsimultaneouslywiththeexecutionofthisAgreement.Intheeventthatanyoftheinformationprovidedin,orattachedto,aProgramScheduleshallchange,theIssuershallpromptlyinformBBBofsuchchangeinwriting.

3.NOTES

AllNotesissuedbytheIssuerunderthisAgreementshallbeshort-termpromissorynotes,exemptfromtheregistrationrequirementsoftheSecuritiesActof1933,asamended,asindicatedontheProgramSchedules,andfromapplicablestatesecuritieslaws.TheNotesmaybeplacedbydealers（theDealers）pursuanttoSection4hereof.Notesshallbeissuedineithercertificatedorbook-entryform.

4.AUTHORIZEDREPRESENTATIVES

TheIssuershalldelivertoBBBadulyadoptedcorporateresolutionfromtheIssuer’sBoardofDirectors（orothergoverningbody）authorizingtheissuanceofNotesundereachprogramestablishedpursuanttothisAgreementandacertificateofincumbency,withspecimensignaturesattached,ofthoseofficers,employeesandagentsoftheIssuerauthorizedtotakecertainactionswithrespecttotheNotesasprovidedinthisAgreement（eachsuchpersonishereinafterreferredtoasanAuthorizedRepresentative）.UntilBBBreceivesanysubsequentincumbencycertificatesoftheIssuer,BBBshallbeentitledtorelyonthelastincumbencycertificatedeliveredtoitforthepurposeofdeterminingtheAuthorizedRepresentatives.TheIssuerrepresentsandwarrantsthateachAuthorizedRepresentativemayappointotherofficers,employeesandagentsoftheIssuer（theDelegates）,includingwithoutlimitationanyDealers,toissueinstructionstoBBBunderthisAgreement,andtakeotheractionsontheIssuer’sbehalfhereunder,providedthatnoticeoftheappointmentofeachDelegateisdeliveredtoBBBinwriting.EachsuchappointmentshallremainineffectunlessanduntilrevokedbytheIssuerinawrittennoticetoBBB.

5.CERTIFICATEDNOTES

IfandwhentheIssuerintendstoissuecertificatednotes（CertificatedNotes）,theIssuerandBBBshallagreeupontheformofsuchNotes.Thereafter,theIssuershallfromtimetotimedelivertoBBBadequatesuppliesofCertificatedNoteswhichwillbeinbearerform,seriallynumbered,andshallbeexecutedbythemanualorfacsimilesignatureofanAuthorizedRepresentative.BBBwillacknowledgereceiptofanysupplyofCertificatedNotesreceivedfromtheIssuer,notinganyexceptionstotheshippingmanifestortransmittalletter（ifany）,andwillholdtheCertificatedNotesinsafekeepingfortheIssuerinaccordancewithBBB’scustomarypractices.BBBshallnothaveanyliabilitytotheIssuertodeterminebywhomorbywhatmeansafacsimilesignaturemayhavebeenaffixedonCertificatedNotes,ortodeterminewhetheranyfacsimileormanualsignatureisgenuine,ifsuchfacsimileormanualsignatureresemblesthespecimensignatureattachedtotheIssuer’scertificateofincumbencywithrespecttosuchAuthorizedRepresentative.AnyCertificatedNotebearingthemanualorfacsimilesignatureofapersonwhoisanAuthorizedRepresentativeonthedatesuchsignaturewasaffixedshallbindtheIssueraftercompletionthereofbyBBB,notwithstandingthatsuchpersonshallhaveceasedtoholdhisorherofficeonthedatesuchNoteiscountersignedordeliveredbyBBB.

6.BOOK-ENTRYNOTES

TheIssuer’sbook-entrynotes（Book-EntryNotes）shallnotbeissuedinphysicalform,buttheiraggregatefaceamountshallberepresentedbyamasternote（theMasterNote）intheformofExhibitAexecutedbytheIssuerpursuanttothebook-entrycommercialpaperprogramofTheDepositoryTrustCompany（DTC）.BBBshallmaintaintheMasterNoteinsafekeeping,inaccordancewithitscustomarypractices,onbehalfofCedeCo.,theregisteredownerthereofandnomineeofDTC.AslongasCedeCo.istheregisteredowneroftheMasterNote,thebeneficialownershipinterestthereinshallbeshownon,andthetransferofownershipthereofshallbeeffectedthrough,entriesonthebooksmaintainedbyDTCandthebooksofitsdirectandindirectparticipants.TheMasterNoteandtheBook-EntryNotesshallbesubjecttoDTC’srulesandprocedures,asamendedfromtimetotime.BBBshallnotbeliableorresponsibleforsendingtransactionstatementsofanykindtoDTC’sparticipantsorthebeneficialownersoftheBook-EntryNotes,orformaintaining,supervisingorreviewingtherecordsofDTCoritsparticipantswithrespecttosuchNotes.InconnectionwithDTC’sprogram,theIssuerunderstandsthatasoneoftheconditionsofitsparticipationtherein,itshallbenecessaryfortheIssuerandBBBtoenterintoaLetterofRepresentations,intheformofExhibitBhereto,andforDTCtoreceiveandacceptsuchLetterofRepresentations.InaccordancewithDTC’sprogram,BBBshallobtainfromtheCUSIPServiceBureauawrittenlistofCUSIPnumbersforIssuer’sBook-EntryNotes,andBBBshalldeliversuchlisttoDTC.TheCUSIPServiceBureaushallbilltheIssuerdirectlyforthefeeorfeespayableforthelistofCUSIPnumbersfortheIssuer’sBook-EntryNotes.

7.ISSUANCEINSTRUCTIONSTOBBB;PURBBBPAYMENTS

TheIssuerunderstandsthatallinstructionsunderthisAgreementaretobedirectedtoBBB’sCommercialPaperOperationsDepartment.BBBshallprovidetheIssuer,or,ifapplicable,theIssuer’sDealers,withaccesstoBBB’sMoneyMarketIssuanceSystemorotherelectronicmeans（collectively,theSystem）inorderthatBBBmayreceiveelectronicinstructionsfortheissuanceofNotes.ElectronicinstructionsmustbetransmittedinaccordancewiththeproceduresfurnishedbyBBBtotheIssueroritsDealersinconnectionwiththeSystem.ThesetransmissionsshallbetheequivalenttothegivingofadulyauthorizedwrittenandsignedinstructionwhichBBBmayactuponwithoutliability.IntheeventthattheSystemisinoperableatanytime,anAuthorizedRepresentativeoraDelegatemaydeliverwritten,telephoneorfacsimileinstructionstoBBB,whichinstructionsshallbeverifiedinaccordancewithanysecurityproceduresagreeduponbytheparties.BBBshallincurnoliabilitytotheIssuerinactinguponinstructionsbelievedbyBBBingoodfaithtohavebeengivenbyanAuthorizedRepresentativeoraDelegate.Intheeventthatadiscrepancyexistsbetweenatelephonicinstructionandawrittenconfirmation,thetelephonicinstructionwillbedeemedthecontrollingandproperinstruction.BBBmayelectronicallyrecordanyconversationsmadepursuanttothisAgreement,andtheIssuerherebyconsentstosuchrecordings.AllissuanceinstructionsregardingtheNotesmustbereceivedby1:

（a）IssuanceandPurBBBofBook-EntryNotes.UponreceiptofissuanceinstructionsfromtheIssueroritsDealerswithrespecttoBook-EntryNotes,BBBshalltransmitsuchinstructionstoDTCanddirectDTCtocauseappropriateentriesoftheBook-EntryNotestobemadeinaccordancewithDTC’sapplicablerules,regulationsandproceduresforbook-entrycommercialpaperprograms.BBBshallassignCUSIPnumberstotheIssuer’sBook-EntryNotestoidentifytheIssuer’saggregateprincipalamountofoutstandingBook-EntryNotesinDTC’ssystem,togetherwiththeaggregateunpaidinterest（ifany）onsuchNotes.PromptlyfollowingDTC’sestablishedsettlementtimeoneachissuancedate,BBBshallaccessDTC’ssystemtoverifywhethersettlementhasoccurredwithrespecttotheIssuer’sBook-EntryNotes.Priortothecloseofbusinessonsuchbusinessday,BBBshalldepositimmediatelyavailablefundsintheamountoftheproceedsduetheIssuer（ifany）totheIssuer’saccountatBBBanddesignatedintheapplicableProgramSchedule（theAccount）,providedthatBBBhasreceivedDTC’sconfirmationthattheBook-EntryNoteshavesettledinaccordancewithDTC’sapplicablerules,regulationsandprocedures.BBBshallhavenoliabilitytotheIssuerwhatsoeverifanyDTCparticipantpurchasingaBook-EntryNotefailstosettleordelaysinsettlingitsbalancewithDTCorifDTCfailstoperforminanyrespect.

（b）IssuanceandPurBBBofCertificatedNotes.UponreceiptofissuanceinstructionswithrespecttoCertificatedNotes,BBBshall:

（a）completeeachCertificatedNoteastoprincipalamount,dateofissue,maturitydate,placeofpayment,andrateoramountofinterest（ifsuchNoteisinterestbearing）inaccordancewithsuchinstructions;（b）countersigneachCertificatedNote;and（c）delivereachCertificatedNoteinaccordancewiththeIssuer’sinstructions,exceptasotherwisesetforthbelow.WheneverBBBisinstructedtodeliveranyCertificatedNotebymail,BBBshallstrikefromtheCertificatedNotethewordBearer,insertaspayeethenameofthepersonsodesignatedbytheIssuerandeffectdeliverybymailtos
