[***]ItismadeandenteredintobyandbetweenPartyAandPartyBbycommonconsentthroughconsultationontheprincipleofmutualcooperationanddevelopmenttogetherinaccordancewiththeContractLawOfPeople'sRepublicOfChinawithrespectofwarehouseleasing（hereinafterreferredtoasthe"Agreement"）onthepurposeofdefiningtherespectiverightsandobligationsofbothparties.One.Summaryofthewarehousetobeleased1.1Locationofthewarehouseundertheagreement:

LayoutofLeasedWarehouseforthespecificlocation）.1.3Dateofdelivery1）Theleasedwarehousewillbedeliveredtouseon[***],whichshallbedeemedasthedateofdelivery.Atthetimeofdelivery,thewarehouseshallbekeptclean,equippedwithsecurityfenceandwillbeincompliancewithlessee'sotherrequirementsofdelivery,ifany.ThedeliveryofleasedwarehouseshallnotreleaseorreducethePartyAfromthefulfillmentoftherepairingandmaintenanceobligationsundertheagreement.1.4Theuseoftheleasedwarehouse:

Storageofautomobileorotherindustrialrawmaterials.1.5Representation,warrantyandcommitment1）RepresentationandwarrantyofPartyAInadditiontotherepresentationandwarrantymadebypartyAinotherProvisionunderthisagreement,PartyAmadetoPartyBthefollowingrepresentationsandwarrantiesinexecutionandperformanceofthisagreement:

（1）Itisestablishedandexistedlegallyandhasthesufficientandappropriaterightandpowertoexecuteandperformtheagreement;

（2）Theexecutionandperformanceofthisagreementwillnotviolateanyapplicablelaws,judgementofanylegalauthorities,verdictordecrees,orderordecisionsofany

governmentalcompetentdepartments.（3）Noagreements,commitmentoractionswhichlimitorprohibittheexecutionandperformanceofthisagreementhasbeenconcluded,madeortaken.（4）IthasobtainedthenecessaryconsentsorapprovalsrelatingtotheexecutionandperformanceofthisagreementinaccordancewithArticlesofassociationofthecompany.（5）Noencumbrancesagainsttheexecutionandperformanceofthisagreementexisted.（6）Thecontracts,documentsandinformationdisclosedtoPartyBinrelationwiththeproposedtransactionaretrue,precise,completeandeffective.（7）Ithasthelegal,valid,exclusivelandusingrightoftheobjectplotoflandandisentitledtoengagedintheconstructionandleaseofthewarehousetobeleasedundertheagreement.（8）Besidestheexpressrecognizedmattersbybothpartiesundertheagreement,therearenotanymattersinrelationwiththeproposedtransactionthatviolatedlawsorrules,regulationsandrequirementsofgovernment.（9）Thenecessarypublicutilitiesandfacilitiesforthenormaluseoftheleasedwarehouseshallbeconnectedandreadyforusingbeforeandafterthedeliveryoftheleasedwarehouse.（10）Thevalidityoflandusingrightshallbeatleasetwentyyearsasfromthedateofexecutionoftheagreementandshallremainfulleffectivenessastheoriginalstipulations.ThecertificatesoflandusingrightandownershipofthehouseshallbeproperlyregisteredinthecompetentauthorityandproceduresforalltheimprovedandupdatedfacilitiesshallbehandledandcompletedinthespecifictimelimitaspertherequirementsofLandandResourceBureau,RealEstateBureauand/oranyothercompetentauthoritieshavingjurisdictionsonlandusingright.（11）Ifanyrightsofmortgages,pledges,liensoranyothersecurityinterestsarecreatedbyPartyAontheleasedhouseand/orlandusingrightsbeforetheexecutionofthisagreement,PartyAshallassurethatPartyBwillbeinformedtruthfullyandwillbeprovidedwithcopiesofrelevantcertificatesandevidencesandthattheactualleaseanduseoftheleadedwarehousebyPartyBshallnotbeaffected,intheabsenceofinfluenceduetoexertingtheabovementionedrights.（12）IntheperiodofPartyA'sholdingthelandusingrightandleasedwarehouse,PartyAhastakennoactionsontheleasedhouseneitherviolatingtheStateandShanghailocallaws,rulesnorbringingintothewarehouse,atanytime,anydangeroussubstanceand/orwastesorotherpotentialcontrolledorprohibitedsubstancesand/orsubstancesthatrestrictedtobeusedunderapplicablelaws,rules,regulations,decreesandorstipulationsofenvironmentand/orhealth.（13）PartyAhasnotbeenrestrainedbyanysuspendingand/orthreatenedclaims,proceedingsand/ordisputesfrombeingaffectedinthelandusingrightsorleasedwarehouseand/oritscapabilityinexecutionandperformanceoftheagreement.IntheknowledgeofPartyA,therearenoexistedorthreatenedclaims,issuesordisputesthatimpedeand/oraffectnegativelythecapabilityofPartyAinfulfillmentoftheagreement.

（14）PartyBshallnotbeliabletoanyclaimsforbeingharmfultoenvironmentraisedbyanypersonsororganizations（whethertheyareaffiliatedornotwithPartyA）duetothedumpingordisposalofmaterialsorthemattersregardingthewarehouseortheusingthereofbeforePartyB'occupationofthewarehouseforusing.2）CommitmentofPartyABesidesthecommitmentsmadebyPartyAinotherProvisionsundertheAgreement,PartyAmadetoPartyBthefollowingcommitmentsinexecutionandperformanceoftheagreement:

（1）Theengineeringqualityoftheleasedwarehouseshouldcomplywithcompulsorystandardunderlawsaswellastheagreedstandardunderthisagreement.

（2）Theleasedwarehousehasnotbeensealeduporrestrainedlegallybyanylegalauthorityorarbitrationbody.Intheeventofanysituationsaffectingtheleaseoftheleasedwarehouse,including,butnotlimitedto,shutdown,liquidation,bankruptcy,involvingindisputes,proceedings,arbitrationorotherlegalprocedures,occurredinPartyA,PartyBshallbeinformedinwritingimmediately.（3）IfthenormalactivitiesofproductionoperationbyPartyBand/orsub-lesseeconductedintheleasedwarehousehavebeeninterferedorinterruptedbyanythirdparty,PartyAshallcoordinateandcommunicateactivelywithrelevantdepartmentsforeliminationofsuchinterferes.（4）RegistrationofleasePartyAshallhandletheregisteringmattersofleaseinaccordancewithStaterulesandregulations.（5）;3）RepresentationandwarrantyofPartyBBesidestherepresentationsandwarrantiesmadebyPartyBinotherProvisionsundertheAgreement,PartyBmadetoPartyAthefollowingrepresentationsandwarrantiesinexecutionandperformanceoftheagreement:

（1）Itisestablishedandexistedlegallyandhasthesufficientandappropriaterightandpowertoexecuteandperformtheagreement;

（2）Theexecutionandperformanceofthisagreementwillnotviolateanyapplicablelaws,judgementofanylegalauthorities,verdictordecrees,orderordecisionsofanygovernmentalcompetentdepartments.（3）Noagreements,commitmentoractionswhichlimitorprohibittheexecutionandperformanceofthisagreementhasbeenconcluded,madeortaken.（4）IthasobtainedthenecessaryconsentsorapprovalsrelatingtotheexecutionandperformanceofthisagreementinaccordancewithArticlesofassociationofthecompany.（5）Noencumbrancesagainsttheexecutionandperformanceofthisagreementexisted.（6）Inthetermoftheagreement,PartyBshallnotbringintothewarehouseanydangeroussubstanceand/orwastesorothersubstancespotentialtobecontrolledorprohibitedunderStateofShanghaiapplicablelaws,rules,regulations,decreesandorstipulationswithrespecttoenvironmentand/orhealth.

（7）InthetermoftheagreementandPartyB'soccupationofthewarehouseforusing,suchoccupationorusingoftheleasedwarehouseshallcomplywithallStateorTianjinlocalapplicablelawsaswellasthesuitabledevelopmentplanning,conditionsorrequirementsoflandusingrights.4）CommitmentofPartyB

（1）TheusingofleasedwarehousebyPartyBforstorageofautomobileorindustrialmaterialsshallnotviolatelegalcompulsoryspecificationsandpoliciesimplementedinChina.Two.Termoflease2.1InitialtermofleaseThetermofleaseistotally8monthsasfrom[***]（startingdate）till[***]（endingdate）.2.2RightofrenewalUponexpirationofinitialtermoflease,PartyBshallhavethepriorityinrenewaloftheleaseundertheequivalentconditions,providedthatanonemonthpriornoticeshallbegiventoPartyA.ItisnecessarytosignaseparateagreementfortherenewedleasebyandbetweenPartyAandPartyB.Three.Rent3.1RentinthetermofinitialtermofperiodRentofhouse

（1）TherentshallbecalculatedbasedontheareaslistedinProvision1.2hereofandintheinitialtermofleasementionedinProvision2.1hereof,therentexcludingtaxesisRMB0.975Yuan/squaremeter/perday.Themonthlyrentforleasingdaysshallbesettledas30days,thustherentexcludingthetaxespermonthpersquaremetershallbeRMB29.25Yuan.Thelevelofrentshallremainunchangedintheinitialtermoflease.

（2）PartyAshallissuethespecial11%VATinvoicestoPartyB.（3）Exceptthepaymentofaboverentsbythelessee,thelesseeshallmakenopaymentofothertaxesinrelationwiththeleasingoftheleasedwarehouseundertheagreementasfromthedateofexecutionhereof.IntheeventofchangesofStaterelevanttaxrateand/orincreaseordecreaseoftaxtypes,thelessorandthelesseeshallmakere-discussionsofhowtosharethegainsandlosses.3.3MethodofpaymentfortherentUnderthisagreeme
