英文物业管理协议
PropertyManagementAgreement
ThisisaManagementAgreementbetween________________________hereincalled"Owner",andOOOProperties,Inc.,hereincalled"Agent",madethis_____dayof___________,_____.
1.Property-TheOwnerherebyappointsAgentexclusivelytolease,manage,andoperate,fortheOwnertherealpropertydescribedas_________________,Texasconsistingof________unit(s)hereincalled"Property".
2.Term-Thisagreementshallbecomeeffectiveonthe______dayof________________,____,andshallcontinueforoneyear.
3.Renewal-ThisAgreementwillbeautomaticallyrenewedonamonth-to-monthbasisunlesswrittennoticeofterminationisgivenbyeitherpartyatleastthirty(30)daysbeforetheendoftheabovetermorrenewalperiodorunlessanothercontractissignedbybothparties.
4.TerminationbyNotice-EitherpartymayterminatethisAgreementatanytimebygivingtheotherpartyatleastthirty(30)dayswrittennotice.OwnermayterminatethisAgreementimmediatelybytenderingtoAgentwithwrittennoticeofterminationonefullmonth'smanagementfeelessoneplusthenumberofconsecutivemonthsthemanagementagreementhasbeenenforce.Theamountofthemanagementfeeshallbethesameasthatchargedagainsttheoperatingaccountforthemonthimmediatelyprecedingthemonthoftermination.Intheeventthepropertyisvacantatthetimeoftermination,themanagementfeeshallbecomputedonthepostedrentattimeoftermination.
5.DeliveryofNotice-Noticeofterminationshallbedeliveredinpersonorbycertifiedorregisteredmail.
6.TerminationUponSale-ThisAgreementshallterminateautomaticallyuponthesaleofthePropertyoruponterminationofOwner'srightstocollectrentstherefromoruponre-occupancybytheOwner.
7.NoticeofSale-OwnershallnotifyAgentinwritingatleastthirty(30)dayspriortosaledate.AgentshallprovidetheOwnerthefollowingwithrespecttothesaleofthepropertyuptoonedaypriortosaledate:
a)Itemizationofsecuritydepositliabilitypertenant.
b)Itemizationofrentscollectedpertenant.
c)KeysforOwnerorhisagenttoaccesspropertytoperforminteriorinspections.
8.OperatingAccount-OwneragreestodepositwithAgentthesumof$_150-200__toestablishanoperatingaccount.Allcashreceiptsshallbedepositedtothisaccountandallcashdisbursementsshallbedrawnagainstthisaccount.Owneragreestofundanynegativeaccountbalancewithin5daysofnoticefromAgent.Agentwillbeprudentanduseourbestjudgmentinplacingoperatingaccountbalancesinfinancialinstitutions.Agentinnowayguaranteestheseaccountbalancesduetofinancialinsolvencyorreceivershipoftheseinstitutions.
9.MonthlyAccounting-AgentagreestorendertoOwneramonthlyaccountingoftheoperatingaccountandasummaryfortheyearinthefirstmonthfollowingthejustendedyear.Saidmonthlyaccountingshallberenderednolaterthanthirty(30)daysaftertheendofthecalendarmonthforwhichthemonthlyaccountingisbeingrendered.Alongwiththemonthlyaccounting,AgentshallremittoOwnertheoperatingaccountbalanceinexcessof$____.00alongwithastatementoftheproperty’smonthlyaccountbalances,incomesandexpensesuptothedateofthestatementpreparedonorbeforethe16thofeachmonthandmailedonorbeforethe20thofeachmonth.
10.FinalAccounting-UponterminationoftheAgreement,AgentshalldelivertoOwnerwithinsixty(60)daysaftertermination:
a)Afinalaccountingreflectingtheendingcashbalance.
b)ThebalanceofanymoniesofOwnersorsecuritydeposits,orboth,heldbyAgentwithrespecttotheProperty.
c)UnpaidbillsforwhichtheOwnerisresponsible.
11.MaximumExpenditures(Ordinary/Emergency)-Agentshalluseitsbestjudgmenttoexpeditetheperformanceofordinarymaintenanceandrepairs,includingmakeready,inthenormalcourseoftheoperationoftheproperty.Nosingleexpenditureforthesepurposesshallexceed$150.00withouttheowner’sapproval.Inordertopreventdamageorinjurytopersonsorproperty,orforotherreasons(e.g.inabilitytocontacttheowner,violationoflaw),theAgentisauthorizetoapproveorincurexpendituresonbehalfoftheownerforemergencymaintenanceandrepairsthatexceedtheaforementionedamount.
12.SecurityDeposit-Agentwillcollectandforwardsecuritydepositstoownersaccountandownershallrefundsecuritydepositsinaccordancewiththetermsofeachlease.Whenthetenantmovesout,thesecuritydepositwillberefundedtothetenantfromtheoperatingaccount.LawfuldeductionsfromthesecuritydepositwillbecreditedtotheOwner'soperatingaccountonlyafterthetenantmovesout.
13.Mortgage,Tax,Insurance,andotherFeesorObligations-Ownershallpayallmortgageindebtednessincludingrealandpersonalpropertytaxes,propertyinsurance,OwnersAssociationsfeesorotherfeesandobligations.
14.PropertyInsurance-Ownershallberesponsibleforobtainingandmaintainingcomprehensiveinsurancecoverageagainstdamageorinjurytopropertyorpersonswhichmightariseoutoftheoperation,management,maintenance,repair,oroccupancyoftheproperty.OwnerwillfurnishtoAgentcertificatesevidencingtheexistenceofpublicliabilityandpropertyhazardinsurance.AnyneworexistingliabilitycoverageforthepropertyshallincludeAgentas"additionalinsured".IfOwnerdoesnotprovidecertificatesevidencingtheexistenceofpublicliabilityandpropertyhazardsinsurance,AgentMAYplacesaidinsuranceandpaythepremiumoutoftheoperatingaccount.However,placingsuchinsuranceisnottheresponsibilityoftheAgent.Owneralsoshallberesponsibleforsecuring"extendedvacancy"insurance.
15.Authority-TheOwnerhereinagreestoassumeallreasonableexpensesinconnectionherewithandgivestoAgentthefollowingauthority:
Toperformallroutineyardmaintenanceandinteriorandexteriorcleaningnecessarytomaintainthepropertyinmarketableconditionandtoprovideutilitiesforsame.Agentatthewrittenrequestoftheownerwillprovideownerwithanestimateofthecostofyardmaintenance;
ToadvertisetheavailabilityforrentalPropertyoranypartthereof,toadvertisethepropertyontheinternetandusephotosoftheproperty'sinteriorandexterior,andtodisplay"ForLease"sign(s)thereon;
Tosign,renewand/orcancelleasesforthePropertyoranypartthereof;
Tocollectrentsdueortobecomedueandgivereceiptstherefor;
ToterminateandsignandserveinthenameiftheOwnersuchlegalnoticesasareappropriate,
ToinstituteandprosecuteactiontoevicttenantsandtorecoverpossessofsaidProperty;
Whenexpedient,tosettle,compromiseandotherwisemakenecessaryconcessionstotenantsasdeemednecessaryandprudentbyAgent;
Tohire,dischargeandsupervisealllaborforandonbehalfofOwnerrequiredfortheoperationandmaintenanceoftheProperty.ItisunderstoodandagreedthatAgentshallnotberesponsibleforacontractor'sacts,defaultsornegligenceifreasonablecarehasbeenexercisedinacontractor'sappointmentorretentionbyAgent.OwneragreestopaytheAgent$75perhourwithaminimumof1hour,billedinhourincrementstopurchasematerials,observeworkmen,obtainbuildingpermitsandestimates,tomeetwithbuildinginspectors,appraisers,insuranceadjusters,contractors,utilityservicemen(water,gas,electricity,telephone)andanyotherrequirementoftheownernotnormallyconnectedwiththedaytodaymanagementandoperationoftheProperty.
TopurchaseonbehalfoftheOwnerallequipment,supplies,andmaterialsnecessaryforthemaintenanceandoperationoftheProperty;
Torefermattersrequiringlegalservicestoqualifiedprofessionals.(Theseservicesmayincludeevictionproceedingsandsuitsforrecoveryoflostrentsanddamagesabovetheamountofthesecuritydeposits.)
Toexercisealandlord'slienfornon-paymentofrentsandOwnersshallindemnifyandholdharmlesstheAgentexceptincasesofwillfulmisconductorgrossnegligence.
16.LandscapeMaintenance-Duringperiodsofvacancy,OwnerspecificallyauthorizesAgenttoperformallreasonablelandscapemaintenanceandunderstandsthatallsuchchargeswillbepaidfromtheoperatingaccount.
Duringperiodsofoccupancy,ifitisdeterminedbyAgentthatthegroundsarebeingneglectedorabusedbytheresident,OwnerspecificallyauthorizesAgenttoperformlandscapemaintenanceandunderstandsthatallsuchchargeswillbepaidfromtheoperatingaccount.Saidchargeswillbebilledtotheresident,ifsaidchargesremainunpaidforaperiodofsixty(60)daysafterbilling,OwnerauthorizesAgenttoapplyallrentssubsequentlycollectedfirsttosuchcharges,thentorentdue,and,onthisbasis,Agentmayinitiateevictionproceedingsfornon-paymentofrent.
17.HoldHarmless-TheAgentshallaccountforallcollectionsandexpendituresmadehereunderanditisagreedthattheAgentshallnotbeliableexceptforcollectionsactuallyreceived.TheOwneragreestoindemnify,defend,andsaveharmlesstheAgentfromandagainstexpense(includingcourtcostsandattorney'sfees),loss,damage,fines,penalties,claim,demand,cause(s)ofaction,orliabilitiesarisingfromandactsoftheOwner,Agent,orresident.TheAgentisalsoheldharmlessfromanyotherclaim,demand,cause(s)ofaction,orlegalproceedingwhichmaybebroughtagainsttheAgentbyreasonofhisconnectionwiththerentingandmanagementofthepremises,exceptincasesofwillingmisconductorgrossnegligenceonpartofAgent.
18.Consideration-InconsiderationfortheservicestoberenderedtotheOwnerbytheAgentunderthisAgreement,theOwneragreestopayth
