Pursuantto,andotherrelevantlaws,andregulationsofthePeople’sRepublicofChinarelevantrules,PartyAandPartyBentrustPartyCtoactastheiragentforthesalesbetweenPartyAandPartyBandbeartestimonytotheafore-saidtransactioninprincipleofvoluntary,fairnessandhonesty.Throughfriendlynegotiation,PartyA,PartyBandPartyCherebyagreetoenterintothisAgreementandabidebyitjointly.
1.Propertyinformation
PartyAagreestosellthepropertytoPartyB.ThepropertyisqualifiedforsaleinthemarketinaccordancewiththeregulationofQingdaoMunicipalConstructionCommittee.Togetherwiththesalesoftheproperty,theallocatedlandareaforthepropertyandtheusabletermofthelandistransferredtoPartyBjointly.Thepropertyisdescribedas:

2.Salespriceandtermsofpayment
2.1PartyAandPartyBagreethatthesalespriceofthepropertybeRMB______;
Thepriceincludes:
[priceoftheproperty],[publicmaintenancefund],[permanentinteriordecoration],[air-conditioners]andothers.
2.2TermsofPayment
PartyBshallmakethepaymentinaccordancewith________asfollow:
2.2.1Cash
UponsigningofthisAgreement,PartyBshallpay10%oftheprice（sayRMB________）asthedeposit.Thispaymentshallbemadeinaccordancewith______asfollow:
a）.PaidtoPartyAinfullandPartyAshallissueaninvoice;
b）.DepositedtemporarilytotheescrowaccountofPartC,thisdepositwillbereleasedonlywhenthetitletransferfromPartyAtoPartyBiscompletedandthepropertyhandoverhasbeenconcluded,andthedepositwillbereleasedtogetherwiththeremainingpaymenttoPartyA.Todothis,PartyAandPartyBneedtosignaseparateEscrowAgreementwithPartC.
Paymentmethodoftheremainingamount
PartyAandPartyBherebyagreethat,fortheafore-saidmethod（b）,oncetheescrowfundisdepositedintheescrowaccountofPartC,itisdeemedthatPartyBhasperformeditspaymentobligationofdepositandthesalesprice.
2.2.1Mortgage
UponsigningofthisAgreement,PartyBshallpay______%oftheprice（sayRMB________）asthedeposit,whichwillbepartofthedownpayment.
Within____daysaftersigningofthisAgreement,PartyBshallmakeuptherestpartofthedownpayment（thedownpaymentshallbenolessthan %ofthepriceinaccordancewithmortgagebank’srequirement）.
Throughthenegotiation,PartyBagreestomaketheafore-saidpaymentin______wayasfollow:
a）.PaidinfullamounttoPartyAandPartyAshallissueaninvoice;
b）.DepositedtemporarilyintotheescrowaccountofPartC. ThisdepositwillbereleasedonlywhenthetitletransferfromPartyAtoPartyBiscompletedandthepropertyhandoverhasbeenconcluded,andthedepositwillbereleasedtogetherwiththeremainingpaymenttoPartyA.Todothis,PartyAandPartyBneedtosignaseparateEscrowAgreementwithPartC.
PartyAandPartyBherebyagreethat,fortheafore-saidmethod（b）,oncetheescrowfundisdepositedintheescrowaccountofPartC,itisdeemedthatPartyBhasperformeditspaymentobligationofdepositandthedownpayment.
IfPartyBmakestheremainingpaymentwithbankmortgage,PartyBshallsignaseparateEntrustedPaymentAuthorizationwithPartCforitsmortgageservices.
1）IfPartyBsatisfiesthecriteriaofgettingthemortgageloanthroughtheexaminationofthelendingbank,thelendingbankshallremittheloaninlumpsumtothespecialsettlementaccountopenedbyPartyAatthebankinaccordancewiththeEntrustedPaymentAuthorization.
2）IncasePartyBdoesnotsatisfythecriteriaofgettingtheloanthroughtheexaminationofthelendingbank,PartyBwillchoose_______ofthefollowingmethodsasthesolution:
A.Within______daysafterthebankdecidesnottoprovidetheloan,PartyBshallraisetheremainingpaymentbyhimselfandpayincashtoPartyA.PartyBshallbearalltheexpensesoccurredduringthisperiod;
B.TerminatethisAgreement,andPartyAandPartyBshallrefundthemoneywhichhavebeenpaidtoeachother.PartyBshallbearalltheexpensesoccurredduringthisperiod.
3.Taxesandfees
3.1 PartyAandPartyBshallpayallthetaxesandfeesrespectivelyinaccordancewithrelevantregulationsofthestateandlocalgovernments.PartyCshallassistPartyAandPartyBtocalculaterelevanttaxesandfees.Throughnegotiation,PartyAandPartyBagreetobearthetaxesandfeesasfollows:
Foranytaxesorfeesunspecified,unclear,orchangedwiththepolicy,PartyAandPartyBshallreachaconsensus daybeforethetitletransfer,orPartyAandPartyBshallmakethepaymentinaccordancewiththegovernmentregulation.
Feesincludingbutnotlimitedtopropertymanagementfee,utilityfeesforwater,electricity,gas,telephoneandothersbeforethehandoverofthepropertyisconcludedshallbebornbyPartyA.AndthefeesaftershallbebornbyPartyB.
3.2PartyAandPartyBmayentrustPartyCtopaytheaforesaidtaxesandfeesandPartyCshalltransferthepaymentproof,receiptsandinvoicesissuedbyrelevantgovernmenttothepartiesthatmakethepayment.
3.3Commissionandtermsofpayment
PartyAandPartyBagreetopayPartyCthecommissionforprovidingtheagencyservicesinaccordancewith ofthefollowingpaymentmethods:
3.3.1Bornbyoneparty.Party shallpay __________ %ofthepropertyprice（sayRMB___________）toPartyCuponsigningofthisAgreement;
3.3.1Sharedbytwoparties.PartyAshallpay ___________ %ofthepropertyprice（sayRMB___________）,andPartyBshallpay __________ %ofthepropertyprice（sayRMB__________）toPartyCuponsigningoftheagreement.
Theafore-saidcommissionshallnotberefundedbyPartyCtoanypartyifthisagreementfailedtobeperformedduetodefaultofeitherPartyAorPartyBoncethisAgreementisenteredbythethreeparties.
4.Titletransferagencyservices
PartyAandPartyBshallpreparethecertificatesandmaterialsfortitletransferandPartyCshallprovidechargeabletitletransferservicesforPartyAandPartyBwithfees.
TheservicefeefortitletransferagencyservicesisRMB_____________.ThefeeshallbepaidbyParty__________toPartyCuponsigningofthisAgreement（or,PartyApayRMB andPartyBpayRMB toPartyC）.
5.Handoveroftheproperty
5.1.PartyAandPartyBagreethatPartyAshallvacatetheproperty daysbeforethetitletransfer.PartyCshallassistPartyAandPartyBwiththehandoveroftheproperty.IncasePartyAandPartyBagreetoconducthandoverofthepropertyafterthetitletransfer,PartyAshallpayPartyCadepositintheamountofRMB ____________________andthisamountwillberefundedtoPartyBafterthehandoverofthepropertyiscompleted.
5.2PartyAshallpromisetocompensatePartyBforthedamagetoorthedismantlingofthedecorationsandaccessoriescoveredbyAppendixIoftheagreementfromthesigningoftheagreementtothehandoverofthepropertyinaccordancewiththeevaluationofthedamagedordismantleddecorationsandaccessories.
5.3PartyAshallbearthepropertymanagementfeeandotherrelevantfeesbeforethehandoverofthepropertyandtheaforesaidfeesshallbepaidbyPartyBafterthehandoveroftheproperty.
5.4PartyAandPartyBagreetoconductthetitletransfer ________ daysaftersigningofthisAgreementtakingtitlecertificateandrelevantmaterial.PartyCwillinformthespecificdate.Party ____shallpaythetaxesandfeesfortitletransferinaccordancewiththegovernmentregulations.
6.RightsandobligationsofPartyA
6.1RightsofPartyA
6.1.1PartyAshallhavetherighttocheckPartyB’sidentification.
6.1.2PartyAshallhavetherighttogetdepositandpropertysalespriceasstipulatedintheAgreement.
6.1.3PartyAshallhavetherightoflawsuituponPartyB’sbreachtothisAgreement.
6.2DutiesofPartyA
6.2.1PartyAshallprovidePartyBwithtrue,completedandvalidinformationabouttheproperty;
6.2.2PartyAshalldisclosetoPartyBtherealfactsabouttheproperty,includingbutnotlimitedtotherental,collateral,leakageandotherdefectoftheproperty;
6.2.3PartyAshallchangeitsresidenceaddressattheproperty______daysaftertitletransfer;
6.2.4PartyAshallcooperatewithPartyBfortitletransferinatimelymanner;
6.2.5PartyAshallguarantee
