10.TheGeneralTermsandConditionsonthebackpageconstituteaninseparablepartofthis

Contractandshallbeequallybindinguponbothparties.

GENERALTERMSANDCONDITIONS

1.DocumentstobesubmittedbytheSellerstotheBankfornegotiation:

（a）Fullsetclean-on-boardshippedBillofLading.

（b）Invoice.

（c）InspectionCertificateonQualityandInspectionCertificateonWeightissuedbytheChina

CommodityInspectionBureauattheportofshipment.

（d）InsurancePolicy.

2.QualityandWeight：

QualityandWeightcertifiedbytheChinaCommodityInspectionBureauattheportofshipment

aspertheirrespectivecertificatesaretobetakenasfinal.

3.ShippingAdvice:

Immediatelyafterloadingiscompleted,theSellersshallnotifybycablethenumberofcredit,

quantityandnameofvesseltotheBuyers.

4.AmendmentsofLetterofCredit;

TheBuyersshallopenLetterofCreditinaccordancewiththetermsofthisContract.Ifany

Discrepancyisfound,amendmentsofLetterofCreditshouldbemadeimmediatelybytheBuyers

UponreceiptoftheSellers’advice,failingwhichtheBuyersshallbeheldresponsibleforany

lossesthusincurredaswellasforlateshipmentthuscaused.

5.ForceMajeure;

ShouldtheSellersfailtodeliverthecontractedgoodsoreffecttheshipmentintimeby

reasonofwar,flood,fire,storm,heavysnoworanyothercausesbeyondtheircontrol,thetimeof

shipmentoranyothercausesbeyondtheircontrol,thetimeofshipmentmightbedulyextended,

oralternativelyapartorwholeoftheContractmightbecancelledwithoutanyliabilityattachedto

theSellersbutthesellershavetofurnishthebuyerswithacertificateattestingsucheventor

events.

6.Arbitration；

Shouldtherebeanydisputesbetweenthecontractingparties,theyshallbesettledthrough

negotiation.Incasenosettlementcanbereached,thecaseunderdisputemaythenbereferredto

arbitration.

7.Claims：

Shouldthequality,quantityand/orweightbefoundnotinconformitywiththosestipulatedin

thisContract,asidefromthoseusualnaturalchangesofqualityandweightintransitandlosses

withintheresponsibilityoftheshippingcompanyand/orinsurancecompany,theBuyersshall

havetherightwithin30daysafterthearrivalofthegoodsattheportofdestination,tolodge

claimsconcerningthequalityorweightofthegoods（Claimsforperishablegoodsaretobeput

forwardimmediatelyafterarrivalofthegoodsatdestination）,buttheBuyersshouldprovidethe

SellerswiththeCertificatesissuedbytheconcernedInspectionOrganization.

FoodstuffsImportandExportCorporation,Beijing（hereinaftercalledtheBuyers）andMessrs.

（hereinaftercalledtheSellers）,WHEREBYITISAGREEDthattheSellers

undertaketosellandtheBuyersundertaketobuytheundernotedcommodityonthetermsand

conditionsstipulatedbelow：

1.COMMODITY：

U.S.NO.2orbetterYellowCorn.1994/1995

Croptobecertifiedbyelevator’sletter.

2.QUALITY：

A）TheCornsuppliedbytheSellersshouldbeinconformitywiththefollowingspecifications：

Moisture：

14.5%maximum.

TestWeight：

54bsminimumperWinchesterbushel

BrokenCornandForeignMaterial：

3%maximum.

DamagedKernels（total）：

5%maximum,ofwhichmax.0.2%HeatDamagedKernels

B）TheCornsuppliedbytheSellersshouldbeinsoundcondition,fitforhumanediblepurpose,

withoutanyunpleasantodour,freefromanysignofmould,fermentationordeteriorationaswellas

freeofmould,fermentationordeteriorationaswellasfreefromliveinsectpests,suchas

alsofreeevidenceofplantinjuriousdiseases,suchasalsofreefromevidenceofplant

injuriousdiseases,suchas.

C）TheCornsuppliedbytheSellersshouldbefreefromthefollowingdiseases,pestsorweeds

dangeroustoplantsinaccordancewiththeregulationsoftheMinistryofAgricultureofthe

People’sRepublicofChina：

D）ThechemicalresiduesoftheCornsuppliedbytheSellersshallnotexceedtheregulations

stipulatedbytheMinistryofPublicHealthofthePeople’sRepublicofChinaandsubstantiatedby

aqualifiedindependentlaboratoryatloading：

E）TheAflaToxinoftheCornsuppliedbytheSellersshouldnotexceed20（twenty）PPB

accordingtotheregulationsstipulatedbytheMinistryofPublicHealthofthePeople’sRepublic

ofchina.

3.QUANTITY：

optionandatcontractedprice.

6.INSURANCE：

Cashagainstdocumentswithpaymenttobeeffectedby,withT/T

reimbursementwithinworkingdaysinafterthereceiptofthefollowingShipping

documentsfoundingoodorderbythebuyers.

A）Commercialinvoiceinquintuplicate.

B）Elevator’sLetterinduplicatecertifyingthattheactualcropyearfromwhichtheCornis

shippedasstipulatedinClause1ofthiscontract.

C）OfficialGradeandWeightCertificateinquintuplicateissuedbyFederalGrainInspection

Servicecertifyingthattheactualweightandqualityofthecargoshippedisinconformitywith

stipulationsoftheContract（enumeratingactualpercentageofMoisture,Testweight,BrokenCorn

andForeignMaterialaswellasDamagedkernels,etc.）

D）NationalCargoBureauorofficiallyLicensedInspector’sCertificateofship’sholdin

quintuplicateevidencingthattheholdsaresuitabletoreceiveandcarrytheCorn.

E）FullsetofcleanonboardoceanshippingBillsofLadingmadeouttoorderandblank

endorsed.Charterpartybillsofladingtobeacceptable.

F）PhytosanitarycertificatedinquintuplicateissuedbytheAnimalplant&HealthInspection

ServiceoftheUnitedStatesofAmericatogetherwithacertificateissuedbyaqualified

independentlaboratorycertifyingthattheCornissubstantiallyfreefromthefollowingand

indicatingthedateandnatureoftreatment.Andthecorntreatedwiththechemicalagentsshall

havenoharmforhumanconsumption.

G）Certificateinquintuplicateissuedbyaqualifiedindependentlaboratorycertifyingthat

chemicalthatthechemicalresiduesandtheAflaToxinoftheCornatloadingshallbein

conformitywiththelimitationinClause2ItemD）andE）oftheContract,andalsoindicatingthe

dateandnatureoftreatmentand/orfumigationaswellasthechemicalandquantitiesthereof

appliedtotheshipment.AnyCorntreatedwiththechemicalagentsshallhavenoharmforhuman

consumption.

AllbankingchargesincurredbeyondtheopeningplaceshallbefortheSellers’account.

8.SHIPMENT：

A）Shipmentshallbeeffectedin.

B）TheSellersshalltelextheBuyersthenameofvessel,flag,typeofvessel（bulkcarrier,single

deckacceptable）,laydaysandmaxdraftongoodsarrivalatdischargingport.Thechartering

vesselshallbesubjecttotheacceptanceoftheBuyersandtheBuyersreply24workinghours

latest.AftercharteringtheSellersshouldairmailacopyofthecharterpartyaswellasship’s

particulartotheBuyers.

C）TheloadingrangeshallbeeitherfromU.S.GulfofAtlantic,excluding

D）DischargingisbasedonC.Q.D.terms,itshallbemadeatCustomaryQuickDespatch,where

neitherdemurragenordispatchmoneyiscalledfor.

E）Vesselover20yearsageunacceptable,Overageofpremium,forgoodspervesselover15years

fortheSellers’account.

F）TheSellersshalladvisetheBuyersintimebytelexofthetimeofdeparture,invoiceamount,

quantityactuallyshipped,typeofvessel,itsdraft,ETAtoChinaandB/LNo.andDate.

G）TheagentfordischargingportwillbenamedbytheBuyers.

9.INSPECTION：

Thecertificateofqualityandweight,thephytosanitarycertificate,chemicalresiduecertificatedand

AflaToxincertificatedatloadingportshallbetakenasvalid.Butifanymajordeviationfrom

loadingspecificationsofqualityand/orweightoccuratdischarge,theSellersandtheBuyersshall

settlesuchdisp
