AccordingtoChrisBoltonofKSManagementConsultants,70%ofmergersfailtoliveuptotheirpromiseofshareholdervalue,riotthroughanyfailureineconomictermsbutbecausetheintegrationofpeopleisunsuccessful.Corporates,heexplains,concentratetheireffortsbeforeamergeronlegal,technicalandfinancialmatters.Theyemployarangeofexpertstoobtainthemostfavourablecontractpossible.Butevenattheseearlystages,peopleissuesmustbetakenintoconsideration.Thestrengthsandweaknessesofbothorganisationsshouldbeassessedand,ifitisamergerofequals,thencarefulthoughtshouldbegiventowhichpersonnel,fromwhichside,shouldtakeonthekeyroles.

Thiswastheissuein20XXwhentheproposedmergerbetweentwopharmaceuticalcompaniespromisedtocreateoneofthelargestplayersintheindustry.Forbothcompaniesthemergerwasintendedtoreversefallingmarketshareandshareholdervalue.However,althoughthecompanies'skillbaseswerecompatible,thechiefexecutivesofthetwocompaniescouldnotagreewhichofthemwastoheaduptheneworganisation.Thisillustratestheneedtocompromiseifamergeristotakeplace.

Buteveninmergersthatdogoahead,therecanbecultureclashes.Onewaytoavoidthisistoworkwithfocusgroupstoseehowemployeesviewtheexistingcultureoftheirorganisation.Inoneexample,wheretwoglobalorganisationsinthefoodsectorwereplanningtomerge,focusgroupsdiscoveredthatthecompaniesdisplayedverydifferentprofiles.Onewassales-focused,knewexactlywhatitwantedtoachieveandpushedinitiativesthrough.Theothergotinvolvedinlengthydiscussions,tryingoutoptionsmethodicallyandmakingcontingencyplans.Thefirstrespondedquicklytochangesinthemarketplace;thesecondtooklonger,buttheoptioniteventuallychosewasusuallythecorrectone.Neithercompany'sapproachwouldhaveworkedfortheother.

Theanswerisnottoadoptonecompany'sapproach,oreventotrytoincorporateeveryaspectofbothorganisations,buttocreateatotallynewculture.Thismeanstakingthebestfrombothsidesandmakinganeworganisationthateveryonecanaccept.Oralmosteveryone.Inevitablytherewillbethosewhocannotadapttoadifferentculture.Researchintotheimpactofmergershasfoundthatcompanieswithdifferingmanagementstylesaretheonesthatneedtoworkhardestatcreatinganewculture.

Anothertoolthatcanhelptogettherightculturalmixisinterculturalanalysis.Thisinvolvescarryingoutresearchthatlooksatthecultureofacompanyandthebusinesscultureofthecountryinwhichitisbased.Itidentifieshowpeople,moneyandtimearemanagedinacompany,andinvestigatesthebusinesscustomsofthecountryandhowitspolitics,economicsandhistoryimpactonthewaybusinessisdone.
