翻译和出版协议

《有效系泊第三版》译文的版权归出版单位和翻译单位共同所有

ThePublisherandTranslatoragreeasfollows:

出版单位和翻译单位约定如下：

1   DefinitionsandInterpretation  定义和解释

1.1   InthisAgreementexceptwhereadifferentinterpretationisclearfromornecessaryinthecontextthefollowingtermsshallhavethefollowingmeanings:

在本《协议》中，除非从语境中可以得到一个清楚的不同解释或者必须从语境中得到某种不同的解释，否则以下词语应当具有如下含义：

TheOCIMFfocusgroupreportingtothe"OCIMFChinaFocusGroup"responsibleforreviewingthetranslation.

对“石油公司国际海事论坛中国焦点小组”进行汇报的石油公司国际海事论坛焦点小组，负责复核翻译文本。

1.2   AnyreferenceinthisAgreementtoanystatuteorstatutoryprovisionshallbeconstruedasreferringtothatstatuteorstatutoryprovisionasitmayfromtimetotimebeamendedmodifiedextendedre-enactedorreplaced（whetherbeforeorafterthedateofthisAgreement）andincludingallsubordinatelegislationfromtimetotimemadeunderit.

在本《协议》中，对于任何法规或者法律规定的提及应当被理解为是对不时经过修订的、修改的、延期的、重新制定的或者被替代的（无论是在本《协议》生效日期之前还是之后）的法规或者法律规定的提及，应当包括依据所述法规或者法律规定不时修订的次级立法。

1.3   Theexpression'copyright'shallincludetheentirecopyrightdesignrightrentalright,righttoauthoriseorprohibitlendinganddatabaserightsubsistingnoworcreatedatanytimeduring      theTermunderthelawsoftheUnitedKingdomandallanalogousrightssubsistingnowor       createdatanytimeduringtheTermunderthelawsofeachandeveryotherjurisdiction      throughouttheTerritory.

“版权”一词的表述应当包括现在存在或者在本《协议》期限内任何时间依据英国法律产生的所有版权、设计权、出租权、进行授权的权利、禁止出租的权利和数据权，以及现在存在或者在本《协议》期限内任何时间依据“英国领地”内其它司法管辖下的法律产生的所有类似权利。

2    Recitals  叙文

2.1   ThePublisherhaswrittenEM3andistheownerofthecopyrightinit.

出版单位写就《有效系泊第三版》，是该书版权的所有人。

2.2  ThePublisherhasagreedtogranttheTranslatortherighttotranslateEM3intoChinese              subjecttothetermsandconditionssetoutbelow.

出版单位已经同意授权翻译单位根据下文的条款把该书翻译成汉语。

2.3  ThePublisherhasagreedtopublishaChinesetranslationofEM3subjecttothetermsandconditionssetoutbelow. 

出版单位已经同意根据下文的条款出版《有效系泊第三版》的汉语译本。

3DeliveryandacceptanceoftheWork   翻译工作的交付和接受

3.1  ThePublishershallcompleteanddelivertotheTranslatornotlaterthan[Date]anelectronictemplateofEM3onCD（oranumberofCDsasrequested）formattedtohavetheEnglishlanguageversiononthelefthandpageandformattedspacesontherighthandpageforinsertingthetranslatedtext.

出版单位应当制作《有效系泊第三版》的电子模板并放在一张光盘（或者根据要求放在多张光盘）内并在不迟于_____（日期）的期限内递交给翻译单位，模板的格式为左手页是英语版本，右手页空白，以待插入译文。

4.Translation  翻译

TheTranslatorshallundertakethetranslationworkusingtheusingtheelectronictemplate         providedonCD（oranumberofCDsasrequested）.  Sectionsofthecompletedtranslations          shallbeuploadedelectronicallytoWSIL.

4.1   翻译单位应当使用光盘（或者根据要求多张光盘）内提供的电子模板来从事翻译工作。

翻译后的译文段落应当通过电子方式上传给WSIL。

WhenallsectionsofthetranslationhavebeenuploadedtoWSIL,WSIL（onbehalfofthe                  Publisher）shallproduceadrafttranslation.  Thisdrafttranslationshallbesenttothe             Translatorforcheckingandreview.

 所有的译文段落都上传给了WSIL后，WSIL（代表出版单位）应当制作一份译文草本。

所述译文草本应当发送给翻译单位以供检查和审核。

5.  QualityControloftheTranslation  翻译质量控制

5.1   OnreceiptofthedrafttranslationtheTranslatorshallreviewandcheckthetranslation.

翻译单位一收到译文草本后，应当复核、检查译文。

5.2   OncompletionoftheTranslator'sreviewandcheckingofthedrafttranslationanyamendmentsshallbesubmittedtoWSIL.

翻译单位复核、检查完毕后，应当把所做的任何修正递交给WSIL。

5.3   WISL,onbehalfofthePublisher,shallincorporatetheamendmentsandproducearevised         drafttranslation.  ThereviseddrafttranslationshallbeprovidedtotheOCIMFMandarin                  TranslationReviewFocusGroupforreviewandapproval. 

 WSIL应当代表出版单位把修正内容并入译文草本并制作一份修正后的译文草本。

修正后的译文草本应当被提交给石油公司国际海事论坛汉语翻译复核焦点小组以供复核和批准。

6.AcceptanceoftheTranslationforPublication  同意译文出版

6.1   ThecompletedtranslatedtextshallnotproceedtopublicationuntilboththePublisherandtheAuthorhaveconfirmedtheirapprovalwhichshallbeprovidedinwritingorbyreceiptedemail.

6.1  完成的译文应当在得到出版单位和作者以书面方式或者收到电子邮件方式做出的批准后，才可以付印。

7.    ProductionandPublication  制作和出版

7.1   Publication   出版

ThePublishershallunlessotherwiseagreedorunlesspreventedfromdoingsobycircumstancesbeyonditscontrolpublishtheChinesetranslationof  EM3within3monthofreceivingthefinaliseddraftinthefollowingformat:

除非另有约定或者除非情形不为出版单位所能控制，否则出版单位应当以如下格式在收到最终确定的译文文本后三个月内出版《有效系泊第三版》的中文译本：

7.2   ThefrontandbackcoversoftheChinesetranslationofEM3willincludetheCCSlogoin                    equalprominencetotheOCIMFlogo.  TheworkofCCSastheChinesetranslatorwillbe                   acknowledgedintheopeningpagesoftheChinesetranslationofEM3.

《有效系泊第三版》汉语译本的封面和封底将有CCS标志，该标志的显眼程度和OCIMF标志一样。

《有效系泊第三版》中文译本的首页将会承认这是中国船级社的作品，承认其为该书的翻译。

7.3     Printruns印刷数量

Itisagreedthattheinitialprintrunshallbe2,000copies.  AnysubsequentprintrunsshallbeagreedbetweenthePublisherandTranslator.  TheChinesetranslationofEM3shallbeprintedwiththeassistanceofWSILtoensureconsistencyofqualitywithotherOCIMFpublications.

《协议》双方约定，初版印数为2000本。

之后的印刷数量应当由出版单位和翻译单位的共同约定。

《有效系泊第三版》的中文译本应当在WSIL的帮助下进行印刷，以便保证该书的质量与石油公司国际海事论坛的其它出版物保持一致。

7.4   %CopiesfortheTranslator给翻译单位的本数百分比

ThePublishersshallprovidetoTranslatorfreeofcharge25%ofallcopiesprintedofthe                    ChineseTranslationofEM3.

出版单位应当把《有效系泊第三版》中文译本全部本数的25%免费提供给翻译单位。

7.5    Controlofpublication出版控制

ThePublishershallhavewithinitscontrolthepublicationsalesdistributingandstorageoftheMandarintranslationofEM3. 

出版单位应当控制《有效系泊第三版》中文译本的出版、销售、经销和储存。

8.  ProductionCostsofProducingtheChineseTranslationofEM3

  制作《有效系泊第三版》中文译本的成本

8.1  ThePublisherwillpaythecostsofpublishingandprintingtheinitialprintrunof2,000copies.TheproductioncostsofanysubsequentprintsrunsshallbeagreedbetweenthePublisher              andTranslator.

 出版单位将支付出版、印刷初版2000本《有效系泊第三版》中文译本的花费。

之后印刷发生的制作成本应当由出版单位和翻译单位共同约定。

 8.2   ThecopiesoftheChinesetranslationofEM3notprovidedtotheTranslator（underCl.7.3）   willbesoldanddistributedbyWSILasperotherOCIMFpublications.

没有提供给翻译单位的《有效系泊第三版》中文译本（参见7.3条）将由WSIL按照石油公司国际海事组织其它出版物的方法进行出售、经销。

9.    Publicationprice  出版价格

9.1  TheChinesetranslationofEM3willbesoldforthesamerecommendedretailpriceastheEnglishlanguageversionofEM3（currently£25percopy）. 

《有效系泊第三版》中文译本的建议零售价格将和其英语版本的零售价格一样（当前价格为每本25英镑）

10   Copyrightprotection  版权保护

NothinginthisagreementtransfersthecopyrightofEM3heldbythePublishertoanyother        party.

本《协议》的任何内容都没有把出版单位拥有的《有效系泊第三版》的版权转让给任何其它方。

10.2  ThecopyrightintheChinesetranslationofEM3willbejointlyownedbythePublisherandtheTranslator.

《有效系泊第三版》中文译本的版权归出版单位和翻译单位共同所有。

10.3  ThePublisherwillensurethatallcopiesoftheChinesetranslationofEM3bearina      prominentpositionthejointownershipofthecopyright.andtheyearoffirstpublication.

出版单位将会确保《有效系泊第三版》中文译本的所有印本都在显著的位置标明版权是共同所有的，并标明首次出版的年份。

11  Dealings  交易

ThePartiestothisagreementagreenottoassigntheirrespectivebenefitsofthisagreementwithoutthepriorwrittenconsentoftheotherparty.

本《协议》各方约定，没有得到另一方的事先书面许可，不会转让各自在本《协议》项下的利益。

12   Amendments/Abridgement   修正/删节

12.1   TheChinesetranslationprocessshallnotamendtheoriginaltextofEM3.

 汉语翻译过程中不得修改《有效系泊第三版》的原文本。

12.2   NopartoftheChinesetranslationofEM3includingtext,drawingsphotographsorabridgedversionsorversionsinanywayalteredmaybetopublishedorlicensedtobepublishedwithoutthepriorwrittenconsentofboththePublisherandTranslator.

没有得到出版单位和翻译单位的事先书面许可，不得出版或者许可出版《有效系泊第三版》的中文译本的任何部分，包括文本、图纸、照片、删节本和通过任何方式经过修改的版本。

13  Termination 《协议》的终止

13.1  Terminationbynotice发出通知终止协议

EitherofthePartiesmaybywrittennoticetotheotherterminatethisbygivingreasonablenotice.

一方可以通过给对方发出适当的书面通知来终止本《协议》。

14  ConsequencesofTermination 《协议》终止的后果

14.1IfthetranslationofEM3isunfinishedneitherpartymayuseanypartoftheunfinishedtranslationwithoutthewrittenagreementoftheotherparty.

如果《有效系泊第三版》的翻译工作尚未结束，那么没有得到对方的书面许可，任意一方都不得使用未完译文的任意部分。

14.2  ThePublishermayforaperiodof12monthsonanon-exclusivebasiscontinuetosellanycopiesofthepublishedChinesetranslationof  EM3whichitstillhasinitscontrolasatthedateofexpiryorterminationofthisAgreementsubjecttothe25%ofcopiesbeingprovidedtotheTranslatorinaccordancewithclause10.4.

如果出版单位根据10.4条的规定，把印刷书本的25%提供给翻译单位之后，那么本《协议》到期后或者终止后的12个月内，出版单位可以把自己持有和控制的《有效系泊第三版》中文译本继续进行出售，但是出版单位的出售行为是非排他性的。

15  Forcemajeure    不可抗力

15.1   IfeitherpartyispreventedfromfulfillingitsobligationsunderthisAgreementbyreasonofanysuperveningeventbeyonditscontrol（includingbutnotlimitedtowarnationalemergencyfloodearthquakestrikeorlockout（otherthanastrikeorlockoutinducedbythepartysoincapacitated）orillness）thepartyunabletofulfillitsobligations（'theincapacitatedparty'）shallimmediatelygivenoticeofthistotheotherpartyandshalldoeverythinginitspowertoresumefullperform
