　　ThisOrdinancemaybecitedastheHoseineeSocietyofHongKongIncorporationOrdinance.

　　Cap1074s2Interpretation

　　InthisOrdinance,unlessthecontextotherwiserequires-

　　"committee"（委员会）meansthecommitteeforthetimebeingoftheHoseineeSocietyofHongKongappointedinaccordancewiththeconstitution;

　　"constitution"（章程）meanstheconstitutionoftheHoseineeSocietyofHongKongassetforthintheScheduleandanyamendmentorvariationthereofwhichmaybemadeundersection7.

　　ThemembersofthecommitteeoftheHoseineeSocietyofHongKongandtheirsuccessorsinofficeashereinafterdefinedshallbeabodycorporate,hereinaftercalledthecorporation,andshallhavethename"TheHoseineeSocietyofHongKong",andinthatnameshallhaveperpetualsuccession,andshallandmaysueandbesuedinallcourtsinHongKongandshallandmayhaveanduseacommonseal,andmayfromtimetotimebreak,change,alterandmakeanewthesaidseal.

（1）Thecorporationshallhavepowertoacquire,accept,grantleasesof,purchase,take,holdandenjoyanylands,buildings,messuagesortenementsofwhatnatureorkindsoeverandwheresoeversituate,andalsotoinvestmoneyuponmortgageofanylands,buildings,messuagesortenementsoruponthemortgages,debentures,stocks,funds,sharesorsecuritiesofanygovernment,municipality,corporationorcompanyandalsotopurchase,acquireandpossessvesselsandothergoodsandchattelsofwhatnatureandkindsoever.

（2）Thecorporationshallhavepowerbydeedunderitssealtogrant,sell,convey,assign,surrender,exchange,partition,yieldup,mortgage,pledge,demise,reassign,transferorotherwisedisposeoflands,buildings,messuages,tenements,mortgages,debentures,stocks,funds,sharesorsecuritiesorothergoodsandchattelswhatsoever,whichareforthetimebeingvestedinorbelongingtothecorporationuponsuchtermsastothecorporationmayseemfit.（Amended48of1973s.2）

　　（3）ThecorporationshallhavepowertodevelopandturntoaccountanylandwithinHongKongorelsewhereacquiredbythecorporationorinwhichthecorporationisinterested,andinparticularbylayingoutandpreparingthesameforbuildingpurposes,constructing,altering,pullingdown,decorating,maintaining,furnishing,fittingup,andimprovingbuildings,roads,andconveniencesandbyplanting,paving,draining,lettingonbuildingleaseorbuildingagreement,andbyadvancingmoneyto,enteringintocontractsandarrangementsofallkindswithbuilders,tenants,andothersinterestedinanysuchland.（Added48of1973s.2.Amended32of1999s.3）

　　（4）Thecorporationshallhavepowertoborroworraisemoneyinsuchmannerasthecorporationmaythinkfitandforthatpurposetochargealloranypartofthepropertyofthecorporation.（Added48of1973s.2）

　　Alldeedsandotherinstrumentsrequiringthesealofthecorporationshallbesealedinthepresenceof2membersofthecommitteeandshallbesignedby2membersandthesecretaryandtreasurer,andallotherdocuments,instrumentsandwritingsrequiringthesignatureofthecorporationshallbesignedbythesecretaryoramemberofthecommitteeauthorizedbythecommittee.

（1）Theappointmentofmembersofthecommitteeshallbemadeinaccordancewiththeconstitution.

（2）Wheneveranypersonisappointedtobeanewmemberofthecommitteewithin6weeksofsuchappointmentorwithinsuchfurtherperiodastheChiefExecutivemayallow,thecorporationbyitssecretaryshallfurnishtotheRegistrarofCompaniesevidencetohissatisfactionofthedueappointmentandthenamesandaddressesofthemembersofthecommittee,orofsuchnewmember,andshallthenandwithin3weeksofanychangeofsecretaryorchangeofaddress,furnishtosuchRegistrarparticularsofsuchsecretaryandofhisplaceofresidenceorothersufficientaddresswithinHongKong.（Amended32of1999s.3）

　　（3）Theregistrationofmembersofthecommitteeshallbeconclusiveevidenceoftheirappointment.

　　（4）ThereshallbepayabletotheRegistrarofCompaniesafeeof$5inrespectofregistrationofthecommitteeundersubsection

（2）,orofanewmemberofthecommittee,andafeeof$1shallbepayableinrespectofeachsearchofthefile.

　　（b）toperpetuatealsothememoryoftheothermembersofPanjataninsuchmannerasthecommitteeshallfromtimetotimedetermine;

　　（c）tomaintainandassistinsuchmannerasthecommitteemayfromtimetotimedeterminewhetherbygrantsofmoneyorotherwise,needyorindigentShiahsinHongKong;

　　Charitiesanddonations

　　Thecommitteeshallbedeemedtohaveatitsdisposalasspendableincomeinanyyearasumequaltohalftheactualnetincomeoftheprecedingyearofaccountforthepurposessetforthinparagraphs（c）,（d）and（e）ofArticleI:

　　ProvidedhoweverthatthecommitteemayinitsdiscretionexceedthislimitofexpenditurebynotmorethanHK$10000.00inanyparticularyearforthepurposessetforthinparagraphs（c）and（d）only,andprovidedfurtherthatthesaidlimitofexpendituremaybefurtherincreasedfromtimetotimeforthepurposessetforthinparagraphs（c）and（d）withthesanctionofaresolutionofthemembersoftheSocietyatameetingofmembersoftheSocietyconveneduponnoticeinwritingoftheintentiontosubmitsucharesolutionofnotlessthan7cleardays.

　　Powersanddutiesofcommittee

　　ThecommitteeshallhavesuchpowersanddutiesandshallholdsuchmeetingsasarespecifiedintheOrdinance,inthisconstitution,andintherules.

　　ARTICLEIV

　　Compositionofcommittee

（1）Thecommitteeshallbecomposedof7persons,ofwhomoneshallbenominatedbyeachofthefollowing4ShiahcompaniescarryingonbusinessinHongKong-

　　AbdoolallyEbrahim&Co.（HongKong）Ltd.;

　　H.T.BarmaLtd.;

　　KayamallyLtd.;

　　Tyeb&Co.,Ltd.,and3otherpersonsshallbeco-optedbythepersonsnominatedbytheabovesaidShiahcompanies.

（2）The3personsco-optedshallholdofficetillthenextannualgeneralmeetingoftheSociety.

　　（3）NopersonshallbeeligibleasamemberofthecommitteeunlessheisatthetimeofhisnominationorappointmentamemberoftheShiahfaith.

　　（4）Whereveranyvacancyonthecommitteeoccursfromtimetotimebyreasonofamemberofthecommitteedying,resigningorbecomingincapableorunwillingtoactorbeingabsentfromHongKongforlongerthan6monthsthen-

　　（a）ifsuchmemberisanomineeofacompanyreferredtoinparagraph

（1）,thecommitteemayrequirethecompanytonominateanotherpersonandifsuchpersonisnotnominatedwithinonemonththecommitteeshallbeentitledtoinvokethepowerscontainedinparagraphs（6）and（7）;

　　（b）ifsuchmemberisco-optedunderparagraph

（1）thepersonsnominatedbythesaidShiahcompaniesshallhavethepowertoco-optanotherpersonasmaybenecessarytobringthenumberofmembersofthecommitteeto7.（5）Notwithstandinganyvacancyintheirbody,themembersofthecommitteemayexerciseallpowersconferredonthembytheOrdinance:
