　　Adoptedatthe1090thSessionoftheAdjudicationCommitteeoftheSupremePeople'sCourtonDecember1,1999

　　TheSupremePeople'sCourt'sInterpretationsofCertainIssuesConcerningtheApplicationofTheContractLawofthePeople'sRepublicofChina（PartOne）,whichshallbecomeoperativeasfromDecember29,1999,wereadoptedatthe1090thSessionoftheAdjudicationCommitteeoftheSupremePeople'sCourtonDecember1,1999andareherebypromulgated.

　　PursuanttoTheContractLawofthePeople'sRepublicofChina（hereinafterthe"ContractLaw"）,andwithaviewtofacilitatingtheproperadjudicationofcontractualdisputes,weherebypromulgatethefollowinginterpretationsofcertainissuesconcerningtheapplicationoftheContractLawbyPeople'sCourts:

　　I.ScopeofApplicationoftheLawClause1WhereasuitisbroughttoaPeople'sCourtinrespectofadisputearisingoutofacontractformedaftertheoperativedateoftheContractLaw,theprovisionsoftheContractLawshallapply;whereasuitisbroughttoaPeople'sCourtinrespectofadisputeconcerningacontractformedbeforetheoperativedateoftheContractLaw,exceptotherwiseprovidedherein,theprovisionsofthelawineffectatthetimeshallapply,providedthatifthelawineffectatthetimedidnotprovideforsuchmatter,therelevantprovisionoftheContractLawmayapply.

　　Clause2WhereacontractwasformedbeforetheoperativedateoftheContractLaw,buttheprescribedtimelimitforperformanceextendsbeyond,orcommencesafter,theoperativedateoftheContractLaw,ifadisputearisesoutofitsperformance,therelevantprovisionsofChapterFouroftheContractLawshallapply.

　　Clause3IndeterminingthevalidityofacontractformedbeforetheoperativedateoftheContractLaw,ifapplicationofthelawineffectatthetimeleadstoitsinvalidation,butapplicationoftheContractLawleadstoaffirmationofitsvalidity,thePeople'sCourtshallapplytheContractLaw.

　　Clause4AftertheContractLawbecameoperative,aPeople'sCourtmayonlyinvalidateacontractinaccordancewithlawsadoptedbytheNationalPeople'sCongressoritsStandingCommittee,oradministrativeregulationsadoptedbytheStateCouncil,andmaynotinvalidateacontractinaccordancewithanylocalstatutesoradministrativerules.

　　Clause5WhereaPeople'sCourtre-adjudicatesacaseonwhichafinaljudgmenthasbeenrendered,theContractLawdoesnotapply.

　　II.TimeLimitforActionClause6Inadisputearisingoutofatechnologycontract,whereinfringementoftherightofapartyoccurredbeforetheoperativedateoftheContractLaw,iftherewasalapseofmorethanoneyearbetweenthedateonwhichthepartykneworshouldhaveknownthatitsrightwasinfringedandtheoperativedateoftheContractLaw,thePeople'sCourtwillnolongerenforcesuchright;wherethelapsewaslessthanoneyear,thetimelimitduringwhichthepartymaybringasuitshallbetwoyears.

　　Clause7Inadisputearisingoutofatechnologyimport/exportcontract,whereinfringementoftherightofapartyoccurredbeforetheoperativedateoftheContractLaw,iftherewasalapseofmorethantwoyearsbetweenthedateonwhichthepartykneworshouldhaveknownthatitsrightwasinfringedandtheoperativedateoftheContractLaw,thePeople'sCourtwillnolongerenforcesuchright;wherethelapsewaslessthantwoyears,thetimelimitduringwhichthepartymaybringasuitshallbefouryears.

　　Clause8Thetimeperiodof"oneyear"setoutinArticle55,andthetimeperiodof"fiveyears"setoutinArticle75andParagraph2ofArticle104oftheContractLawarefixed,andarenotsubjecttotherulesgoverningthesuspension,terminationorextensionoftimelimitforaction.

　　III.ValidityofContractsClause9WhereassetforthinParagraph2ofArticle44oftheContractLaw,therelevantlaworadministrationregulationprovidesthattheeffectivenessofacertaincontractissubjecttocompletionoftherelevantapprovalprocedure,ortherelevantapprovalandregistrationprocedures,ifbeforecompletionofcourtdebatebythepartiesinthetrialoffirstinstance,thepartiesstillfailtocarryouttherelevantapprovalprocedure,orapprovalandregistrationprocedures,asthecasemaybe,thePeople'sCourtshallrulethatthecontracthasnotyettakeneffect;iftherelevantlaworadministrationregulationrequiresthatacertaincontractberegisteredwithoutsubjectingitseffectivenesstosuchregistration,thenfailuretoeffectregistrationshallnotimpairthe
