FORMATIONOFTHECONTRACT

Contractofsale

2. 

Contractofsale

Acontractofsaleofgoodsisacontractbywhichthesellertransfersoragreestotransferthepropertyingoodstothebuyerforamoneyconsideration,calledtheprice.

Theremayacontractofsalebetweenonepartownerandanother.

Acontractofsalemaybeabsoluteorconditional.

Whereunderacontractofsalethepropertyinthegoodsistransferredfromthesellertothebuyerthecontactiscalledasale.

Whereunderacontractofsalethetransferofthepropertyinthegoodsistotakeplaceatafuturetimeorsubjecttosomeconditionlatertobefulfilledthecontractiscalledanagreementtosell.

（6） 

Anagreementtosellbecomesasalewhenthetimeelapsesortheconditionsarefulfilledsubjecttowhichthepropertyinthegoodsistobetransferred.

3. 

Capacitytobuyandsell

Capacitytobuyandsellisregulatedbythegenerallawconcerningcapacitytocontractandtotransferandacquireproperty.

Wherenecessariesaresoldanddeliveredtoaminorortoapersonwhobyreasonofmentalincapacityordrunkennessisincompetenttocontract,hemustpayareasonablepriceforthem.

Howcontractofsaleismade

SubjecttothisandanyotherAct,acontractofsalemaybemadeinwriting（eitherwithorwithoutseal）,orbywordofmouth,orpartlyinwritingandpartlybywordofmouth,ormaybeimpliedfromtheconductoftheparties.

Nothinginthissectionaffectsthelawrelatingtocorporations.

Subjectmatterofcontract

5. 

Existingorfuturegoods

Thegoodswhichformthesubjectofacontractofsalemaybeeitherexistinggoods,ownedorpossessedbytheseller,orgoodstobemanufacturedoracquiredbyhimafterthemakingofthecontractofsale,inthisActcalledfuturegoods.

Theremaybeacontractforthesaleofgoodstheacquisitionofwhichbythesellerdependsonacontingencywhichmayormaynothappen.

Wherebyacontractofsalethesellerpurportstoeffectapresentsaleoffuturegoods,thecontractoperatesasanagreementtosellthegoods.

6. 

Goodswhichhaveperished

Wherethereisacontractforthesaleofspecificgoods,andthegoodswithouttheknowledgeofthesellerhaveperishedatthetimewhenacontractismade,thecontractisvoid.

7. 

Goodsperishingbeforesalebutafteragreementtosell

Wherethereisanagreementtosellspecificgoodsandsubsequentlythegoods,withoutanyfaultonthepartofthesellerorbuyer,perishbeforetheriskpassestothebuyer,theagreementisavoided.

8. 

Ascertainmentofprice

Thepriceinacontractofsalemaybefixedbythecontract,ormaybelefttobefixedinamanneragreedbythecontract,ormaybedeterminedbythecourseofdealingbetweentheparties.

Wherethepriceisnotdeterminedasmentionedinsubsection

（1）abovethebuyermustpayareasonableprice.

Whatisareasonablepriceisaquestionoffactdependentonthecircumstancesofeachparticularcase.

9. 

Agreementtosellatvaluation

Wherethereisanagreementtosellgoodsonthetermsthatthepriceistobefixedbythevaluationofathirdparty,andhecannotordoesnotmakethevaluation,theagreementisavoided;

butifthegoodsoranypartofthemhavebeendeliveredtoandappropriatedbythebuyerhemustpayareasonablepriceforthem.

Wherethethirdpartyispreventedfrommakingthevaluationbythefaultofthesellerorbuyer,thepartynotatfaultmaymaintainanactionfordamagesagainstthepartyatfault.

Impliedtermsetc.

10. 

Stipulationsabouttime

Unlessadifferentintentionappearsfromthetermsofthecontract,stipulationsastotimeofpaymentarenotoftheessenceofacontractofsale.

Whetheranyotherstipulationastotimeisorisnotoftheessenceofthecontractdependsonthetermsofthecontract.

11. 

Whenconditiontobetreatedaswarranty

ThissectiondoesnotapplytoScotland.

Whereacontractofsaleissubjecttoaconditiontobefulfilledbytheseller,thebuyermaywaivethecondition,ormayelecttotreatthebreachoftheconditionasabreachofwarrantyandnotasagroundfortreatingthecontractasrepudiated.

Whetherastipulationinacontractofsaleisacondition,thebreachofwhichmaygiverisetoarighttotreatthecontractasrepudiated,orawarranty,thebreachofwhichmaygiverisetoaclaimfordamagesbutnottoarighttorejectthegoodsandtreatthecontractasrepudiated,dependsineachcaseontheconstructionofthecontract;

andastipulationmaybeacondition,thoughcalledawarrantyinthecontract.

Subjecttosection35Abelowwhereacontractofsaleisnotseverableandthebuyerhasacceptedthegoodsorpartofthem,thebreachofaconditiontobefulfilledbythesellercanonlybetreatedasabreachofwarranty,andnotasagroundforrejectingthegoodsandtreatingthecontractasrepudiated,unlessthereisanexpressorimpliedtermofthecontracttothateffect.

Nothinginthissectionaffectsaconditionorwarrantywhosefulfilmentisexcusedbylawbyreasonofimpossibilityorotherwise.

12. 

Impliedtermsabouttitle,etc.

Inacontractofsale,otherthanonetowhichsubsection（3）belowapplies,thereisanimpliedtermonthepartofthesellerthatinthecaseofasalehehasarighttosellthegoods,andinthecaseofanagreementtosellhewillhavesucharightatthetimewhenthepropertyistopass.

Inacontractofsale,otherthanonetowhichsubsection（3）belowapplies,thereisalsoanimpliedtermthat—

（a） 

thegoodsarefree,andwillremainfreeuntilthetimewhenthepropertyistopass,fromanychargeorencumbrancenotdisclosedorknowntothebuyerbeforethecontractismade,and

（b） 

thebuyerwillenjoyquietpossessionofthegoodsexceptsofarasitmaybedisturbedbytheownerorotherpersonentitledtothebenefitofanychargeorencumbrancesodisclosedorknown.

Thissubsectionappliestoacontractofsaleinthecaseofwhichthereappearsfromthecontractoristobeinferredfromitscircumstancesanintentionthatthesellershouldtransferonlysuchtitleasheorathirdpersonmayhave.

Inacontracttowhichsubsection（3）aboveappliesthereisanimpliedtermthatallchargesorencumbrancesknowntothesellerandnotknowntothebuyerhavebeendisclosedtothebuyerbeforethecontractismade.

Inacontracttowhichsubsection（3）aboveappliesthereisalsoanimpliedtermthatnoneofthefollowingwilldisturbthebuyer'

squietpossessionofthegoods,namely—

theseller;

inacasewherethepartiestothecontractintendthatthesellershouldtransferonlysuchtitleasathirdpersonmayhave,thatperson;

（c） 

anyoneclaimingthroughorunderthesellerorthatthirdpersonotherwisethanunderachargeorencumbrancedisclosedorknowntothebuyerbeforethecontractismade.

AsregardsEnglandandWalesandNorthernIreland,thetermimpliedbysubsection

（1）aboveisaconditionandthetermsimpliedbysubsections

（2）,（4）and（5）abovearewarranties.

13. 

Salebydescription

Wherethereisacontractforthesaleofgoodsbydescription,thereisanimpliedtermthatthegoodswillcorrespondwiththedescription.

AsregardsEnglandandWalesandNorthernIreland,thetermimpliedbysubsection

（1）aboveisacondition.

Ifthesaleisbysampleaswellasbydescriptionitisnotsufficientthatthebulkofthegoodscorrespondswiththesampleifthegoodsdonotalsocorrespondwiththedescription.

Asaleofgoodsisnotpreventedfrombeingasalebydescriptionbyreasononlythat,beingexposedforsaleorhire,theyareselectedbythebuyer.

Impliedtermsaboutqualityorfitness

Exceptasprovidedbythissectionandsection15belowandsubjecttoanyotherenactment,thereisnoimpliedtermaboutthequalityorfitnessforanyparti
