A.Qualityterms﹕

1.Qualityrequirements﹕performaccordingtoqualitystandardsapprovedbybothparts.PartBmustmatchupthespecialrequirementsputforwardbypartA.

1.1Qualitystandards﹕asperthedrawingandsampleprovidedorapprovedbypartA.

1.2Whenrevisionoccurs,partBmustgetthedocumentapprovalfrompartA,andoralagreementmustnotwork.

1.3ForthedrawingandotherdataprovidedbypartA,partBmustverifyifthereisvalidstamponthem,otherwise,thesedataonlycanbeusedforreference,butnotqualitystandard.

1.4WhenpartBreceivesthenewversiondrawingorotherdataprovidedbypartA,partBmustreturnbyconfirmingandsendbackoldversiontopartA,Otherwise,partBhavetoberesponsibleforthelossincurredbymisusingdatabypartB.

1.5DuringproductionperformedbypartB,ifmold/jigdamageorversionchangeoccurs,partBmustnotifypartAandre-sendsampletopartA,andonlybeginproductionaftergettingapprovalofpartA.

2.WhenpartBshipsouttopartA,mustbeattached.ForthoseagentsofIC/transistor,etc.whocannotprovidethisreport,mustbeattached.

3.ForthematerialprovidedbypartB,partAwillcheckandjudgematerialaccordingtothesampleandprovidedtopartBandperformasperinspectionstandardofMIL-STD-105E.（PartAcannotacceptpartsuntilthesamplegetapprovalfrompartA）.Forunacceptedmaterial,partBmustturnbackthemwithinoneweekaftergettingnotificationofpartA.PartAwillnotberesponsiblefortheoverdueloss.

4.Whenmaterialscometoproductionlinesafterinspection,materialdefectsorpotentialdefectsmaybefound..Inthiscircumstance,partBshouldreplacetotally.Ifthereareanylossandchargeincurredbythiscircumstance,partBmustberesponsibleforalllossandcharge.

5.Ifmaterialqualityisnotuptostandard,butpartAneedtousespeciallyduetourgency,10%ofthelotofgoodspaymentmustbededucted﹔ifneedpartAtoprocesstheseparts,partBmustpayworkhourfeebyRMB25.00/hour.

6.Fornotcoveredbyaboveterms,pleaseperformaccordingtoapprovedbyboth.

B.Deliveryterms﹕

1.Delivery﹕afterreceivingordersofpartA,partBshouldcheckdescription,specification,orderedquantity,unitprice,currency,qualityrequirement,deliverydate,andreturnordersbysignwithin24hours.Forvalueaddedtaxinvoice,pleasenoticerate.Ifnotmeetrequireddeliverydate,partBshouldreplydeliverydatewhichcanbemet,otherwise,partAwillthinkthatpartBcanmeetdeliverydaterequired.IfmaterialdelayinfluencetheproductionofpartA,partAwilldeductpaymentaccordingto.TheworkhourlossindeductiondetailneedstobecalculatedbyRMB25.00perpersonperhour.IfpartB’sdeliverydelayinfluencestheshipmentofpartA,partBhastotakethelossofpartAbecauseofdelayofshipment.

2.Inprinciple,deliverydateinorderisdeadlineofdelivery.PartAwillprovidetopartBaccordingtoproductionneed.PartBmustmakedeliverystrictlyas,includingdateandquantity.PartBshouldreplytopartAifanyquestionsorproblems.Ifnoany,partBshoulddeliveraccordingtoorderdeliverydatestrictly.（Whenspecially,partBcandeliveronedaybeforeschedule）otherwise,partAhasrighttorejectwithoutpartB’sagreement.

3.IfpartB’smaterialsarerejectedtoreceivebypartAduetocertainreasons,partBshouldcontactpurchaserofpartAimmediatelyforsettlement.

4.Materialreceivingtime﹕AM8﹕00-AM11﹕40,PM13:

30-PM17:

30fromMondaytoSaturday.Duringthisterm,partAmustfinishreceivinggoodsandmustnotrejectreceivingbyanyexcuseafterthedeliveryvehicleofpartBgoesintothefactoryareaofpartA.DuringSundaysandotherholidays,materialreceivingstopsunlessgettingagreementinadvance.

5.ThematerialdeliveredbypartBmustbepackedproperly,markingdeliverydate/partnumber/description/quantity/ordernumberofpartA’sorderoncartonorwrap.

6.IfpartBdosenotfinishdeliverytotallyaftertimeorintermittencewithoutpartA’sagreement,partAhasrighttocancelthisorderatanymomentandnotberesponsibleforleftmaterialnotdeliveredbypartB.
