“ModifyingFactors’includesmining,metallurgical,economic,marketing,legal,environmental,socialandgovernmentalconsiderations.

OreReserves

AlthoughthetermMineralReserveisusedthroughoutthisCode,itisrecognisedthatthetermOreReserveisstillingeneraluse.ForthepurposesofreportingundertheSAMRECCode,thesetermsareconsideredtobesynonymous.

Pre-FeasibilityStudy

Acomprehensivestudyofarangeofoptionsfortheviabilityofamineralprojectthathasadvancedtoastagewherethepreferredminingmethod,inthecaseofundergroundminingorthepitconfigurationinthecaseofanopenpithasbeenestablishedandwhereaneffectivemethodofmineralprocessinghasbeendetermined.Itincludesafinancialanalysisbasedonrealisticallyassumedassumptionsoftechnical,engineering,operating,economicfactorsandtheevaluationofotherrelevantfactorswhicharesufficientforaCompetentPerson,actingreasonably,todetermineifallorpartoftheMineralResourcemaybeclassifiedasaMineralReserve.Theoverallconfidenceofthestudyshouldbestated.APre-feasibilityStudyisatalowerconfidencelevelthanaFeasibilityStudy.

1.TheSOUTHAFRICANCODEFORTHEREPORTINGOFEXPLORATIONRESULTS,

MINERALRESOURCESANDMINERALRESERVES（theSAMRECCodeortheCode）setsoutminimumstandards,recommendationsandguidelinesforPublicReportingofExplorationResults,MineralResourcesandMineralReservesinSouthAfrica.IthasbeendrawnupbytheWorkingGroupoftheSSCCommitteeunderthejointauspicesoftheSouthernAfricanInstituteofMiningandMetallurgy（SAIMM）andtheGeologicalSocietyofSouthAfrica（GSSA）.TheSSCconsistsofrepresentativesoftheSAIMM,theGSSA,theSouthAfricanCouncilforNaturalScientificProfessions（SACNASP）,theGeostatisticalAssociationofSouthAfrica（GASA）,theSouthAfricanCouncilforProfessionalLandSurveyorsandTechnicalSurveyors（PLATO）,theAssociationofLawSocietiesofSouthAfrica,theGeneralCounciloftheBarofSouthAfrica,theDepartmentofMineralsandEnergy（DME）,theJSELimited（JSE）,theCouncilforGeoscience,

theSouthAfricanCouncilofBanks,theMineralsBureau,theChamberofMinesofSouthAfrica（COM）,andtheUniversityoftheWitwatersrand.

ThefirstversionoftheSAMRECCodewasissuedinMarch2000andadoptedbytheJSEintheirListingsRequirementslaterthatsameyear.TheCodehasbeenadoptedbytheSAIMM,theGSSA,SACNASP,ESSAandPLATO,andisbindingonmembersoftheseorganisations.ForbackgroundinformationandthehistoryofthedevelopmentoftheCodepleaserefertotheSAMRECCode,March2000.This2007editionsupersedesthefirstedition.

ConcurrentlywiththeevolutionoftheSAMRECCode,theCommitteeforMineralReservesInternationalReportingStandards（CRIRSCO）,initiallyacommitteeoftheCouncilofMiningandMetallurgicalInstitutions（CMMI）,has,since1994,beenworkingtocreateasetofstandardinternationaldefinitionsforthereportingofMineralResourcesandMineralReserves.

AsaresultoftheCRIRSCO/CMMIinitiative,considerableprogresshasbeenmadetowardswidespreadadoptionofgloballyconsistentreportingstandards.TheseareembodiedinsimilarCodes,guidelinesandstandardspublishedandadoptedbytherelevantprofessionalbodiesaroundtheworld.

ThedefinitionsinthiseditionoftheSAMRECCodeareeitheridenticalto,ornotmateriallydifferentfrom,thoseexistinginternationaldefinitions.

2.TheCodeisapplicabletothereportingofallstylesofsolidmineralisationoreconomicdeposit.

Certaincommodities,namelyCoalandDiamonds,havespecificadditionalreportingrequirementsandthesearedealtwithfromClause41onwards.TheCodedoesnotapplytoOil,GasorWater.

InthissecondeditionoftheSAMRECCode,theCodeispredominantlypresentedinnormaltypeface.Definitionsarehighlightedinboldtext,andalsoformpartoftheCode.GuidelinesareinitalicsandareplacedaftertherespectiveCodeclausestoprovideassistanceandguidancetoreaderswheninterpretingtheCode.

TheSSCrecognisesthatfurtherreviewsandrevisionsoftheCodemayberequired.Additionalinformation,rules,listsandbestpracticeguidelineswillbepublishedontheSAMRECwebsitefromtimetotime,afterdueprocesshasbeenfollowed.

SCOPE

3.TheCodesetsoutarequiredminimumstandardforthePublicReportingofExplorationResults,MineralResourcesandMineralReserves.ReferencesintheCodetoPublicReportorPublicReportingpertainstothosereportsdetailingExplorationResults,MineralResourcesandMineralReservespreparedforthepurposeofinforminginvestorsorpotentialinvestorsandtheiradvisers.

AlthoughtheCodeisarequiredminimumstandardforPublicReporting,theSSCcommitteerecommendsitsadoptionasaminimumstandardforotherreporting.

PublicReportsareallreportspreparedforthepurposeofinforminginvestorsorpotentialinvestorsandtheiradvisersandincludebutarenotlimitedto:

companyannualreports,

quarterlyreportsandotherreportsincludedinJSEcirculars,orasrequiredbytheCompaniesAct.TheCodealsoappliestothefollowingreportsiftheyhavebeenpreparedforthepurposesdescribedinClause3:

environmentalstatements;

informationmemoranda;

expertreports;

technicalpapers;

websitepostings;

andpublicpresentations.

Forcompaniesissuingannualreports,orothersummaryreports,theinclusionofallmaterialinformationrelatingtoExplorationResults,MineralResourcesandMineralReservesisrecommended.Incaseswheresummaryinformationispresenteditshouldbeclearlystatedthatitisasummary,withareferenceattachedgivingthelocationoftheCode-compliantPublicReportsorPublicReportingonwhichthesummaryisbased.Companiesandotherentitiesareencouragedtoprovideinformation,whichisascomprehensiveaspossible,intheirPublicReports.

Itisrecognisedthatcompaniesmayberequiredtoissuereportsformorethanoneregulatoryjurisdiction,withdifferingcompliancestandardsascontainedinthisCode.Itisrecommendedthatsuchreportsincludeastatementalertingthereadertothis.

ReferenceintheCodeto‘documentation’pertainstointernalcompanydocumentspreparedasabasisfor,orinsupportof,aPublicReport.

Itisrecognisedthatsituationsmayarisewheresuchsupportingdocumentation,preparedbyCompetentPersonsforinternalcompanyorsimilarnon-publicpurposes,maynotspecificallybecompliantwiththeCode.Insuchsituations,itisrecommendedthatthedocumentationincludesaprominentstatementtothiseffect.

UsersoftheCode,andthosecompilingreportswhichcomplywiththeCode,shouldbeguidedbyitsintent,whichistoprovideaminimumstandardforPublicReporting,andtoensurethatsuchreportingcontainsallrelevantinformationwhichinvestorsandtheirprofessionaladviserswouldexpecttofindinthereport,forthepurposeofmakingareasonedandbalancedjudgementregardingtheExplorationResults,MineralResourcesandMineralReservesbeingreportedon.

4.TheCodetakesintoaccountissuesofaglobalnaturewhilstaddressingcertaincircumstancesuniquetoSouthAfrica.ThefollowingprinciplesshouldbeconsideredintheapplicationoftheCode:
