1.SITELICENSESagentandCustomeragreethattheTotalProgramLicenseFeessetforthinthisOrderFormareinconsiderationforaworldwidelicensetousetheProgramssetforthinthisOrderFormbyanunlimitednumberofDesignatedSystemsandserversandanunlimitednumberofUsers.TheProgramssetforthinthisOrderFormrepresentallproductscurrentlygenerallyavailablefromSagent.UponSagent’sreleaseofadditionalproducts,SagentshallpromptlydeliversuchproductstoCustomerasUpdatesunderthisAgreementatnoadditionalcharge.
2.ELECTRONICDELIVERYOFTHEORDEREDPROGRAMSANDDOCUMENTATIONSagentshalldelivertheOrderedPrograms,Updates,andDocumentationtoCustomerelectronically.CustomeragreestosetupasecureFTPsiteortotakeotherreasonablemeasurestoassistSagentinthesecuredeliveryoftheOrderedPrograms(i.e.,establishingaFTPserver)andthepartiescollectivelydeterminethatelectronicdeliveryistechnicallyfeasiblewithinthetimeframespecifiedfordelivery.TheOrderedProgramsandtheDocumentationwillbeelectronicallytransmittedinseparatetransactions,andSagentandCustomereachwillprovidetheotherpartywithtangibleevidencethattheOrderedProgramsandDocumentationwereelectronicallytransmittedandreceived,respectively.

SAGENTMAINTENANCEOBLIGATIONS
1.DEFINITIONS.
A.MAINTENANCEshallmeanSagent’sobligationssetforthinthisAgreement.
B.MAINTENANCEANDSUPPORTPERIODshallmeanatwelve(12)-monthperiod.TheinitialMaintenanceandSupportPeriodshallbeginonthedateofCustomer’sacceptanceoftheinitialLicensedMaterials.
C.MAINTENANCEANDSUPPORTshallmeanthemaintenanceandsupportservicessetforthinthisAgreement.IfSagentincreasesitsstandardmaintenanceandsupportservicesgenerallyavailabletoitscustomersordistributors,SagentshallmakesuchincreasedmaintenanceandsupportservicesavailabletoSiebelattheratesetforthherein.
D.MAINTENANCEANDSUPPORTFEESshallmeanfeespayableinaccordancewithSection3ofthisAgreement.
E.SUPPORTshallmeantheservicessetforthinSection3ofthisAgreement.
F.SUPPORTEDPROGRAMSshallmeantheLicensedProducts.
2.MAINTENANCE.InconsiderationoftheMaintenanceFeespaidinaccordancewiththisAgreement,SagentshallprovideCustomerwithanyandallUpdatestotheSupportedPrograms,promptlyassuchUpdatesbecomeavailable.AllUpdatesshallincludeanupdatedOLE/OBinterfacethatenablestheSiebelProgramstointerfacewiththemostupdatedversionoftheLicensedMaterials.AllUpdatesshallbeprovidedfornoadditionalcharge.SagentshallprovideallUpdatesnecessitatedbyneworsuccessorreleasesofhardwareandoperatingsystemssoftware,includingbutnotlimitedtoallsubsequentversionsof
(1)theWindowsandWindowsNTclientoperatingsystems,
(2)theWindowsNT(Intel)serverplatform,(3)theOracle,Sybase,Informix,Microsoft,andIBMDB2RDBMSplatformsand(4)theMicrosoftOLEinterface.SagentshallprovidesuchUpdateswithinthirty(30)daysofthedatethatthevendorofsuchhardwareand/orsoftwaresystemsmakessuchsubsequentversionsgenerallyavailable.AnyversionsoftheLicensedMaterialsthatoperateonotheroperatingsystemsorserverplatformsshallbeconsideredUpdatesunderthisAgreement,Sagentshallmakepre-releaseversionsofUpdatesavailabletoCustomertopermitCustomertoupgradeitsinternaluselicensestothenextversion.AllUpdatesincludeupdatedDocumentation.
3.SUPPORT.
A.STANDARDSUPPORT.SagentshallprovidetoCustomertheStandardSupportservicessetforthbelow(StandardSupport)atarateof$,_________peryear.StandardSupportshallconsistofsupportservicesconsistentwiththefollowingsupportobligations:
SagentshallestablishandmaintaintheorganizationandprocessestoprovideSupportforCustomer.Supportshallincludebutnotbelimitedto(i)adiagnosisofproblemsorperformancedeficienciesofthedeliveredproductsand(ii)aresolutionofproblemsorperformancedeficienciesoftheSupportedLicensedProducts.SagentshallprovideSupportonapromptandtimelybasisviaboth
(1)toll-freephonesupport,and
(2)Internet-basedsupportpagesthataregenerallyaccessibleona7x24basis.SagentagreestoinformCustomerinwritingatleastquarterlyofallknownanomalies,includingknownbugs,thatthenexistintheLicensedProducts.Siebelmay,initsdiscretion,notifySagentofanomaliesandbugsthatitdiscoversorofwhichitbecomesaware.Sagentwilluseitsbesteffortstocure,asdescribedbelow,reportedandreproducibleerrorsintheLicensedProductssothattheLicensedProductsoperateasspecifiedintheAgreement.Customerrecognizesfourerrorlevels.
SEVERITY1-CriticalBusinessImpact.TheproductionuseoftheLicensedProductsarestoppedorsoseverelyimpactedthattheCustomercannotreasonablycontinuework.Sagentwillbeginworkontheerrorwithinonehourofnotificationandwillengagedevelopmentstaffuntilanacceptableworkaroundisachieved.
SEVERITY2-SignificantBusinessImpact.ImportantfeaturesoftheLicensedProductsareunavailablewithnoacceptableworkaround.TheimplementationofproductionuseoftheLicensedProductsiscontinuingbutnotstopped.However,thereisaseriousimpactontheCustomer’sproductivityand/orservicelevels.Sagentwillbeginworkontheerrorwithintwohoursofnotificationandwillengagedevelopmentstaffuntilanacceptableworkaroundisachieved.
SEVERITY3-SomeBusinessImpact.ImportantfeaturesoftheLicensedProductsunavailablebutaworkaroundisavailable,orlesssignificantfeaturesoftheLicensedProductsareunavailablewithnoreasonableworkaround.Customer’swork,regardlessoftheenvironmentorproductusage,hasminorlossofoperationalfunctionalityorimplementationresources.Sagentwillbeginworkontheerrorwithinadayofnotificationandwillengagedevelopmentstaff.
SEVERITY4-MinimumBusinessImpact.Siebelrequestsinformation,anenhancement,ordocumentationclarificationregardingtheLicensedProductsbutthereisnoimpactontheoperationoftheLicensedProducts.TheimplementationorproductionuseoftheLicensedProductsiscontinuingandthereisnoworkbeingimpededatthetime.SagentwillprovideaninitialresponseregardingtherequestedinformationordocumentationclarificationwithinoneweekandwillconsiderenhancementsforinclusioninasubsequentUpdate.
4.MAINTENANCEANDSUPPORTCONTINUITY.MaintenanceandSupportshallcontinueasrenewedbyCustomeratCustomer’soption.IfCustomerfailstopayanyamountduepursuanttothetermssetforthabove,andfailstocuresuchfailurewithinsixty(60)businessdaysfromreceivinganoticeofsuchfailurefromSagent,SagentshallhavetherighttoterminateMaintenanceandSupporttoCustomerwithoutanyliabilitytoSagent.
SoftwareLicenseOrderForm软件许可订购协议-
1.FRONTLINESUPPORT.Licensee,andnotAAA,willprovidefrontlinetechnicalsupporttoitsEndUsers.Suchsupportincludesbutisnotlimitedto,callreceipt,entitlementverification,callscreening,installationassistance,problemidentificationanddiagnosis,productdefectdetermination,effortstocreatearepeatabledemonstrationoftheProgramErrorand,ifapplicable,thedistributionofanydefectivemedia.LicenseeagreesthatanydocumentationdistributedbyLicenseetoitsEndUserswillclearlyandconspicuouslystatethatEndUsersshouldcallLicenseefortechnicalsupportfortheProduct.AAAwillhavenoobligationtofurnishanyassistance,informationordocumentationwithrespecttotheProduct,directlytoEndUsers.IfAAAisbeingcontactedbyasignificantnumberofEndUsers,AAAwillusereasonableeffortsto(i)verifysupporteligibilityforsuchEndUsers,and(ii)refersuchEndUserstoLicenseeforsupport.IfAAAcontinuestobecontactedbyasignificantnumberofEndUsers,then,uponAAA’srequest,LicenseeandAAAwillcooperatetominimizesuchcontact.Thereafter,ifAAAcontinuestobecontactedbyasignificantnumberofEndUsersforfrontlinesupport,thenLicenseeshallpaytoAAAAAA’sthencurrentchargesforanyEndUseridentifiedbyAAAasobtainingsuchsupport.
2.SERVICES.AAAwillprovidebackendsupporttoLicenseeforProgramErrorsnotresolvedbyLicenseepursuanttoLic
