AGREEMENT

BETWEEN:

[Legalname,formandcountryofDeveloper/Sellerentity]）havingitsregisteredofficeat[completeAddressofDeveloperentity]（"Developer”）and

[Legalname,formandcountryofutility/Buyerentity]）havingitsregisteredofficeat[completeAddressofUtilityentity]（"Utility”）.DeveloperandUtilitymaybereferredtoindividuallyasa"Party"andcollectivelyas"Parties"madethisdate,[dateofagreementexecution].

WHEREAS:

（A）DeveloperagreestocompleteconstructionandCommissioningofits[name,description,location,andcapacityorenergyoutputofproject]（"Project"）

（B）DeveloperagreestomakeavailableandtoselltheNetEnergyOutputfromProjecttoUtility;and

（C）UtilitywishestopurchasetheelectricalenergygeneratedbytheProjectpursuanttothetermsandconditionsinthisAgreement;

NOW,THEREFORE,inconsiderationofthemutualbenefitstobederived,therepresentations,warranties,conditionsandpromisescontainedinthisAgreement,andintendingtobelegallyboundbythisAgreement,thePartiesagreeasfollows.

1.INTERPRETATIONANDDEFINEDTERMS

1.1IninterpretingthisAgreement,capitalizedtermsandexpressionsshallhavethemeaningsgiventheminScheduleA（DefinedTerms）orthetextinwhichtheyappear.TermsnotdefinedinScheduleA（DefinedTerms）shallhavethemeaningsascribedtothemintheOxfordEnglishdictionaryor,fortermsofartorwherethecontextindicates,themeaningsgiventhetermsbycommonusageintheindustry.

1.2Further,ininterpretingthisAgreement:

1.2.1Exceptwhereexpresslystatedotherwise,theheadingsoftheParagraphsareprimarilyforconvenienceandintheeventofaconflictbetweenaheadingandthemorespecificprovisionofaParagraph,thelanguageoftheParagraphshallcontrolinconstruingtheprovisionsofthisAgreement;

1.2.2Thesingularincludesthepluralandviceversa;

1.2.3ReferencestoSections,Paragraphs,Schedulesandsimilardesignationsare,unlessthecontextotherwiserequires,referencestodesignationsinthisAgreement;and

1.2.4Referencestoanyagreement,enactment,ordinanceorregulationincludesanyamendmentthereoforanyreplacementinwholeorinpart.

2.SALEANDPURCHASEOFENERGY

2.1SaletoUtility.Subjectto,andinaccordancewith,thetermsofthisAgreement,theDevelopershallmakeavailableandselltoUtility,andUtilityshallpurchasefromDeveloper（ona“takeorpay”basis）,theNetEnergyOutputoftheProject,uptoamaximumof[maximumoutputcapacityorlessercontractedamount]plusorminus[varianceallowance,basedonmanufacturerspecifications]percent,beginningontheCommercialOperationsDate.

2.2AsAvailableEnergyTake.UponandaftertheCommercialOperationsDate,Utilityshallacceptenergyasavailableuptoamaximumtotalenergyequivalentof[Projectorcontractedmaximum]kWperhourplusorminusfivepercent,providedthatUtilitymayacceptenergyabovethislevelatitssolediscretion.

2.3SaletoDeveloper.Subjectto,andinaccordancewith,thetermsofthisAgreement,UtilityshallmakeavailableandselltotheDeveloper,andtheDevelopermaypurchasefromUtility,capacityandenergy,onthesamebasisasUtility'sthenprevailingtariffforelectricitysoldtoindustrialcustomers.

2.4EnergyPrice.TheamountofthepaymentsduefromUtilitytoDeveloperforNetEnergyOutputfromtheProjectshallbecalculatedinaccordancewithSchedule2（CalculationofPayments）usingtheEnergyPricedefinedinthatschedule.ThepaymentsshallbemadeatthetimesspecifiedinParagraph4.2（BillingandPayment）.

3.TERM

3.1InitialTerm.TheinitialtermofthisAgreementshallcommenceonthedateofthisAgreementandshallend[lengthofagreementterm]fromtheCommercialOperationsDate,unlessthisAgreementisterminatedearlierpursuanttotheprovisionsofthisAgreementallowingforterminationintheeventofabreachordefaultbyeitheroftheParties（"EarlyTermination"）.AnyEarlyTerminationofthisAgreementshallbewithoutprejudicetoallrightsandobligationsofthepartiesaccruedunderthisAgreementpriortosuchtermination.

3.2RenewalTerm.ThisAgreementmaybeextendedbyeitherPartyforasingleadditionalperiodof[agreedrenewalterm]years,onthetermsdefinedbythisAgreement,providedthat:

（a）ThePartyseekinganextensionhasmadeapriorwrittenrequesttoextendtheagreementtotheotherParty,suchrequesttobemadenotmorethan36monthsandnotlessthan24monthsbeforetheendoftheinitialtermofthisAgreement;

（b）ThePartyreceivingarequesttoextendtheagreementhasnotrejectedtherequestinawrittenresponsetothePartyseekinganextension,givennotmorethan3monthsfollowingreceiptoftherequestforextension;and

（c）Thereisnotaneve
