　　2.withoutwrittenapprovalofthelender,theborrowercouldnotusetheloanoutofthescopeofthepurpose.

　　article3interestrateandcalculationofinterest:

　　1.interestrate:

theborrowershallpaytheinterestsperquarter.thepaymentdateshallbe,and.ifthepaymentforthelastinstallmentisnotonthepaymentdate,theinterestsshalldeducttheinterestfromthebankaccountoftheborrower.intheeventthattheborrowerfailstopaytheinterestsontimeandthebalanceoftheaccountoftheborrowerisnotenoughforthepaymentofinterest,thelendershallhaverightstocollectapenaltybeing[***]oftheoutstandingamountperdayfortheborrowersbreachofcontract.

　　1.iftheborrowerfailstorepaytheloanandcannotreachaagreementwiththelenderregardingtheextension,thelendershallcollectanoverduepenaltyfor[***]oftheoverdueamountperday.

　　2.iftheborrowerfailstousestheloaninaccordancewiththeprovisionssetforthinthiscontract,thelendershallhaverighttochargeainterestsforthemisusingpartatarateof[***]perday.

　　theborrowershallopenreiminbibasicaccountand/orforeigncurrencyaccountatthelenderorlendersbranchfortheuseofdraw-down,repayment,paymentofinterestsandfees.

　　1.theloanunderthiscontractisrevolving,thebalanceofthiscontractshallnotmorethanthelineofcredit.

　　2.theborrowershallsendadraw-downapplicationastheformhereinattachedinthiscontract7daysbeforethedateofdraw-down.

　　3.theborrowershallnotdrawtheloanlessthan1million.

　　article7conditionsfordraw-down

　　thefollowingconditionsshallbesatisfiedinadvanceofthedraw-downdate:

　　1.theborrowerhasopenedforeignaccountandreiminbiaccountattheofficeofthelenderorthebranchofthelender;

　　2.thiscontractandtheappendiceshavebeeneffective;

　　3.theborrowerhasprovidedtherecognitionoftheinvestmentorcertificateoftheinvestmenttothelender;

　　4.theborrowerhasprovidedtheboardresolutionandpowerofattorneyregardingthisloancontract;

　　5.theborrowerhasprovidedthelistandthesignaturesampleoftheauthorizedpersonwhoempowertosignthiscontractanddocuments;

　　6.theguarantyunderthiscontracthasbeeneffective;

　　7.theborrowerhasbeensatisfiedthewarrantsunderarticle11ofthiscontract;

　　8.theotherrequirementforthedraw-downhavebeensatisfied.

　　article8repaymentplanandprepayment

　　1.theborrowershallrepaytheloaninaccordancewiththestatusofitscash.theborrowershallinformthelenderthepaymentamountanddate[***]priortomakethepayment.theborrowershallbeobligedtorepaytheprincipalandrelatedinterestsonduedatewithoutanycondition.

　　2.thepaymentmadebytheborrowerandthedeductionfromtheaccountoftheborrowershallbeusedforrepayingtheinterestatfirstandthenforrepayingtheprincipal.

　　3.intheeventtheborrowerfailstorepaytheloan,thelendershallhaverightstodeductthedebtfromthebankaccountoftheborroweratthelenderorempowerthebranchesofthelendertodeductthedebtfromthebankaccountoftheborroweratthelendersbranches;

　　4.theinstallmentofrepaymentshallnotlessthan1million.
