ThisLongTermAgreement（this“Agreement”）ismadebyandbetween**AirlinesCo,Ltd,acompanyincorporatedunderthelawsofThePeopleRepublicofChina,whoseprincipalplaceofbusinessisatShanghai,China（hereinaftercalled“BUYER”）;

and**Enterprises**.Ltd.,acompanyincorporatedunderthelawsofS,whoseprincipalplaceofbusinessisat（hereinaftercalled“SELLER”）.

WITNESSETH

WHEREAS

BUYERdesirestopurchasecertaingoodsfromSELLERandSELLERdesirestosellsuchgoodstoBUYERinconformityinallaspectswiththeprovisionsstipulatedinthisAgreement.

ThepurchaseandsupplywillbedonebymeansofPURCHASEORDERplacedbyBUYER.

ThepartiesdesiretoestablishgeneraltermsandconditionsapplicabletosuchPURCHASEORDER.

NotwithstandinganytermsandconditionscontainedinthePURCHASEORDERorelsewhere,shouldanyoftheprovisionsofsuchdocumentsconflictwiththisAGREEMENT,thenthisAGREEMENTshallprevail.

NOW,ITISHEREBYAGREEDASFOLLOWS:

1.DEFINITION

ForthepurposeofthisAGREEMENT,thefollowingwordsandexpressionsshallhavethemeaningasfollows:

（1）GOODS

ItemsidentifiedinAppendixAattachedtothisAgreementwhichformsaparthereofavailableforsalebySELLERtoBUYERunderthetermsofthisAGREEMENT.

（2）PURCHASEORDER

AwrittenorderofGOODSbeingrequiredforpurchasebyBUYERwillbeissuedbyBUYERtoSELLERfromtimetotime.ThePURCHASEORDERwillbeeitherintheformofletter,telex,facsimileorBUYER’sstandardform.

TermsandconditionsofthePURCHASEORDERshallconformtobutnotlimitedtotheprovisionsofthisAGREEMENTandPURCHASEORDERshallformasparthereof.

2.PERFORMANCE

（1）ByenteringintothisAgreement,BUYERdesirestopurchaseexclusivelyfromSELLERGOODSasspecifiedinAppendixAwithafixedcompetitivepriceandsteadysupply.

（2）SELLERshallactpromptlyonallPURCHASEORDERS,nomatterinwhatformtheymaybereceived.SELLERshallacknowledgeallPURCHASEORDERSnotinganyexceptionswithinthree（3）workingdays,orotherwisewithintheperiodrequestedbyBUYER.MinimumPURCHASEORDERvaluewillnotbeimposedbutstandardorderquantitystipulatedinAppendicesshallapplyforallorders.

（3）InthelackofaconfirmationoftheorderorifSELLERdeviatesfromthespecificationorquantityofGOODSorderedasspecifiedintheorderasacknowledgedbySELLER,BUYERisentitledtocanceltheorderwithoutanyextracharge.

（4）BUYERagreestofurnishannualusagedatatoSELLERbutassumesnoresponsibilityifthisdeviatesfromactualusage.SuchinformationissuppliedonlyasaguidetoassistSELLERininternalplanning.BUYERreservestherighttoprocuretheseitemsinlessthanthequantitiesindicatedunderthesametermsandconditionslistedherein.SELLERagreestoselltheGOODStoBUYERattheexhibitedpriceforthequantitiesderivedfromthegivendataandwillonlyreservetherighttoadjustthegivenpriceforexcessivequantities,subjecttoBUYER’sapproval.

（5）SELLERshallatalltimesendeavortomaintainareasonablelevel（25%）ofinventorytosupportBUYER’sprocurementofrelevantpartnumbersfromthisAgreement.ThefirstyearshallbebasedontheannualconsumptionfigureprovidedbyBUYERasdescribedintheAppendix“A”.Forthesecondyear,SELLERshallbaseonthepurchasequantityofthefirstyearforinventorymanagement.

（6）SELLERmaydiscontinuesupplyinganyitemduringthecontractualperiodintheeventthatthemanufacturerdiscontinuesproductionofsuchitem.SELLERcancontinuetosupplyalternativepartnumber,ifany,withtheapprovaloftheBUYER.BUYERreservestherighttodiscontinuebuyinganyspecificitemphasedoutbyBUYERduetosomereliabilitydecisionsduringthecontractualperiod.

3.LEADTIME

（1）Normalorders:

ThreeworkingdaysforAppendixitems.

（2）AOG/Criticalorders:

SELLERwillmakeeveryefforttoshipAOGmaterialwithinfour（4）hoursandcriticalpartswithintwenty-four（24）hoursduringworkingdaysandhours.Foroff-officehoursandnon-workingdays（Saturday,SundayandpublicholidaysinSingapore）,SELLERwillmakeeveryefforttoshipoutwithintwelve（12）hoursuponreceiptoforder.

4.PACKINGANDSHIPPING

（1）ExportstandardpackingcompatiblewithATA300specificationshouldbefollowedbySELLER.

（2）BUYER’spurchaseordermustbeshownonthepackageandallpaperdocuments.

（3）SELLERundertakestorouteshipmentinaccordancewithBUYER’sinstructionandnotifiesBUYERinwritingaboutthedateofshipment,theshipmentinformationanddetailssuchasAirWaybillandflightnumbers,togetherwithotherdocumentshereinaftermentionedandtofurnishallnecessarycopiesthereoftoBUYERbye-mail.

5.QUALITY

Theconditionofallgoodsontheordershallbefactorynewunlessstatedotherwiseanddeliveredwithappropriatecertificate.Itshallconformtoallspecificationcalledoutoftheitemsonorder.

6.PRICINGANDPAYMENT

（1）AllpricesintheAppendixarefirmfixedpricesforshipmentasfromexecutionofthisAgreementonthrough31Dec2017.Theunitpriceincludesnon-DGpackagingfee.

（2）Anypriceadjustmentwithintheagreementperiodhastoberequestedbyeitherpartyinwritingwithatleastsixty（60）daysnoticeandshallnotcomeintoeffectuntiltheotherpartyagrees.Seller/Buyerreservestherighttodiscontinuesupplying/buyingtheaffecteditemsintheeventanagreementcannotbereachedforthenewpricewithoutjeopardizingtheentireagreement.

（3）PricingshallbeinUSdollarsandEx-WorksSingaporeorEx-Workscountryoforigin.DirectshipmentfromcountryoforigintotheBUYERmaybeexecutedwhenitemsarerequiredcriticallyintheeventthattheSELLERhasnilorinadequatestock.

（4）Forinvoicing,originalandonecopyoftheinvoicetogetherwiththeshippingdocumenttobeforwardedforpaymentto**AirlinesCo.,Ltd.

（5）Paymenttermsshallbewithin60daysfromdateofinvoice.PaymentshallbeinU.S.DollarsviaTTtothefollowingbankaccountofSELLER.

（6）AdditionalitemsforsalecanbeaddedtothisAgreementduringthecontractualperiodifdeembeneficialtobothparties.Whenanewitemisadded,thepricewillremainfirmduringthecontractualperiod.

7.REBATE

（1）AsanincentivefortheAgreement,SELLERagreestoofferatwo

（2）percentrebateschemestoBUYERforallpurchasesplaceddirectlytoSELLERinexcessofUSDattheendoftheagreement.

（2）ThevaluetakenshallbaseoninvoicesdatedasfromexecutionofthisAgreement.

（3）Theannualvaluetakenshallbaseonlyonvalueofgoodsanddoesnotincludeotherincidentalchargeslikepackingfee,freightcharges,etc.

（4）Therebateshallbepaidupintheformofcreditwithin90daysuponcompletepaymentofthequalifyingyear.

8.INSPECTIONANDACCEPTANCE

（1）TheGOODSwillbesubjecttoaninspectionandacceptancebyBUYER.

（2）SELLERshallbeadvisedbyBUYERofallallegedunconformitytospecifications,shortages,over-shipment,damages,missingorwrongmaterialsshippedwithinthirty（30）daysafterthedateofreceipt.Sellershallresponsiblyrespondand/orresolvethesediscrepancieswithin2weeksfromdateofnotification.

（3）ForanyrejectedGOODStobereturnedtoSELLERaftermutuallyagreed,SELLERshallberesponsibleforalltransportationcostsincurredforthereturnoftherejectedGOODSandthereplacementthereof.

9.TITLE,RISKOFLOSS

Title（freeandclearofalllien）toandriskoflossofGOODSpurchasedbyBUYERshallpasstoBUYERatthetimewhentheGOODShavebeeninspectedandacce**dbyBUYER.

10.TAXES

AnyTaxes（otherthantaxesonincomeapplicabletothistransaction）,duties,fees,chargesorassessmentsofanynatureleviedbygovernmentalauthorityinSingaporeorwheretheofficeofSELLERisregistered（whetherimposedatthetimeofdeliveryorthereafter）shallbefortheSELLER’saccountandshallbepaiddirectlybySELLERtothegovernmentalauthorityconcerned.

11.EXCUSABLEDELAY

（1）IfatanytimeSELLERshallconcludethatanyoftheGOODSorderedwillbecomesubjecttoadeliverydelayduetocausebelowmentioned,SELLERshallnotifyBUYERimmediatelyoftheeventandtherevisedtargetshippingdate.Inallevents,thenotificationshallbemadetoBUYERpriortotheduedeliverydateasstatedintherelatedPURCHASEORDER.

BUYERshallconsidertheexcusabledelayraisedbySELLER.IfBUYERagreeswithSELLERdeclaringthecauseofexcusabledelay,suchdeclarationwillberegardedasan“excusabledelay”andtheperiodofshipmentshallbeextendeduntilthecauseofexcusabledelayisremovedorends.

（2）Insuchcase,SELLERshallnotbeliablefordelayordefaultindeliveryduetocausesbeyonditscontrolandnotresultingfromitsfaultornegligence.Suchcausesincludebutarenotlimitedtowar,fire,actofGod,flood,epidemic,quarantine,restriction,strike,freightembargo,unusuallysevereweatherandactorrulingoftheGovernment.

SELLERshalluseitsbestefforttoremovethecauseofsuchexcusabledelayandresumeworkassoonaspossible.

（3）IfSELLERfailstodelivertheGOODSwithintheschedulespecifiedintheorder,BUYERreservestherightstocanceltheorderwithoutanyextracharge.

12.PENALTYCLAUSE

ForfailureordefaulttoperformanyofitsobligationsunderthisAGREEMENTwhichincludesbutnotlimitedtonon-delivery,delaydelivery,deliveryofwrongconditionorspecificationorunqualifiedGOODSofwhichitscauseisnotconsideredasexcusableasperstatedinArticle11,SELLERagreestoreimbursetheBUYER
