甲方同意不直接或间接以“BBB”、“BBAB”品牌、或与其他任何非乙方的第三方单位建立契约关系来销售（出口）甲方的所有以“BBB”系列、“BBAB”系列及以后开发的新型产品系列***和其***产品到乙方

乙方承诺在上述区域内不销售非甲方生产的上述同类型产品，乙方承诺不在上述区域内代理出口非甲方生产的上述同类型产品。

如果乙方未能完成协议规定的阶段目标销量的70%，甲方有权单方面终止协议。

terminatetheAgreementunilaterally.PartyBshallbetreatedasqualifiedexclusiveagent
andexclusiveexporterifPartyBreachesthesalestargetnolessthan70%,the
agreementwillbeeffective.
（4）如果乙方完成本协议规定总量的80%，本协议到期日期自动延续到2013年12月31日
IfPartyBfulfillsthe80%ofthetotalsalestarget,theAgreementwillbeautomatically
extendedto31thDec.2013.
6、市场情况报告：
ReportsonMarketConditions:
乙方有义务每三个月就当前市场情况及消费者意见提供详细报告给甲方，一旦有特殊市场变动，乙方也应即时向甲方提供书面详情报告。
所有对该品种的产品升级改良的要求，只要经济合理，甲方应予以考虑，依据乙方要求对产品进行改进和开发。
PartyBshallhavetheobligationtoforwardonceeverythreemonthstoPartyAdetailedreportsoncurrentmarketconditionsandofconsumer’scomments,andifthereisanyspecialchangeinthemarket,PartyBshallalsoreporttimelytoPartyAitsfullparticularsinwriting.Alleconomicallyreasonablerequestsforupgradesandchangestothe
productsinthelinewillbeconsideredbyPartyAandPartyAwillmakeimprovementsaccordingtothefeedbackorrequirementsfromPartyB.

10、广告宣传和市场推广：
甲方同意乙方在市场宣传和推广中传播“BBB”和“BBAB”的品牌为*******************公司为其生产商和品牌持有人.乙方保证不在代理的目标市场对上述的商标进行注册。
根据乙方的销售活动和市场运作活动计划甲方有义务向乙方提供广告支持，包括提供样本，宣传册，电子版样本和大型的广告图画等。

技术培训和售后支持:
甲方有对乙方售后技术人员来国内进行维修技术培训的义务.如果需要
派人到目标市场进行售后服务维修工作或者建立服务站工作,甲乙双方另行协商并签订相关的协议,作为本协议的附件.

PartyAhastheObligationstotrainPartyB’safter-saletechnicalpersonnel.Ifthereisaneedtosendpeopletothetargetmarketforafter-salesmaintenanceorestablishingservicestation,PartyAandPartBwilsigntherelevantagreementsastheattachmentsoftheagreementafterfullynegotiation.
