ARTICLE1CURRENCY，AMOUNTANDTERMOFTHELOAN：

　　1.TheCurrencyunderthisloanisReiminbi.　　2.TheLineoftheloanisyuan.　　3.Theperiodofthisloanis12monthsfromthedateofeffectivenessofthiscontract.ARTICLE2THEPURPOSEOFTHELOAN：

　　1.Thepurposeofthisloanisusedforworkingcapitalturnover.　　2.WithoutwrittenapprovaloftheLender，theBorrowercouldnotusetheloanoutofthescopeofthepurpose.　　ARTICLE3INTERESTRATEANDCALCULATIONOFINTEREST：

　　1.Interestrate：

TheBorrowershallpaytheinterestsperquarter.Thepaymentdateshallbe，and.Ifthepaymentforthelastinstallmentisnotonthepaymentdate，theinterestsshalldeducttheinterestfromthebankaccountoftheBorrower.IntheeventthattheBorrowerfailstopaytheinterestsontimeandthebalanceoftheaccountoftheBorrowerisnotenoughforthepaymentofinterest，theLendershallhaverightstocollectapenaltybeing________oftheoutstandingamountperdayfortheBorrowersbreachofcontract.　　ARTICLE4OVERDUEINTERESTSANDMISUSINGINTERESTS　　1.IftheBorrowerfailstorepaytheloanandcannotreachaagreementwiththeLenderregardingtheextension，theLendershallcollectanoverduepenaltyfor_________oftheoverdueamountperday.　　2.IftheBorrowerfailstousestheloaninaccordancewiththeprovisionssetforthinthiscontract，theLendershallhaverighttochargeainterestsforthemisusingpartatarateof____________perday.　　ARTICLE5ACCOUNT　　TheBorrowershallopenReiminbibasicaccountand/orforeigncurrencyaccountattheLenderorLendersbranchfortheuseofdraw-down，repayment，paymentofinterestsandfees.　　ARTICLE6DRAW-DOWN　　1.Theloanunderthiscontractisrevolving，thebalanceofthiscontractshallnotmorethanthelineofcredit.　　2.TheBorrowershallsendadraw-downapplicationastheformhereinattachedinthiscontract7daysbeforethedateofdraw-down.　　3.TheBorrowershallnotdrawtheloanlessthan1million.　　ARTICLE7CONDITIONSFORDRAW-DOWN　　Thefollowingconditionsshallbesatisfiedinadvanceofthedraw-downdate：

　　1.TheBorrowerhasopenedforeignaccountandReiminbiaccountattheofficeoftheLenderorthebranchoftheLender；

　　2.Thiscontractandtheappendiceshavebeeneffective；

　　3.TheBorrowerhasprovidedtherecognitionoftheinvestmentorcertificateoftheinvestmenttotheLender；

　　4.TheBorrowerhasprovidedtheboardresolutionandpowerofattorneyregardingthisloancontract；

　　5.TheBorrowerhasprovidedthelistandthesignaturesampleoftheauthorizedpersonwhoempowertosignthiscontractanddocuments；

　　6.TheGuarantyunderthiscontracthasbeeneffective；

　　7.TheBorrowerhasbeensatisfiedthewarrantsunderArticle11ofthiscontract；

　　8.Theotherrequirementforthedraw-downhavebeensatisfied.　　ARTICLE8REPAYMENTPLANANDPREPAYMENT　　1.TheBorrowershallrepaytheloaninaccordancewiththestatusofitscash.TheBorrowershallinformtheLenderthepaymentamountanddate______priortomakethepayment.TheBorrowershallbeobligedtorepaytheprincipalandrelatedinterestsonduedatewithoutanycondition.　　2.ThepaymentmadebytheBorrowerandthedeductionfromtheaccountoftheBorrowershallbeusedforrepayingtheinterestatfirstandthenforrepayingtheprincipal.　　3.IntheeventtheBorrowerfailstorepaytheloan，theLendershallhaverightstodeductthedebtfromthebankaccountoftheBorrowerattheLenderorempowerthebranchesoftheLendertodeductthedebtfromthebankaccountoftheBorrowerattheLendersbranches；

　　4.Theinstallmentofrepaymentshallnotlessthan1million.　　ARTICLE9DEBTCERTIFICATE　　TheLendershallkeeprecordintheLendersaccountfortheprincipal，interestsandfeesandotherfeesoftheBorrowerunderthiscontract；

）shallbetheguarantorfortheloanunderthiscontractandtakejointlyliabilities.　　2.Duringthetermofthiscontract，iftheguarantorsfinancialstatusbecomedeterioratedortheliabilitiesforrepaymentofdebtsbecomeweak，theLendershallhaverighttorequesttheBorrowerchangesguarantororprovidemortgageandpawnsecuredforthisloanunderthiscontract.　　ARTICLE11REPRESENTATIONSANDWARRANTIES　　I.TheBorrowersrepresentsandwarrantsasfollows：

　　1.TheBorrowerisacompanydulyorganizedandvalidlyexistingunderthelawofthePeoplesRepublicofChinaandhasthepowerandauthoritytoownitspropertytoconsummatethetransactionscontemplatedinthiscontractandjointhelitigation.TheBorrowerhasthepowertohandleitassetsusedinoperation.　　2.TheBorrowerisatitsoptiontosignandperformthiscontract.ItistheBorrowerstruemeaningandhasthepowertosignthiscontractanditisnotbreachitarticleofassociationorregulationsorcontracts.Theprocedureforsignatureandperformanceofthiscontracthasbeengonethroughandfullyeffectiveness.　　3.Thealldocuments，materials，reportsandcertificatesprovidedtotheLenderbytheborrowerforconsummationofthiscontractistrue，real，competeandeffective　　4.TheBorrowershallnotconcealthefollowingeventswhichisbeinghappenedorhavebeenhappenedwhichwillcausetheLenderrefusetoextendtheloan：

（1）TheBorrowerortheprincipalexecutivesoftheBorrowerinvolveinmaterialeventswhichbreachregulations，lawsorcompensationtoothers；

（2）Pendingactionsandarbitration；

　　（3）TheBorrowersdebtsorproposeddebtsorliensandotherencumbrances；

　　（4）Theothermatterswillimpactthefinancialstatusorabilitiesofrepaymentforthedebts；

　　（5）TheBorrowerbreachedcontractwhichisbetweentheBorrowerandothercreditors.　　II.TheBorrowerherebywarrantsasfollows：

　　1.Usingthecapitaloftheloanasusagesetforthinthiscontract，theBorrowerwillnotusetheloanasEquityinvestment；

TheBorrowerwillnotusethecapitaloftheloaninvestinsecurity，future，realestateetc.TheBorrowerwillnotlendtotheothersprivatelyorinvolvingothermaterswhichisprohibitedbythecountry.TheBorrowerwillnotmisusingorappropriationoftheloan.　　2.Makingpaymentandrelatedexpensesinaccordancewiththeprovisionssetforthinthiscontract；

　　3.Providingupdatedfinancialstatementorfinancialbulletineveryquarter；

Providingtheauditedfinancialreportatthefirstquartofeachyear；

Providingoperationreport，financialreportorotherfilesandmaterialsandshallwarrantthereality，correctandeffectivenessforthefilesandmaterials；

　　4.Anyanti-guarantyorothersimilardocumentswillnotmakeanyimpactontherightsandbenefitsoftheLenders；

　　5.AcceptingthesupervisionoftheLender，providesassistanceandcooperationfortheLenderssupervisions；

　　6.Willnotreducetheregistrationcapital；

PriorapprovalfromthelendershallberequiredwhentheBorrowerchangesofshareholdersandoperationmanner（includingbutnotlimitedtojointventure，cooperation，jointlycooperation；

dissolution，closedown，liquidation，transformation；

merger；

changetosharecompany，usethehousing，machineryorotherrealassetsortrademark，intellectualproperty，Knowhow，landingusingrightsorotherintangibleassetstoinvestinsharecompanyorinvestmentcompany，tradingofoperationrightorownrightbycontracting，jointoperation，trusteeship）　　7.TheBorrowershallinformtheLenderandwarrantstheliabilityunderitssecuritywillnotmorethannetassetsoftheBorrowerwhentheBorrowerguaranteeforotherpartyormortgageitsassets.TheBorrowerwarrantsthatwillnotdisposetheassetswhichwillmakeadverseimpactonitsabilityofpayingdebts.　　8.TheBorrowerwillnotpaytheothersimilarloanspriortotheLender；

　　9.TheBorrowerwarrantstoinformtheLenderimmediatelywhenthefollowingeventsoccurred：

（1）TheeventofbreachofcontractunderthiscontractorotherloanorguarantycontractsbetweentheBorrowerandanybranchesofBankofChinaorotherbanks，non-bankfinancialorganization；

（2）TheBorrowerchangesshareholdersorrevisethearticleofassociation；

　　（3）TheBorrowersufferdifficultiesandbadresultinfinancialandoperation；

　　（4）TheBorrowerinvolvesinmaterialactionsorarbitration；

　　10.TheBorrowershallkeepsufficientbalanceforrepaymentprior________totheduedate.　　11.TheBorrowershallkeepitsbanktransactionsregardingincomecollecti
