Agreementwithregardtodiscussingco-operationpossibilityregardingmobile

gamedevelopment/publishinginthePeople'

RepublicofChinaandintheSoutheastAsianterritories.

and

WHEREAS,eachPartyagreestokeeptheotherParty'

Confidential

Informationinconfideneeinaccordaneewiththetermsandconditionssetforth

inthisAgreement;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thePartiesagreeasfollows:

1.DEFINITION

1.1ForthepurposeofthisAgreement,thefollowingcapitalizedwordsshall

bedefinedasfollows:

（1）Affiliates”meansanycorporationorotherlegalentityinwhicheither

Partyheretohaveaninterestwhichsecure50%ormoreoftheowner'

saccumulatedvotingpower.ItshallalsomeananycorporationorlegalentityinwhichtheparentofeitherPartyheretoeithersolelyorjointlywithoneormoreaffiliatedcompaniescontrol50%ormoreoftheowner'

saccumulatedvotingpowerandinthecaseofaparty;

（2）“ConfidentialInformation”meansanyandallinformation（whether

technicalorbusinessorotherwise）concerning,ownedorcontrolledbyaPartyand/oritsAffiliates,oralortangible,embodiedorfixedonanymedium,whichmediumincludesbutisnotlimitedto,writing,facsimile,email,photograph,videotape,equipment,sample,CD-ROM,andwhichis:

（a）marked“CONFIDENTIAL”,“PROPRIETARY”orwithasimilarlegend;

or

（b）ifdisclosedorallyorinotherintangibleform,designatedasconfidentialatthetimeofdisclosure,and/oradocumentdescribingthecontentsandthedateofdisclosurethereofaresenttoRecipient（asdefinedhereinbelow）withinten（10）daysaftersuchdisclosure.

（3）“Discloser”meansthePartythatdisclosesConfidentialInformationto

theotherParty.

（4）“Recipient”meansthePartythatreceivesConfidentialInformation

fromtheotherParty.

1.2Notwithstandingparagraph

（1）ofSection1.1hereinabove,Confidential

InformationshallnotincludeanyinformationwhichRecipientcanprove:

（1）waspubliclyknownwhenRecipientreceivedit;

（2）becomespubliclyknownthroughnofaultofRecipient;

（3）wasalreadyknowntoRecipient（asproperlyevidenced）whenRecipientreceiveditwithoutadutyofconfidentiality;

（4）isindependentlydevelopedbyRecipientwithoutuseofConfidentialInformation;

or

（5）isrightfullyobtainedbyRecipientfromathirdpartywithoutadutyof

confidentiality.

2.CONFIDENTIALITY

2.1RecipientshallmaintainDiscloser'

sConfidentialInformationinconfidenceandshallnotdiscloseordisseminateittoathirdparty.RecipientmaydiscloseDiscloser'

sConfidentialInformationonlytoitsdirectorsandemployeeswhoneedtoknowittocarryouttheEvaluation.RecipientshalltreatDiscloser'

sConfidentialInformationwiththesamedegreeofcarewithwhichittreatsitsownconfidentialinformationoflikeimportance,butnolessthanreasonablecare,andshalltakereasonableprecautionsforitssafecustody.

2.2NotwithstandingSection2.1above,intheeventRecipienthasobtained

priorwrittenapprovalofDiscloser,RecipientmaydiscloseDiscloser'

sConfidentialInformationtoathirdparty.Insuchevent,RecipientshallimposethesameobligationsasthoseimposedonithereundertosuchthirdpartyandshallberesponsibletoDiscloserfortheobservanceofsuchobligationsbysuchthirdparty.

3.NOUSEFOROTHERPURPOSES

RecipientshallnotuseDiscloser'

sConfidentialInformationforanypurposeotherthanthepurposeofEvaluation,nordisassemble,decompile,reverseengineer,ortakeanyotherstepstoderiveasourcecodefromDiscloser'

sConfidentialInformationwithoutthepriorwrittenapprovalofDiscloser.

4.RESTRICTIONONREPRODUCTION

RecipientshallnotmakecopiesofDiscloser'

sConfidentialInformation,providedhoweverthat,withthepriorwrittenapprovalofDiscloser,RecipientmaymakecopiesthereofinthelimitedquantityapprovedbyDiscloser.RecipientshalltreatsuchcopiesinthesamemannerthatRecipienttreatsDiscloser'

sConfidentialInformation.

5.DISCLOSUREUNDEROPERATIONOFLAW

NotwithstandinganythingtothecontrarycontainedinthisAgreement,RecipientispermittedtodiscloseDiscloser'

sConfidentialInformationthatarerequiredtobedisclosedbylaw,rule（includingbutnotlimitedtotheRulesGoverningtheListingofSecuritiesonTheStockExchangeofHongKongLimited）,regulation,regulatoryauthority,anystockexchangeorotherapplicableadministrative,governmentalorjudicialorderprovidedthatintheeventRecipientisrequiredtodisclosesuchDiscloser'

sConfidentialInformation,Recipientshalltotheextentpermittedbylaw,rule（includingbutnotlimitedtotheRulesGoverningtheListingofSecuritiesonTheStockExchangeofHongKongLimited）andregulationprovideDiscloserwithpromptpriorwrittennoticeofsuchrequirementsothatDisclosermayseekaprotectiveorderorotherappropriateremedy.Ifsuchprotectiveorderorotherremedyisnotobtained,orifDiscloserwaivesinwritingcompliancewiththetermshereof,RecipientagreestofurnishonlythatportionoftheinformationwhichRecipientisadvisedbywrittenopinionofcounselthatislegallyrequiredandtoexercisereasonableeffortstoobtainconfidentialtreatmentofsuchinformation.

6.NOLICENSE

NothinginthisAgreementisintendedtoassignorlicensetoRecipientanypatents,utilitymodels,trademarks,designs,copyrightsandanyotherintellectualpropertyrightspertainingtoDiscloser'

sConfidentialInformationownedorcontrolledbyDiscloser.

7.RETURNORDESTRUCTION

AllDiscloser'

sConfidentialInformationshallbeandshallremainthepropertyoftheDiscloser.IntheeventtheEvaluationorthisAgreementisterminated,oruponDiscloser'

srequest,RecipientshallassoonaspossiblereturnDiscloser'

ConfidentialInformationtoDiscloserordestroyitinaccordancewithDiscloser'

directions.

8.REMEDY

IntheeventRecipientbreachedthisAgreement,Disclosermayclaimagainst

RecipientfordamagesincurredbyDiscloserarisingfromsuchbreach.Further,Recipientagreesandacknowledgesthatthereleaseand/ordisseminationofDiscloser'

sConfidentialInformationinviolationofthisAgreementwillcauseirreparableharmforwhichDisclosermaynotbefullyoradequatelycompensatedbyrecoveryofmonetarydamagesalone.Accordingly,inadditiontoanyotherremedyavailableatlaw,DisclosershallbeentitledtoinjunctivereliefagainstthethreatenedbreachofthisAgreementorthecontinuationofanysuchbreachbyRecipientwithoutthenecessityofprovingactualdamages.

9.TERM

9.1ThetermofthisAgreementshallcommenceontheEffectiveDateand

continueforaperiodoftwo

（2）yearstartingfromtheEffectiveDate,oruntiltheEvaluationisterminated,whicheverisearlier.

9.2TheobligationsimposedonRecipienthereundershallsurvivetheterminationofthisAgreement.

10.GOVERNINGLAWANDDISPUTERESOLUTION

ThisAgreementshallbegovernedastoallmatters,includingvalidity,constructionandperformance,byandunderthelawsofHongKong,andalldisputes,controversies,ordifferencesthatmayarisebetweenthePartieshereto,inrelationtoorinconnectionwiththisAgreementshallbesettledandresolvedexclusivelybybindingarbitrationtotheHongKongInternationalArbitrationCenter（“HKIAC”）inaccordancewiththeRulesofHKIACforthetimebeinginforce.TheArbitrationproceedingsshallbeconductedinHongKong.ThelanguagetobeusedinthearbitrationprocedureshallbeinEnglish.Thearbitralawardshallbesubstantiatedinwritingandbefinalasbindingtheparties.

11.NOWARRANTYANDLIABILITY

DiscloserdoesnotwarranttheaccuracyandcorrectnessofitsConfidentialInformation.INNOEVENTSHALLDISCLOSERBEHELDLIABLEFORANY

CONSEQUENTIAL,INCIDENTAL,DIRECT,INDIRECT,SPECIAL,PUNITIVEOROTHERDAMAGESWHATSOEVERWHICHMAYBEINCURREDBYRECIPIENTASARESULTOFITSUSEOFDISCLOSER'

CONFIDENTIALINFORMATION（INCLUDINGBUTNOTLIMITEDTODAMAGESFORLOSSOFPROFITS,LOSSCAUSEDBYBUSINESSINTERRUPTIONOROTHERMONETARYLOSS）.NoneoftheConfidentialInformationdisclosedhereundershallconstituteanyrepresentationorwarrantybyeitherPartytotheotherofanykind,and,inparticular,withrespecttothenon-infringementoftrademarks,patents,copyrightsoranyotherintellectualpropertyrights,orotherrightsofthirdparties.

12.NOASSIGNMENT

ThisAgreementshallnotbeassignednortransferred,whetherinwholeorinpart,byeitherPartywithoutthepriorwrittenapprovaloftheother.AnyassignmentortransferofthisAgreementbyeitherParty,withoutthepriorwrittenapprovaloftheother,shallbenullandvoid.

13.NOTICE

AllnoticesrequiredhereundershallbeinwritingandgiventotheotherPartybypersonaldelivery,certifiedpost,specialdelivery（courier）,orfacsimiletransmission,ore-mailaddressedattheaddressessetforthbelow,ortosuchotheraddressesaseitherPartymayhereafterfromtimetotimedesignateinwriting.Allsuchnoticesshallbeeffectiveuponreceipt.
