所有与本工程项目有关的针对承包商的或业主要求承包商缴纳的税金、保险费，以及政府和非政府部门征收的各种费用。

除另有说明外，所填写的单价将被认为已包含一切执行及完成该项目所须的费用，包括材料、人工、搬运、储存、裁切、耗损、吊运、定位、安装、包装、工具、器械、折旧，辅助人工和材料以及辅助措施，营业费、税务、开办费、行政支援、利润、分段执行、检验检测、验收、返工、加班、恶劣气候条件的防护保证措施、清洁清理、成品保护、保险、政府部门应收费用等等所有相关的费用。

Theunitpriceofallthetaxes,insurance,andexpensesleviedbythegovernmentandnon-governmentsector,whichareconsistentwithContractor’sobligationrelevanttotheworksorrequiredbytheemployer,shallbedeemedtocoveralltheexpensesneededintheexecutionandcompletionofworks,unlessotherwisestated,includingmaterials,manualwork,transport,storage,cropping,wastage,swing,location,erection,tools,instruments,depreciation,auxiliarymanpowerandmaterials,supportmeasures,operatingexpenses,taxes,organizationcots,administrativesupport,profits,split-phaseoperations,inspectionanddetection,acceptance,reworking,extrawork,safeguardmeasuresadoptedinatrociousweather,cleanness,finishedproductsprotection,insurance,expensesreceivablebythegovernmentandotherexpensesrelated.

8.3Programme

TheContractorshallsubmitadetailedtimeprogrammetotheEngineerwithin28daysafterreceivingthenoticeunderSub-Clause8.1[CommencementofWorks].TheContractorshallalsosubmitarevisedprogrammewheneverthepreviousprogrammeisinconsistentwithactualprogressorwiththeContractor’sobligations.Eachprogrammeshallinclude:

（a）theorderinwhichtheContractorintendstocarryouttheWorks,includingtheanticipatedtimingofeachstageofdesign,Contractor’sDocuments,procurement,manufacture,inspection,deliverytoSite,construction,erection,testing,commissioningandtrialoperation,

根据第8.1款【工程开工】的规定，承包商在接到通知后的28天内应向监理提供详细的进度计划。

当原计划与实际进度或承包商的责任不符时，承包商也应提交修改的进度计划。

每份计划应包括：

（a）承包商计划实施工程的秩序，包括设计，承包商文件，采购，制造，检查，运达现场，施工，安装，测验，调试，以及试运行每一阶段的预期时间。

（b）theperiodsforreviewsunderSub-Clause5.2[Contractor’sDocuments],

andforanyothersubmissions,approvalsandconsentsspecifiedintheEmployer’sRequirements,

（b）第5.2条【承包商的文件】规定的审核期限，以及业主要求的其他意见书，批准和同意的期限。

（c）thesequenceandtimingofinspectionsandtestsspecifiedintheContract,and

（c）合同中规定的各项检查和测验的顺序和时间安排

（d）asupportingreportwhichincludes:

（i）ageneraldescriptionofthemethodswhichtheContractorintendstoadopt,andofthemajorstages,intheexecutionoftheWorks,and

（ii）detailsshowingtheContractor’sreasonableestimateofthenumberofeachclassofContractor’sPersonnelandofeachtypeofContractor’sEquipment,requiredontheSiteforeachmajorstage.

（i）工程实施过程中承包商计划实行的方法和主要阶段的一般描述，

（ii）以及承包商对工程各主要阶段的各级承包商人员和各类承包商设备的预估详情。

UnlesstheEmployer,within21daysreceivingaprogramme,givesnoticetotheContractorstatingtheextenttowhichitdoesnotcomplywiththeContract,theContractorshallproceedinaccordancewiththeprogramme,subjecttohisotherobligationsundertheContract.TheEmployer’sPersonnelshallbeentitledtorelyupontheprogrammewhenplanningtheiractivities.

除非工程师在收到进度计划的21天内向承包商发出通知，指出其中与合同不一致的部分，承包商应按照此进度计划，遵守合同规定的其他义务。

雇主人员有权依照该进度计划来安排活动。

TheContractorshallpromptlygivenoticetotheEmployerofspecificprobablefutureeventsorcircumstanceswhichmayadverselyaffectordelaytheexecutionoftheWorks.Inthisevent,oriftheEmployergivesnoticetotheContractorthataprogrammefails（totheextentstated）tocomplywiththeContractortobeconsistentwithactualprogressandtheContractor’sstatedintentions,theContractorshallsubmitarevisedprogrammetotheEmployerinaccordancewiththisSub-Clause.

承包商应及时将未来可能发生的对工程实施不利或导致工程延期的事件或情况告知业主。

如果业主通知承包商，进度计划与合同不符，或与实际进展和承包商所述意图不一致，承包商应根据此条款向业主提交修改的进度计划。

TheContractorshallpromptlygivenoticetotheEngineerofspecificprobablefutureeventsorcircumstanceswhichmayadverselyaffectthework,increasetheContractPriceordelaytheexecutionoftheWorks.TheEngineermayrequiretheContractortosubmitanestimateoftheanticipatedeffectofthefutureeventorcircumstances,and/oraproposalunderSub-Clause13.3[VariationProcedure].

承包商应及时将未来可能发生的对工程不利，增加合同价格，或延长施工期限的事件或情况告知工程师。

工程师可要求承包商提交对此类未来事件或情况的预期影响的估计，和（或）根据13.3条【变更程序】提交建议书。

If,atanytime,theEngineergivesnoticetotheContractorthataprogrammefails（totheextentstated）tocomplywiththeContractortobeconsistentwithactualprogressandtheContractor’sstatedintentions,theContractorshallsubmitarevisedprogrammetotheEngineerinaccordancewiththisSub-Clause.

如果任何时候工程师通知承包商进度计划与合同不符，或与实际进展和承包商所述意图不一致，承包商应根据此条款向工程师提交修改的进度计划。

4TheContractor

承包商

TheContractorshalldesign（totheextentspecifiedintheContract）,executeandcompletetheWorksinaccordancewiththeContractandwiththeEngineer’sinstructions,andshallremedyanydefectsintheWorks.

承包商应按照合同设计（在合同规定的范围内）、实施和完成工程，并修补工程中的任何缺陷。

完成后，工程应能满足合同规定的工程预期目的。

TheContractorshallprovidethePlantandContractor’sDocumentsspecifiedintheContract,andallcontractor’sPersonnel,Goods,consumablesandotherthingsandservices,whetherofatemporaryorpermanentnature,requiredinandforthisdesign,execution,completionandremedyingofdefects.

承包商应提供合同规定的生产设备和承包商文件，以及设计、施工、竣工和修补缺陷所需的所有临时性或永久性的承包商人员、货物、消耗品及其他物品和服务。

Allequipment,material,andservicestobeincorporatedinorrequiredfortheWorksshallhavetheirorigininanyeligiblesourcecountryasdefinedbytheBank.

工程所需或涵盖的所有的设备、材料、服务必须来自于银行所确定的合格的国家。

TheContractorshallberesponsiblefortheadequacy,stabilityandsafetyofallSiteoperationsandofallmethodsofconstruction,andofmaintenanceofallexistingroadsandappurtenantstructureswithintheSite.ExcepttotheextentspecifiedintheContract,theContractor（i）shallberesponsibleforallContractor’sDocuments,TemporaryWorks,andsuchdesignofeachitemofPlantandMaterialsasisrequiredfortheitemtobeinaccordancewiththeContract,and（ii）shallnototherwiseberesponsibleforthedesignorspecificationofthePermanentWorks.承包商应对所有现场作业和施工方法的完备性、稳定性和安全性负责，并维护现场范围所有既有道路和附属构筑物。

除合同中规定的范围，承包商（i）应对所有承包商文件、临时工程和按照合同规定对每项生产设备和材料的所做的设计负责；

以及（ii）但对永久工程的设计或规范不负责任。

（a）theContractorshallsubmittotheEngineertheContractor’sDocumentsforthispartinaccordancewiththeproceduresspecifiedintheContract;

承包商应按照合同中说明的程序向工程师提交该部分工程的承包商文件；

（b）theseContractor’sDocumentsshallbeinaccordancewiththeSpecificationandDrawings,shallbewritteninthelanguageforcommunicationsdefinedinSub-Clause1.4[LawandLanguage],andshallincludeadditionalinformationrequiredbytheEngineertoaddtotheDrawingsforco-ordinationofeachParty’sdesigns;

承包商文件必须符合规范和图纸，并使用第1.4款【法律和语言】规定的交流语言，还应包括工程师要求的为统一各方设计而应加入图纸中的附加信息；

（c）theContractorshallberesponsibleforthispartanditshall,whentheWorksarecompleted,befitforsuchpurposesforwhichthepartisintendedasarespecifiedintheContract;

and

承包商应对该部分工程负责，并且该部分工程完工后应适合于合同中规定的工程的预期目的；

以及

（d）priortothecommencementoftheTestsonCompletion,theContractorshallsubmittotheEngineerthe“as-built”documentsandoperationandmaintenancemanualsinaccordancewiththeSpecificationandinsufficientdetailfortheEmployertooperate,maintain,dismantle,reassemble,adjustandrepairthispartoftheWorks.Suchpartshallnotbeconsideredtobecompletedforthepurposesoftaking-overunderSub-Clause10.1[TakingOveroftheWorksandSections]untilthesedocumentsandmanualshavebeensubmittedtotheEngineer.在开始竣工试验之前，承包商应按照规范规定向工程师提交竣工文件以及操作和维修手册，且应足够详细，以使雇主能够操作、维修、拆卸、重新安装、调整和修理该部分工程。

在将此类文件和手册提交工程师之前，依据第10.1款【工程和分项工程的接收】的规定，不得认为为接收之目的该部分工程业已完成。

4.2　Performancesecurity

履约担保

TheContractorshallensurethatthePerformanceSecurityisvalidandenforceableuntiltheContractorhasexecutedandcompletedtheWorksandremediedanydefects.IfthetermsofthePerformanceSecurityspecifyitsexpirydate,andtheContractorhasnotbecomeentitledtoreceivethePerformanceCertificatebythedate28dayspriortotheexpirydate,theContractorshallextendthevalidityofthePerformanceSecurityuntiltheWorkshavebeencompletedandanydefectshavebeenremedied.承包商应确保履约担保直到其完成工程的施工、竣工和修补完任何缺陷前持续有效和可执行。

如果在履约担保的条款中规定了其期满日期，而承包商在该期满日期28天前尚无权拿到履约证书，承包商应将履约担保的有效期延至工程竣工和修补完任何缺陷时为止。

TheEmployershallnotmakeaclaimunderthePerformanceSecurity,exceptforamountstowhichtheEmployerisentitledundertheContractintheeventof:

除出现以下情况雇主根据合同有权获得的金额外，雇主不应根据履约担保提出索赔：

（a）failurebytheContractortoextendthevalidityofthePerformanceSecurityasdescribedintheprecedingparagraph,inwhicheventtheEmployermayclaimthefullamountofthePerformanceSecurity,

承包商未能按前一段所述延长履约担保的有效期，这时雇主可以索赔履约担保的全部金额；

（b）failurebytheContractortopaytheEmployeranamountdue,aseitheragreedbytheContractorordeterminedunderSub-clause2.5[Employer’sClaims]orClause20[Claims,DisputesandArbitration],within42daysafterthisagreementordetermination,

承包商未能在商定或确定后42天内，将承包商同意的，或根据第2.5款［雇主的索赔］或第20条［索赔、争端和仲裁］的规定确定的承包商应付金额付给雇主；

（c）failurebytheContractortoremedyadefaultwithin42daysafterreceivingtheEmployer’snoticerequiringthedefaulttoberemedied,or

承包商未能在收到雇主要求纠正违约的通知后42天内进行纠正；

或

（d）circumstanceswhichentitletheEmployertoterminationunderSub-Clause15.2[TerminationbyEmployer],irrespectiveofwhethernoticeofterminationhasbeengiven.
