自设备安装验收合格，用户签署验收报告之日起，设备保修期为12个月。

在保修期间如设备因自身制造的原因造成损坏，卖方应免费维修及更换。

设备发生故障后，用户应以传真或书面形式通知卖方，卖方在_____________个工作日内需做出反应。

1.7操作培训OperatingTraining：

在设备安装验收过程中，卖方在现场向用户提供对操作人员的基本培训，培训内容包括设备结构介绍，操作软件使用，设备操作使用，日常保养及维护等。

Duringtheequipmentinstallationandacceptancetest-run,theengineerfromtheSellershalltraintheoperatorsattheuser’ssites.Thistrainingincludesintroductionofequipmentstructure,softwareoperation,equipmentoperation,routinemaintenanceetc.

2.装运期限TIMEOFSHIPMENT

2.1装运Shipment:

收到预付款后_____________天内,但卖方发货须以收到买方全款为前提。

5.包装PACKING

用木箱包装，根据货物不同的形状和特殊的品质，保证货物防湿，防潮，防震，防锈并经得起多次的搬运，装货和卸货以及长途海、陆运输。

卖方应对由于包装不良和采用不充分或不妥善的防护措施而造成的任何破损承担责任并负担由此而产生的一切费用。

卖方应向买方提交非木质包装证明或木质包装热处理证明。

证明原件应与货物一同提交。

Tobepackedinwoodencasesandwellprotectedagainstdampness,moisture,shock,rustandwithstandnumeroushandling,loadingandunloadingaswellaslongdistanceseaandinlandtransportationaccordingtothegoodsdifferentshapesandspecialfeature,TheSellersshallbeliableforanydamagetothegoodsonaccountofimproperpackingandforanydamageattributabletoinadequateorimproperprotectivemeasurestakenbytheSellers,andinsuchcasesanyandallexpensesincurredinconsequencethereofshallbebornebytheSellers.TheSellershallsubmittotheBuyerCertificateofnon-woodpackingorheattreatCertificateofwoodenpacking.TheoriginalcertificateshallbesubmittedtogetherwiththeGoodsdelivered.

卖方应在每件包装上，用不褪色油墨清楚地标刷件号、尺码、毛重、净重、”此端向上”

“小心轻放”“切勿受潮”等字样，并刷有下列唛头：

7.保险INSURANCE

由卖方按合同金额110％投保一切险和战争险至呼和浩特机场。

8.付款条件TERMSOFPAYMENT

11.技术资料TECHNICALDATA

12.装运通知SHIPPINGADVICE

货物全部装运后，卖方须于_____________个工作日内将第9条款所列的全套装运单据传真至买方,并告知装运工具号码及启程时间。

如货系危险品，卖方应将其性质及处理办法传真给买方。

13.质量保证GUARANTEEOFQUALITY

卖方保证定货系用最上等的材料和头等工艺制成的全新产品，并完全符合合同规定的质量、规格和性能。

TheSellershallguaranteethegoodsaremadeofbestmaterials,withfirstclassworkmanship,brandnew,unusedandcorrespondinallrespectswiththequality,specificationandperformanceasstipulatedincontract.

14.检验索赔INSPECTIONANDCLAIMS

14.1检验Inspection：

按卖方和用户在双方签订的技术协议里的规定办理。

14.2索赔CLAIMS：

在本合同第1.5条规定的保证期限内，如发现货物的质量及/或规格与本合同规定不符或发现货物无论任何原因引起的缺陷包括内在缺陷或使用不良的原料，买方应申请商检局检验，并有权根据商检证向卖方索赔。

WithintheguaranteeperiodstipulatedinClause1.5hereofshouldthequalityand/orspecificationsofthegoodsbefoundnotinconformitywiththecontractedstipulations,orshouldthegoodsprovedefectiveforanyreason,includinglatentdefectortheuseofunsuitablematerials,theBuyersshallarrangeforaninspectiontobecarriedoutbytheChinaCommodityInspectionBureau,andhavetherighttoclaimagainstthesellersonthestrengthoftheinspectioncertificateissuedbythesameBureau.

14.3卖方收到买方索赔通知后,如果在三十天内未答复,应视为卖方同意买方提出的一切索赔。

AnyandallclaimsshallberegardasacceptediftheSellersfailtoreplywithin30daysreceiptoftheBuyers’claim.

15.索赔解决办法CLAIMS

如货物不符合本合同规定应由卖方负责，同时买方按照本合同的规定在索赔期限或质量保证期内提出索赔，卖方在取得买方同意后，应按下列方式理赔。

Incasethatthesellersareliableforthediscrepanciesoftheabovementionedequipmentandaclaimislodgedbythebuyerswithinthetime-limitofinspectionorqualityguaranteeperiodasstipulatedinthiscontract,thesellersshallsettletheclaimuponagreementofthebuyersinoneorcombinationofthefollowingways.

15.1设备经卖方安装、调试后不能正常运转或达不到技术协议规定的技术要求，卖方同意买方退货，并将退货金额以成交原币偿还买方，并负担因退货而发生的一切费用，包括运费，保险费，商检费，仓租，码头装卸费等其它必要费用。

15.2按照货物的疵劣程度，损坏的范围将货物贬值。

15.3用符合本合同规定的规格，质量和性能的全新零件调换有缺陷的零件，卖方应承担一切费用和风险并负担买方承受的全部直接费用。

同时，卖方应按合同规定，相应延长所更换货物的质量保证期。

15.4如果卖方在接到买方索赔_____________天内未予答复则表明卖方已经接受索赔，卖方需在接受索赔_____________日内完成赔偿。

16.不可抗拒FORCEMAJEURE

由于人力不可抗拒的事故，导致卖方交货迟延或不能交货时，责任不在卖方，但卖方应立即将事故通知买方，并于事故发生后十四天内将事故发生地政府主管机关出具的事故证明书用空邮寄交买方为证，并取得买方认可，在上述情况下，卖方仍负有采取一切必要措施从速交货的责任。
