TheHongKongSocietyfortheProtectionofChildrenshallbeabodycorporateandinthatnameshallhaveperpetualsuccessionandmaysueandbesuedinallcourtsinHongKongandshallhave,andmayuse,acommonseal,andmayfromtimetotimebreak,change,alterandmakeanewthesaidsealastheSocietymaydeemfit.

Cap1058s4PowersoftheSociety

TheSocietyshallhavepower-

（a）toacquire,acceptleasesof,purchase,take,holdandenjoyanylands,buildings,messuagesortenementsofwhatnatureorkindsoeverandwheresoeversituateinHongKongandalsotoinvestmoneysondepositinanybanksoruponmortgageofanylands,buildings,messuagesortenementsinHongKongorupondebentures,stock,funds,sharesorsecuritiesofanycorporationorcompanycarryingonbusinessorhavinganofficeinHongKongandalsotopurchaseandacquiregoodsandchattelsofwhatnatureorkindsoever;

（b）tobuild,rebuild,demolish,alter,vary,renew,maintainandrepairanybuildings,messuagesortenementsacquiredbytheSocietyorinwhichitisinterestedandtoeffectanyimprovementsthereto;

（c）togrant,sell,convey,assign,surrender,exchange,partition,yieldup,mortgage,pledge,demise,let,reassign,transferorotherwisedisposeofanylands,buildings,messuages,tenements,mortgages,debentures,debenturestocks,stocks,funds,shares,securities,vessels,goods,chattels,propertyandassetsforthetimebeingvestedinorbelongingtotheSocietyuponsuchtermsastheSocietymaythinkfit;

（d）toborrowmoneyuponsuchtermsastheSocietymaythinkfit,andsubjecttosection4（17）oftheSummaryOffencesOrdinance（Cap228）,toraisemoneybyprivateorpublicsubscription;

（e）toacceptdonations,grantsorsubsidiesfromanypersonorGovernmentAuthorityorotherbodyororganization;

（f）toestablish,supportandsubscribetoprovidentfunds,pensionandretirementandsimilarschemesforthebenefitofemployeesoftheSocietyandtheirdependantsandtograntandpaypensionsorgratuitiestoandotherwiseaid,supportorassistanysuchpersons;

（g）generallytodosuchotheractsandthingsasareincidentalorconducivetotheaimsandobjectsoftheSociety.

Cap1058s5Vestingofproperty,etc.intheSociety

（1）OnthecommencementofthisOrdinanceallthosepiecesorparcelsofgroundspecifiedinthesecondcolumnoftheSchedule,togetherwithallrights,easementsandappurtenancestheretobelonging,shallvestintheSocietyfortheunexpiredresidueoftherespectivetermsofyearscreatedbytheCrownleasesorConditionsofGrantspecifiedoppositetheretointhethirdcolumnoftheSchedule,subjecttothepaymentofrentandperformanceoftheconvenantsandconditionsreservedbyandcontainedinthesaidCrownleasesandConditionsofGrant.

（2）Alldebentures,stocks,funds,shares,securities,vessels,goods,chattelsandothermovableassetsvestedinorbelongingtoorheldfororonbehalfoforintrustfortheformerbodycorporateandallmoneyssubscribedforthepurposesoftheformerbodycorporateandallinvestmentsofsuchmoneysandallinterest,incomeandprofitsarisingfromsuchinvestmentsandallsecuritiesthereforshallatthecommencementofthisOrdinance,betransferredto,vestin,belongtoorbeheldfororonbehalfoforintrustfortheSociety.

（3）Allcontractualandotherrightsexercisableorenforceablebytheformerbodycorporateshall,onthecommencementofthisOrdinance,beexercisablebytheSocietyinplaceoftheformerbodycorporate.

（4）OnthecommencementofthisOrdinance,theSocietyshallbecomeliableforalldebtsandliabilitiesandfortheperformanceofallcontractualandotherobligationsoftheformerbodycorporate.

Cap1058s6Members

TheSocietyshallconsistofthosemembersoftheHongKongSocietyfortheProtectionofChildrenwhoweresuchmembersimmediatelybeforethecommencementofthisOrdinanceandofallsuchpersonswhoshallcontinuetobemembersoftheSocietyorwhoshallhereafterbeadmittedtomembershipoftheSocietyinaccordancewiththeconstitution.

Cap1058s7Constitution

（1）TheconstitutionoftheHongKongSocietyfortheProtectionofChildreninforceimmediatelypriortothecommencementofthisOrdinanceshallcontinuetobetheconstitutionoftheSocietybutthesamemaybeamendedorvariedatanytimeorfromtimetotimeinaccordancewiththeprovisionsoftheconstitutionsubjectneverthelesstotheprovisionsofthisOrdinancerelatingtoanymatterexpresslydealtwithherein.

（2）TheconstitutionshallnotbeamendedwithouttheconsentinwritingoftheRegistrarofCompanies.

Cap1058s8Registration

（1）TheSocietyshallforwardtotheRegistrarofCompaniesforregistrationthefollowing-

（a）noticeoftheaddressoftheprincipalofficeoftheSocietyandanychangethereof;

and

（b）acopyoftheconstitutionandanyamendmenttheretocertifiedascorrectbytheChairman;

（c）alistofthenames,occupationsandaddressesofthePresident,themembersandtheSecretaryoftheExecutiveCommitteeandanychangetherein,certifiedascorrectbytheChairman;

（d）alistofthenamesandaddressesofthemembersforthetimebeingoftheSocietyandanychangetherein,certifiedascorrectbytheChairman.

（2）Everydocumentrequiredtoberegisteredinaccordancewithsubsection

（1）shallbeforwardedtotheRegistrarofCompanieswithin28daysofthecommencementofthisOrdinanceorwithin28daysofanychangeoramendment,asthecasemaybe.

（3）TheSocietyshallpaysuchfeesforregisteringanydocumentwithanypublicregistryasmaybeprescribedundersection304oftheCompaniesOrdinance（Cap32）fortheregistrationofadocumentwiththeRegistrarofCompanies.

（4）Anypersonmayinspectanyofthedocumentsregisteredunderthissectiononpaymentofsuchfeeasmaybeprescribedbysection305oftheCompaniesOrdinance（Cap32）fortheinspectionofdocumentskeptbytheRegistrarofCompanies.

（5）Theregistrationofthelistmentionedinsubsection

（1）（c）shallbeconclusiveevidenceofthefactsmentionedinsuchlist.

Cap1058s9Executionofdocuments

（1）Alldeeds,documentsandotherinstrumentsrequiringthesealoftheSocietyshallbesealedinthepresenceof2membersoftheExecutiveCommitteeandshallalsobesignedbythosemembersandsuchsigningshallbetakenassufficientevidenceoftheduesealingandexecutionofsuchdeeds,documentsandotherinstruments.

（2）TheExecutiveCommitteeshallberesponsibleforthesafecustodyofthecommonsealoftheSociety.

NothinginthisOrdinanceshallaffectorbedeemedtoaffecttherightsoftheCentralAuthoritiesortheGovernmentoftheHongKongSpecialAdministrativeRegionundertheBasicLawandotherlaws,ortherightsofanybodypoliticorcorporateoranyotherpersonsexceptsuchasarementionedinthisOrdinanceandthoseclaimingby,fromorunderthem.
