双方通过友好协商同意就下列条款签订本合同。
TheBuyerandtheSeller,throughfriendlynegotiation,haveagreedtosuchengagementuponandsubjecttothetermsandconditionshereinafterappearing.
第一章定义
Clause1:
Definitions:
除双方当事人另有明确的书面约定外，下列术语具有所指明的含义：
UnlessthespecificwrittenpromisebetweenBuyer/representativeandtheSeller,thehereinafterdefinitionshavemeaningsherebyassignedtothem.
1.1买方：
PtWorldpointPrestasiJaya。
1.1Buyer:
PtWorldpointPrestasiJaya.
1.2卖方：
湖北银泰五丰粮食机械有限公司。
1.2Seller:
HubeiIntepowerWufengFoodProcessingMachineCo.,Ltd.
1.4合同标的物：
卖方将本合同附件一所列设备经安装、调试用以生产合同产品的成套碾M设备。
1.4ContractedItems:
Alltechnologyandequipmentsandcoordinativeauxiliaryfacility,usedforproducecontractedproducts,suppliedbytheSellerstipulatedinAnnex3.
1.5合同产品：
本合同标的物生产的具有本合同附件三规定的技术指标的产品。
1.5ContractedProducts:
Producedbycontracteditem,havethespecifications,quantitiesandassuredvaluesstipulatedinAnnex3.AllitemsaresubjectedtoBuyerconsultantapproval.
1.6合同价格：
买方因卖方提供本合同标的物而支付的本合同规定的总价。
1.6ContractedPrice:
TheaggregateBuyershouldpaytotheSellerinconsiderationofperformancebythecontractorofitsallobligations.
1.7合同币种：
用以支付本合同价款的货币，即_美元。
1.7ContractedCurrency:
Usedtopaythecontractedprice,i.e.USD.
1.8买卖双方银行：
买方银行为；
卖方银行为。
1.8Twoside'

1.9安装：
本合同附件一规定的全部设备的装配、就位和连接等组装工作。
1.9Installation:
Thefittings,locations,connections,…etc,assembleworkforallcontractedequipmentsofcontractedItemsstipulatedinAnnex4.
1.10试车：
安装之后设备的单独或联动的试运转以检测设备的机械性能。
1.10OperationTest:
PlantEquipmentPerformance:
Theoperationtestofallequipmentsorpartaftertheinstallation,toascertainwhetherthemechanicalperformanceofthecontractedequipmentisabletoattainthevaluesofdesign.ThedetailisreferringtothestipulationsinAnnex4.
1.11投料试生产：
将本合同标的物连接公用设施和投入原料以试制合同产品。
1.11CommissioningTestRun:
ThecontracteditemsdescribedinAnnex4connectwithpublicfacilitiesandbeputintorawmaterialandoperate,totrialproducethecontractedproducts.
1.12性能测试:
检测本合同附件三所规定的各项技术参数，包括设备的各项性能和产品的
技术指标。
1.12PerformanceTest:
ToinspectallassuredvaluesasstipulatedinAnnex3,includingallperformancesofcontractedequipmentsandtechnicalindexofallproducts.
1.13验收：
如果考核结果表明，合同标的物能够全部达到本合同附件所规定的各项技术参数，则视为买方所验收。
1.13OperationalAcceptation:
Ifaftertheexaminationandperformancetest,thecontracteditemscanattaintheallassuredvaluestipulatedinAnnexes,isregardedasbeingoperationalacceptationbytheBuyer.
1.14装卸港口：
装运港为上海港；
卸货港为雅加达港。
1.14LoadandUnloadPort:
LoadportisShanghaiChina.UnloadportisJakartaIndonesia.
1.15工作现场：
生产合同产品的场所，即_印度尼西亚Indrumayu。
1.15WorkSite:
Theplacestoexecutethecontractupon,i.e.IndrumayuIndonesia.
1.16现场代表:
合同双方各自任命的在工作现场代表己方全权处理与合同义务有关的一
切事务的人员。
1.16WorkSiteRepresentatives:
AnypersonnominatedbyBuyerandSellerseparatelytoperformthedutiesdelegatedbytheBuyerandtheSellerseparatelyatworksite.
1.17技术文件：
本合同附件二、三中所列的与合同标的物有关的设计、检验、安装、试车、
投料试生产、性能测试、操作、维修等有关的全部技术数据、规格、图纸和文件。
1.17TechnicalDocuments:
Alltechnicaldata,specifications,drawingsanddocumentsrelevanttocontracteditem’sdesign,inspections,installation,commissioning,commissioningtestrun,performancetest,operation,maintenance,juststipulatedinAnnex2,Annex3andAnnex4.
1.18技术服务：
就本合同标的物的设计、安装、试车、投料试生产、性能测试、操作、维修等工作，向买方提供的技术指导、协助。
1.18TechnicalServices:
Thetechnicalinstruction,assistanceandsupervisionprovidedbytheGeneralContractorindesign,inspection,installation,operationtest,commissioningtestrun,performancetest,operationandreparationofcontracteditemspursuanttostipulationonAnnex4.
1.19技术培训：
卖方根据合同标的物的设计、安装、试车、投料试生产、性能测试、操作、
维修等工作，向买方提供的技术上的培训。
1.19TechnicalTraining:
TheSellersuppliedtrainingintechnology,basedtheexecutionofdesign,installation,testoperation,commissioningtestrun,performanceTest,operationandreparationofcontracteditems.
1.20检验机构:
中华人民共和国出入境检验检疫局设立在装货港和/或工作现场的或邻近
的分支机构。
1.20Inspectioninstitution:
thebranchestablishedinloadingportand/orworkingsiteorneighborbyEntry-ExitInspectionandQuarantineBureauoftheP.R.C.
1.21保证期：
保证期3个月，始于合同标的物验收通过之日，在此期间，卖方保证合同标的物的正常、稳定运行。
详见本合同附件三规定。
1.21GuaranteePeriod:
commencementwiththedateofoperationalacceptation,duringtheperiod,theSellerguaranteetheproperandsteadyoperationofContractedItems,andeliminateanydefectofcontracteditems.ThedetailisreferringtothestipulationsinAnnex3.
1.22合同生效日:
本合同经双方当事人盖章、授权代表签字日起正式生效。
1.22Thedateofeffect:
ThecontractisintovalidityfromthedatethecontractissignedbytheBuyerandtheSeller.
第二章合同范围
Clause2:
ScopesofContract
2.1买方同意从卖方购买，卖方同意向买方出售合同标的物，其中包括本合同附件一、本合同附件二所列的所有设备和技术文件。
卖方在保证期内免费提供技术服务和技术培训。
2.1TheBuyeragreestobuyandSelleragreestosellthecontracteditems,includingcontracted
equipments,permittedpatents/know-how,thedesigndocuments,technicaldocuments,technicalserviceandtechnicaltrainingwhichneededbycontractedItem.
2.2卖方所供应的合同设备清单见附件一，合同标的物及合同产品的技术参数和保证指标见附件三。
2.2TheContractedEquipmentsuppliedbySellerseeAnnex1.Thespecifications,quantitiesandassuredvaluesofcontractedequipmentsseeAnnex3.
2.3卖方应承担本合同标的物的设计工作。
2.3TheSellerisresponsibleforthewholedesignofcontracteditems.
2.4卖方应依据本合同附件二的规定向买方提交技术文件。
2.4TheSellershallsubmitthetechnicaldocumentstoBuyeraccordancewiththecontract.
2.5卖方应派遣有经验的、健康的和称职的技术人员到工作现场提供技术服务。
2.5TheSellershallsendveteran,healthytechnicianstoWorkSitetoprovidetechnicalservice.
2.6卖方应向买方的技术人员提供技术培训。
2.6TheSellershallprovidetechnicaltrainingtoBuyer'
stechnicians.
第三章价格
Clause3:
ThePriceofContract:
3.1卖方按本合同附件一规定提供设备、本合同附件二规定提供技术文件、按本合同附件四规定的时间完成安装、试车、性能测试、验收等工程并符合本合同附件三要求的合同标的物、合同产品的技术参数及保证指标等样板工程的总价（FOB）为46,499美元。
3.1TheSellershallprovidecontractedequipments,authorizedpatents/Know-how,designandtechnicaldocuments,technicalserviceandtrainingetc.demoprojectequivalenttototalthepriceofcontractUSD46,499（fortysixthousandfourhundredninetynineUSdollarsonly）.
第四章支付
Clause4:
TermsofPayment
4.1本合同买卖双方的支付均以本合同货币通过买卖双方银行进行。
4.1AnypaymentunderthecontractbetweenBuyerandSellershouldbeeffected
throughthetwoside'
sbankstipulatedinthecontract.
4.2买方以下列方式进行支付：
4.2Theprocedureofpaymentsbetweentwosidesshouldbecarriedthroughashereby:
合同总价以不可撤销的信用证（L/C方式支付）。
买方在本合同生效之日出具以卖方为受益人、金额为上述金额的不可撤销信用证。
信用证有效期限180天。
ThecontractedpriceshouldbepaidbyirrevocableLetterofcredit.TheBuyershould
issuetheirrevocableL/CinfavorofSelleramounttocontractedpricedescribedasabove.ThevalidityperiodoftheL/CshouldbebeforethedateofJune30th,2005.
4.3卖方在交货时应提交下列商业单据。
4.3.TheSellershouldsupplyfollowingbusinessdocumentsasdelivery.
A.签署的商业发票一式四份；
（发票注明支付金额和价格单）；
A.SignedcommercialInvoiceinquadruplicate.（NoticetheamountpayforandPriceList）。
B.详细的装箱单正本一式四份（注明包装重量、数量和对应的发票日期）；
B.DetailedpackingListinquadruplicate,notingthepackingweight,No.andrelevantdateofInvoice。
C．按商业发票金额的110%投保一切险，注明可以在印度尼西亚以合同货币理赔的全套保险单据。
C.FullsetofInsurancePolicy,coveringallrisk,amount110%ofvalueofcommercialInvoice,noticethatallinsuranceclaimarepayableinIndonesiaincontractedcurrency。
D.由生产厂家签发的品质证明书正本一份，副本三份；
D.Qualitycertificateissuedbymanufacturersinoneoriginalandthreecopies。

E．由湖北省国际贸易促进委员会签发的原产地证正本一份，副本三份；
E.CertificateoftheOriginalissuedbyHubeiprovincialCITPCinoneoriginalandthreecopies。
F．由湖北省商检局签发的包装箱熏蒸证明正本一分，副本三份。
F.CertificateofHeatTreatmentissuedbyHubeiprovincialCCIQBinoneoriginalandthreecopies.
