Thebuyershallopenthroughabankacceptabletotheselleranirrevocableletterofcreditatsighttoreachtheseller30daysbeforethemonthofshipmentvalidfornegotiationinVancouveruntilthe15thdayafterthedateofshipment.

INSURANCE:

Tobecoveredbythesellerfor110%oftheinvoicevalueagainstAllRisksandWarRisksaspertherelevantoceanmarinecargoclausesofthePeople’sInsuranceCompanyofChinadated01/01/1981.

REMARKS:

1.TheBuyershallhavethecoveringletterofcreditreachtheseller30daysbeforeshipment,fallingwhichtheSellerreservestherighttorescindwithoutfurthernotice,ortoregardasstillvalidwholeoranypartofthiscontractnotfulfilledbytheBuyer,ortolodgeaclaimforlossesthussustained,ifany.

2.IncaseofanydiscrepancyinQuality/Quantity,claimshouldbefiledbytheBuyerwithin130daysafterthearrivalofthegoodsatportofdestination;

whileforquantitydiscrepancy,claimshouldbefiledbytheBuyerwithin150daysafterthearrivalofthegoodsatportofdestination.

3.FortransactionsconcludedonC.I.F.basis,itisunderstoodthattheinsuranceamountwillbefor110%oftheinvoicevalueagainsttherisksspecifiedintheSalesConfirmation.Ifadditionalinsuranceamountorcoveragerequired,theBuyermusthavetheconsentoftheSellerbeforeShipment,andtheadditionalpremiumistobebornebytheBuyer.

4.TheSellershallnotholdliablefornon-deliveryordelayindeliveryoftheentirelotoraportionofthegoodshereunderbyreasonofnaturaldisasters,warorothercausesofForceMajeure.However,theSellershallnotifytheBuyerassoonaspossibleandfurnishtheBuyerwithin15daysbyregisteredairmailwithacertificateissuedbytheChinaCouncilforthePromotionofInternationalTradeattestingsuchevent（S）.

5.Alldisputesarisingoutoftheperformanceof,orrelatingtothiscontract,shallbesettledthroughnegotiation.Incasenosettlementcanbereachedthroughnegotiation,thecaseshallarbitrationinaccordancewithitsarbitralrules.ThearbitrationshalltakeplaceinShanghai.Thearbitralawardisfinalandbindinguponbothparties.

6.TheBuyerisrequestedtosignandreturnonecopyofthiscontractimmediatelyafterreceiptofthesame.Objection,ifany,shouldbeacceptedthetermsandconditionofthiscontract.
