此协议于200__年__月__日，在美国纽约州纽约市“彩虹贸易有限公司”（第一方），和日本东京“FLORIST公司“，第一方所任命的独家代理机构（第二方）之间签署订立，见证如下：
PartyofthefirstpartherebygrantstothePartyofthesecondparttheexclusiverighttoselltheGYROCOMPASSinTokyo,Japanfortheperiodofthreeyearsfromthedatehereof.
第一方（此后称为“公司“）在此许可第二方（此后称为”代理“）独家权利在日本东京销售陀螺罗盘，期限为从此日起三年。
Agentcovenantsthatitwilluseeveryreasonablediligencein
executingallordersplacedwithitbytheCompanyandwillnot,withouttheconsentoftheCompany,deviatefromanyinstructionsgivenbytheCompanyinregardtoitsordersandshipment.
代理承诺它会使用所有合理的努力来完成公司所下的定单，并在没有公司同意的前题下，背离公司有关此订单和出运的任何指令。

Agreementmaybeterminatedbyeitherpartyuponthreemonths’writtennoticedeliveredorsentbyregisteredmailtotheother,andmaybeterminatedatanytime,withoutsuchnotice,uponbreachofanyofitstermsandconditions.
WitnessthehandsandsealsofthepartiesofthisAgreementthedayandyearaforesaid.
此协议可通过任何一方提前三月通过书面通知腻味通过挂号邮寄给另一方来终止。
也可以无此通知，在任何时候，由于违反了其条款而终止。

此协议所包含的地区为除了特力立达和洪都拉斯的加勒比海国家，委内瑞拉和墨西哥。
乙方应尽力销售所规定的产品，以获得销售的最大量，并不应在上述地区销售任何其它公司的规定产品。
甲方同意不在上述地区向任何公司或进口商销售上述规定商品，除了第8章所提供的商品，并应向乙方提供在上述地区所收到的所有的客户询盘。
