Article5.Designfeeandthemodeofpayment:

PartyAshallpaythedesignfeeofRMB______________YuanforthisprojecttoPartyB（thisfeeshallincludetaxesandallotherdutiesthatshouldbepaidbyPartyBasrequiredbythegovernmentregulations）.ThepaymentmethodisasperFig.4.

1.PartyAshallpaythedesignfeeofeachstagewhenPartyBsubmitsthedesigndocumentofeachstage.

2.PartyAshallpay100%designfeewhenPartyBsubmitsthelastpartoftheworkingdrawings.

3.Thedesignfeeisfixedbyinitialdesignestimation,ifthereisadifferencebetweenactualdesignfeeandestimatedfee,PartyBshallreturntheoverchargeanddemandpaymentoftheshortage.Thebalancewillbesettledatthelastpayment.

4.AftertheContractisexecuted,thedownpaymentisregardedasapartofthetotaldesignfee.

Article6.Responsibilitiesofbothparties:

6.1ResponsibilitiesofPartyA:

6.1.1.AccordingtothecontentsstatedinArticle3ofthisContract,PartyAshallsubmittoPartyBbasicmaterialsanddocumentswithinspecifiedtimeandshouldberesponsibleforthecompleteness,correctnessandvalidityofthematerialsanddocuments.PartyAshallnotrequirePartyBtoconductdesigninviolationofrelevantnationalstandards.

Incasethereisadelayoflessthan15daysexceedingthespecifiedtimelimitforthedeliveryoftheabovematerialsanddocumentsbyPartyA,thetimelimitforPartyBtodeliverdesigndocumentsshallbeextendedaccordingly;

incasethereisadelayofmorethan15daysexceedingthespecifiedtimelimitforthedeliveryoftheabovematerialsanddocumentsbyPartyA,PartyBshallhavetherighttore-determinethetimefordeliveryofthedesigndocuments.

6.1.2IfPartyAaltersgreatlythedesignproject,scale,conditionswhichtheyhavealreadyentrustedtoPartyB,orthematerialsprovidedbyPartyAiswrong/incompleteorPartyAmakesmajoralterationstotheapproveddesignandtheinformationgiven,asaresultofwhich,hascausedPartyBtoredothedesignwork,orhasgeneratedun-necessaryabortiveworks,bothpartiesshallenterintonegotiationandtodrawupasupplementaryContract.PartyAshallcompensatePartyBfortheadditionalworkloadinaccordancetothenewagreement.

IfPartyAhasagreedallthedesignworksconductedbyPartyBbeforetheconclusionoftheContract,itshallpaychargestoPartyBaccordingly.

6.1.3.PartyAshallpaychargesfordesigntoP
