　　ByIrrevocableLetterofCreditfor90%thetotalinvoicevalueofthegoodstbbeshipped,infavouroftheSellers,payableattheissuingbankagainsttheSellers’draftatsightaccompaniedbytheshippingdocumentsstipulatedintheCredit.Thebalanceof10%oftheproceedsistobepaidonlyafterthegoodshavebeeninspectedandapprovedattheportofdestination.（Import）

　　Byconfirmed,irrevocableLetterofCreditinfavoro9ftheSellerspayableatsightagainstPresentationofshippingdocumentsinChina,withpartialshipmentsandtransshipmentallowed.ThecoveringLetterofCreditmustreachtheSellers15daysbeforethecontractedmonthofshipment6andremainvalidintheaboveloadingportuntilthe15thdayaftershipment,failingwhichtheSellersreservetherighttocancelthecontractwithoutfurthernoticeandtoclaimagainsttheBuyersforanylossresultingtherefrom.

　　CertificatesofQuality,Quantity,WeightandQriginarerequired.TheBuyershavetherighttohavethegoodsre—inspectedbytheGuangzhouEntry—ExitInspectionandQuarantineBureauofthePeople’sRepublicofChinaattheprtfodischarge.TherelevantInspectionCertigficatesmayserveasthebasisofanyclaimtobelodgedbytheBuyersagainsttheSellers.

　　检验条款：

CommodityInspection

　　ItismutuallyagreedthatheCertificateofQualityandWeightissuedby------（eg:

ChinaEntry-ExitInspectionandQuarantineBureau）/surveyorattheportofshipmentshallbe（takenasthebasisofdelivery.）/partofthedocumentstobepresentedfornegotiationundertherelevantweightofthecargo.There—inspectionfeeshallbebornebytheBuyer.Theclaimwiththecargo,ifany,shallbelodgedtotheSellerwithin-------daysafterarrivalofthecargoattheportofdestination.

　　索赔条款：

DiscrepancyandClaim

　　AnyclaimbytheBuyersregardingthecargoshallbesupportedbysurveyreportissuedbyasurveyorapprovedbytheSellerandlodgedwithin45daysafterthearrivalofthecargoattheportofdestinaton.TheSellerwillnotconsiderclaimsinrespectofmatterswithinresponsibilityofinsurancecompanyorshippingcompany.

　　ShouldtheSellerfailtomakedeliveryontime,thebuyershallagreetopostponethedeliveryontheconditonthattheSelleragreesofpayapenaltywhichshallbedeductedbythepayingbankatthetimeofpayment.Therateofpenaltyischargedat0.5%ofthetotalvalueofthecargowhosedeliveryhasbeendelayedforeveryweek,odddayslessthanaweekshouldbecountedasaweek.Butthetotalamountofpenal
