Byloadingorusingtheobjectcodeversiononlyofthesoftwareobtainedherewith，whichmayincludeassociatedinstallscriptsandonlineorelectronicdocumentationoranyportionthereof，thatismadeavailablebyAMDtodownloadfromanymedia（“Software”），LicenseeagreestoallofthetermsofthisAgreement。

LICENSE:

SubjecttothetermsandconditionsofthisAgreement，AMDgrantsLicenseethefollowingnon-exclusive，non-transferable，royalty-free，limitedcopyrightlicensetodownload，copyandusetheobjectcodeversionoftheSoftwareandmaterialsassociatedwiththisAgreement，includingwithoutlimitationprinteddocumentation，（collectively，“Materials”）foruseonlywithAMDprocessors。

SubjecttothetermsandconditionsofthisAgreement，AMDgrantsLicenseeanon-exclusive，non-transferable，royalty-free，limitedcopyrightlicensetomakeanddistributetheobjectcodeversionoftheSoftwareprovidedthatLicenseeredistributestheSoftwareunderthisAgreement。

Furthermore，anyredistributionmustmakeclearthattherecipientofsuchredistributionisagreeingtothetermsofthisAgreementandrequireaffirmativeacceptancethereof（bywayofatleasta“clickwrap”）priortoanyuseoftheSoftware。

Exceptforthelimitedlicensegrantedherein，LicenseeshallhavenootherrightsintheMaterials，whetherexpress，implied，arisingbyestoppelorotherwise。

Exceptasexpresslysetforthherein，Licenseedoesnothavetherightto（i）distribute，rent，lease，sell，sublicense，assign，orotherwisetransfertheMaterials，inwholeorinpart，tothirdpartiesforcommercialorfornon-commercialuse;

or（ii）modify，disassemble，reverseengineer，ordecompiletheSoftware，orotherwisereduceanypartoftheSoftwaretoanyhumanreadableform。

AllrightsinandtotheMaterialsnotexpresslygrantedtoLicenseeinthisAgreementarereservedtoAMD。

FEEDBACK:

LicenseemayprovideAMDfeedback，suggestionsoropinionsastotheSoftware，itsfeatures，anddesiredenhancementsorchanges。

IfLicenseeprovidesfeedback，suggestionsoropinionstoAMDregardinganynewfeatures，use，functionality，orchangetotheSoftwareoranymaterialsrelatedtotheSoftware，Licenseeherebyagreestogrant，anddoesgrant，AMDallrightsneededforAMDtoincorporateandcommercializeanynewfeature，use，functionality，orchangeatnochargeorencumbrancetoAMD。

LicenseeagreesthatAMDmaydisclosesuchfeedback，suggestionsoropinionstoanythirdpartyinanymanner，andLicenseeagreesthatAMDhastheabilitytosublicenseanyoftheforegoingrightsinanyfeedback，suggestionsoropinionsorAMDproductsorservicesinanyformtoanythirdpartywithoutrestriction。

OWNERSHIPANDCOPYRIGHTOFMATERIALS:

LicenseeagreesthattheMaterialsareownedbyAMDandareprotectedbyUnitedStatesandforeignintellectualpropertylaws（e。

LicenseewillnotremovethecopyrightnoticefromtheMaterials。

LicenseeagreestopreventanyunauthorizedcopyingoftheMaterials。

AlltitleandcopyrightsinandtotheMaterials，allcopiesthereof（inwholeorinpart，andinanyform），andallrightsthereinshallremainvestedinAMD。

Exceptasexpresslyprovidedherein，AMDdoesnotgrantanyexpressorimpliedrighttoLicenseeunderAMDpatents，copyrights，trademarks，ortradesecretinformation。

WARRANTYDISCLAIMER:

THEMATERIALSAREPROVIDED“ASIS”WITHOUTANYEXPRESSORIMPLIEDWARRANTYOFANYKINDINCLUDINGWARRANTIESOFMERCHANTABILITY，NONINFRINGEMENTOFTHIRD-PARTYINTELLECTUALPROPERTY，title，ORFITNESSFORANYPARTICULARPURPOSE，ORTHOSEARISINGFROMCUSTOMOFTRADEORCOURSEOFUSAGE。

THEENTIRERISKARISINGOUTOFUSEORPERFORMANCEOFTHEMATERIALSREMAINSWITHLICENSEE。
